Justice M.SASIDHARAN NAMBIAR\n\n Dated :14\/10\/2010\n\n O R D E R\n                M.SASIDHARAN NAMBIAR, J.\n                      -------------------------\n                   Crl.M.C No.3509 of 2010\n                      --------------------------\n              Dated this the 14th October, 2010\n\n                            O R D E R\n<\/pre>\n<p>      Petitioners are the accused in C.C No.732\/2006 on<\/p>\n<p>the file of     Judicial First Class Magistrate&#8217;s Court,<\/p>\n<p>Kothamangalam.      First petitioner is the company and<\/p>\n<p>petitioners 2 to 5 the Managing Director and Directors of<\/p>\n<p>the Company. Petition is filed under Section 482 of Cr.P.C<\/p>\n<p>to quash Annexure -A complaint               filed by the 1st<\/p>\n<p>respondent and taken cognizance for the offence under<\/p>\n<p>Section 407 of Indian Penal Code.\n<\/p>\n<p>      2.    Learned counsel appearing for the petitioners<\/p>\n<p>pointed out that by Annexure-C order in Crl.M.C No.<\/p>\n<p>1652\/2007 and connected cases, this Court has quashed<\/p>\n<p>an identical complaint filed against petitioners 2 to 5, the<\/p>\n<p>Managing Director and Directors on the ground that<\/p>\n<p>complaint does not disclose any allegation that petitioners<\/p>\n<p>2 to 5 were in charge of and were responsible for the<\/p>\n<p>business of the 1st petitioner company           and therefore<\/p>\n<p>cognizance taken against petitioners 2 to 5 is bad.<\/p>\n<p>      3.    Learned counsel also pointed out that     Crl.M.C<\/p>\n<p>Crl.M.C No.3509 of 2010<br \/>\n<span class=\"hidden_text\">                               2<\/span><\/p>\n<p>No.1655\/2007     filed earlier was dismissed as withdrawn<\/p>\n<p>and in the light of Annexure-C order, cognizance taken<\/p>\n<p>against petitioners 2 to 5 is to be quashed. Though notice<\/p>\n<p>was served on the 1st respondent he did not appear.<\/p>\n<p>      4.   Crl.MC    No.1655\/2007     was    filed by    the<\/p>\n<p>petitioners for the same relief. By order dated 29.5.2007,<\/p>\n<p>Crl.M.C was dismissed as withdrawn. The order shows<\/p>\n<p>that after discussions at the Bar, learned counsel for the<\/p>\n<p>petitioners sought   permission to withdraw the Crl.M.Cs<\/p>\n<p>without prejudice to     their rights to raise all relevant<\/p>\n<p>contentions   before   the    learned   Magistrate  at   the<\/p>\n<p>appropriate stage.    In the light of that order, petitioners<\/p>\n<p>are not entitled to seek the same relief once again before<\/p>\n<p>this Court, when the earlier petition filed was withdrawn<\/p>\n<p>with liberty to approach the learned Magistrate       and to<\/p>\n<p>raise the contentions therein.    Petitioners are entitled to<\/p>\n<p>seek an order of discharge under Section 239 of Cr.P.C in<\/p>\n<p>the light of Annexure-C order     as the complaint does not<\/p>\n<p>disclose any allegation against petitioners 2 to 5 to the<\/p>\n<p>effect that they were either in charge of or responsible to<\/p>\n<p> Crl.M.C No.3509 of 2010<br \/>\n<span class=\"hidden_text\">                              3<\/span><\/p>\n<p>the business of the 1st petitioner company.         Learned<\/p>\n<p>counsel submitted that presence of the petitioner may not<\/p>\n<p>be insisted for the purpose of claiming discharge under<\/p>\n<p>Section 245 (1) of Cr.P.C. In the light of Annexure-C order.<\/p>\n<p>if the petitioner files an application before the learned<\/p>\n<p>Magistrate to hear and dispose the application for<\/p>\n<p>discharge by dispensing his presence, learned Magistrate<\/p>\n<p>not to insist for his personal appearance.
