No. 2858 OF 2007\n              - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - -\n                Dated this the 13th day of January, 2009\n\n                                  JUDGMENT\n<\/pre>\n<p id=\"p_1\">BALAKRISHNAN NAIR, J<\/p>\n<p>      The appellants are the writ petitioners. The writ petition was<\/p>\n<p>filed by them, challenging Exts.P3 and P5 orders of the arbitrator and<\/p>\n<p>Kerala Co-operative Tribunal respectively. ARC No.1 of 2004, filed<\/p>\n<p>by the 1st respondent against the 2nd and 3rd respondents, is pending<\/p>\n<p>before the 4th respondent. The petitioners, who are the Directors of<\/p>\n<p>the 3rd respondent company, have also been impleaded in the above<\/p>\n<p>ARC by the 4th respondent, by Ext.P3 order, though they stiffly<\/p>\n<p>resisted the application for impleadment. The petitioners carried the<\/p>\n<p>matter in revision before the Co-operative Tribunal. The Tribunal<\/p>\n<p>affirmed the order of the arbitrator as per Ext.P5. Therefore, the writ<\/p>\n<p>petition was filed challenging Exts.P3 and P5.<\/p>\n<p id=\"p_1\">      2. Appellants would submit that the Tribunal has proceeded on<\/p>\n<p>the assumption that the 3rd respondent is a partnership firm and the<\/p>\n<p>appellants being partners of the said firm are jointly and severally<\/p>\n<p>liable.   The said assumption is factually incorrect and legally<\/p>\n<p>unsustainable, it is submitted. Other contentions are also raised.<\/p>\n<p>WA No.2858\/2007<br \/>\n<span class=\"hidden_text\" id=\"span_1\">                                     -:2:-<\/span><\/p>\n<p>But, we notice that the learned Single Judge has issued necessary<\/p>\n<p>directions to safeguard the interest of the appellants and also their<\/p>\n<p>contentions.    The relevant portion of the judgment under appeal<\/p>\n<p>reads as follows:\n<\/p>\n<blockquote id=\"blockquote_1\"><p>      &#8220;4.   By the impleadment, while the petitioners have been<\/p>\n<p>      brought on record as additional defendants in the arbitration<\/p>\n<p>      case, such impleadment shall not, in any manner, impair any<\/p>\n<p>      of their defence, including the right to content that there can<\/p>\n<p>      be no personal liability on them, who were directors of the<\/p>\n<p>      third respondent company at some point of time.                 The<\/p>\n<p>      question whether they      are personally liable        has to be<\/p>\n<p>      decided with reference to the relevant laws and the facts.<\/p>\n<p>      The maintainability of proceedings against the petitioners is<\/p>\n<p>      also an issue which would be available for consideration at<\/p>\n<p>      the final disposal of the arbitration case. The effect of the<\/p>\n<p>      order of impleadment is only that the petitioners have been<\/p>\n<p>      brought on record as additional defendants and the impugned<\/p>\n<p>      orders do not, in any manner, preclude any of the contentions<\/p>\n<p>      of the petitioners on the merits of the case, including the<\/p>\n<p>      question of jurisdiction, maintainability and liability of parties.<\/p>\n<\/blockquote>\n<blockquote id=\"blockquote_1\"><p>      5.    For the aforesaid reasons, while affirming the<\/p>\n<p>      impleadment of the petitioners in the arbitration case, it is<\/p>\n<p>      directed that the proceedings in the arbitration case shall be<\/p>\n<p>      untrammelled by anything stated in the impugned orders.<\/p><\/blockquote>\n<p id=\"p_2\">\n<p id=\"p_3\">      The petitioners shall be given opportunity to place on record<\/p>\n<p>WA No.2858\/2007<br \/>\n<span class=\"hidden_text\" id=\"span_1\">                                   -:3:-<\/span><\/p>\n<p>      all contentions as are available to them in opposition to the<\/p>\n<p>      arbitration case and the matter shall be decided on merits<\/p>\n<p>      without reference to the reasons stated in the impugned<\/p>\n<p>      orders.&#8221;\n<\/p>\n<p id=\"p_4\">      3. Going by the above portion of the judgment, we are of the<\/p>\n<p>firm view that, all the contentions of the appellants are kept open,<\/p>\n<p>notwithstanding the impugned orders, Exts.P3 and P5. Therefore,<\/p>\n<p>even if now they are parties to the arbitration proceedings, they can<\/p>\n<p>resist fastening any liability on them, raising all possible contentions.<\/p>\n<p>In view of the order of the learned Single Judge, the arbitrator is<\/p>\n<p>bound to consider them on merits uninfluenced by anything<\/p>\n<p>contained in Exts.P3 and P5. Therefore, we do not find any reason<\/p>\n<p>to interfere with the judgment under appeal. Accordingly the writ<\/p>\n<p>appeal is dismissed.\n<\/p>\n<p id=\"p_5\">\n<p id=\"p_6\">                                    K.
