MEHTA\n\t\t\n\t\n\n \n\nDate\n: 27\/06\/2008 \n\n \n\n \nORAL\nORDER<\/pre>\n<p id=\"p_1\">\t\tBoth<br \/>\nthese petitions are filed by the two petitioner companies for<br \/>\nsanction of a scheme of arrangement in the nature of amalgamation of<br \/>\nHirmani Intrade Private Limited ?  the transferor company with Oswal<br \/>\nIndustries Limited ?  the transferee company, under <a href=\"\/doc\/1562602\/\" id=\"a_1\">Sections 391<\/a> to<br \/>\n<a href=\"\/doc\/301194\/\" id=\"a_1\">394<\/a> of the Companies Act, 1956.\n<\/p>\n<p id=\"p_1\">2.\t\tIt<br \/>\nhas been submitted that the transferor company is a private limited<br \/>\ncompany and is engaged in the business of trading of engineering<br \/>\nproducts of mild steel and stainless steel. It is a profit making<br \/>\ncompany. The transferee company is a listed public limited company<br \/>\nand the shares are listed at Ahmedabad Stock Exchange and Saurashtra<br \/>\nKutch Stock Exchange. It is engaged in the business of manufacturing<br \/>\nand marketting of mild steel and stainless steel castings and<br \/>\nindustrial valves and trading of scraps and fittings. It is a profit<br \/>\nmaking company with future prospects for growth. The amalgamation is<br \/>\nproposed for achieving synergic advantage and consolidation of<br \/>\noperations. The petitions give details of the advantages that would<br \/>\nflow by virtue of the amalgamation of these companies.\n<\/p>\n<p id=\"p_2\">3.\t\tThe<br \/>\nproposed scheme was put for consideration of the equity shareholders<br \/>\nand unsecured creditors of the transferor company and all of them had<br \/>\ngiven the written consent to the proposed scheme. There being no<br \/>\nsecured creditors of the company, the meetings of the equity<br \/>\nshareholders and unsecured creditors were dispensed with by order<br \/>\ndated 25.10.2007 passed in Company Application No.481 of 2007. The<br \/>\nproposed scheme was put for consideration of the equity shareholders<br \/>\nof the transferee company, at the meeting held on 23.11.2007, which<br \/>\nwas convened pursuant to the directions issued by this Court vide<br \/>\norder passed on 18.10.2007 in Company Application No.480 of 2007. The<br \/>\nscheme was approved unanimously at the meeting. The Chairman&#8217;s<br \/>\nreports have been duly filed on 30.11.2007 giving the result of the<br \/>\nsaid meeting.\n<\/p>\n<p id=\"p_3\">4.\t\tAfter<br \/>\nthe petitions were admitted, the same were duly advertised in the<br \/>\nnewspapers being ?SIndian Express?? and ?SGujarat Samachar?? both<br \/>\nAhmedabad Edition of 20.12.2007 and the publication in the Government<br \/>\nGazette was dispensed with as directed in the order dated 10.12.2007.<br \/>\nAffidavit dated 21.01.2008 has been filed confirming the said<br \/>\npublications. No one has come forward with any objection to the said<br \/>\npetitions even after the publication. The said fact has been<br \/>\nconfirmed by the additional affidavit filed on 12.05.2008.\n<\/p>\n<p id=\"p_4\">5.\t\tNotice<br \/>\nof the petition was served upon the Official Liquidator for the<br \/>\ntransferor company. A report dated 23.04.2008 has been filed by the<br \/>\nOfficial Liquidator and the same confirms that the affairs of the<br \/>\ntransferor company have not been conducted in a manner prejudicial to<br \/>\nthe interest of its members, creditors and public interest.\n<\/p>\n<p id=\"p_5\">6.\t\tNotice<br \/>\nof the petition has been served upon the Central Government and<br \/>\nMr.M.Iqbal A. Shaikh, learned Central Government Counsel, appears for<br \/>\nthe Central Government. An affidavit dated 26.03.2008 has been filed<br \/>\nby Mr.R.K.Dalmia, Deputy Registrar of Companies, along with  the<br \/>\nletter from the Regional Director dated 24.03.2008 whereby the<br \/>\npetitioner companies are required to place before this Court the<br \/>\nlatest financial results. The petitioner companies have submitted the<br \/>\nsame in form of unaudited provisional balance sheet as on 31.03.2008<br \/>\nalong with the affidavit dated 12.05.2008 filed by the Directors of<br \/>\nthe respective petitioner companies. It has been submitted by<br \/>\nSmt.Swati Soparkar, learned advocate appearing for the petitioner<br \/>\ncompanies, that all the statutory and regulatory compliances are made<br \/>\nby the petitioner companies. Considering the said facts and<br \/>\ncircumstances and in the light of the aforesaid submissions, there is<br \/>\nno reason to withhold the sanction to the scheme of arrangement.\n<\/p>\n<p id=\"p_6\">7.\t\tHeard<br \/>\nSmt.Soparkar, learned advocate for the petitioner companies and<br \/>\nMr.Shaikh, learned Central Government Counsel for the Central<br \/>\nGovernment.\n<\/p>\n<p id=\"p_7\">8.\t\tHaving<br \/>\ngone through the petitions and being satisfied that amalgamation<br \/>\nwould be in the interest of the companies and their members and<br \/>\ncreditors, the prayers in terms of paragraph 20(a) of the Company<br \/>\nPetition No.217 of 2007 and paragraph 15(a) of the Company Petition<br \/>\nNo.218 of 2007 are hereby granted.\n<\/p>\n<p id=\"p_8\">9.\t\tThe<br \/>\npetitions are disposed of. So far as the costs to be paid to the<br \/>\nCentral Government Counsel is concerned, the same is quantified at<br \/>\nRs.3,500=00 for each petition.
