This is a petition under <a href=\"\/doc\/1722761\/\" id=\"a_1\">section 34<\/a> of the Arbitration and <a href=\"\/doc\/1306164\/\" id=\"a_1\">Conciliation<\/p>\n<p>    Act<\/a>, 1996, to challenge the award passed by the sole arbitrator rejecting a<\/p>\n<p><span class=\"hidden_text\" id=\"span_1\">                                                                   ::: Downloaded on &#8211; 09\/06\/2013 16:22:49 :::<\/span><br \/>\n             This Order is modified\/corrected by Speaking to Minutes Order<\/p>\n<p>                                           2                                ARBP1007.09.doc<\/p>\n<p>    substantial part of the Petitioner&#8217;s claim and allowing the Respondent&#8217;s<\/p>\n<p>    claims under various heads.\n<\/p>\n<p id=\"p_3\">    2.    The Petitioner and the Respondent entered into an agreement dated<\/p>\n<p>    17th August, 2004, under which the Respondent appointed the Petitioner as a<\/p>\n<p>    dealer on a principal to principal basis for the sale of the Respondent&#8217;s LPG<\/p>\n<p>    in cylinders. It is common ground that the disputes and differences between<\/p>\n<p>    the parties were rightly referred to arbitration in view of the arbitration<\/p>\n<p>    agreement contained in clause 38 of the said agreement.\n<\/p>\n<p id=\"p_4\">    3.    Even prior to the agreement dated 17th August, 2004, the Petitioner<\/p>\n<p>    had been appointed by the Respondent as a dealer. The appointment<\/p>\n<p>    continued thereafter under various similar agreements entered into between<\/p>\n<p>    the parties from time to time ending with the said agreement dated 17th<\/p>\n<p>    August, 2004. The agreement was for a period of five years from 28th<\/p>\n<p>    March, 2004 to 27th March, 2009.\n<\/p>\n<p id=\"p_5\">    4.    The Respondent informed the Petitioner on several occasions that it<\/p>\n<p>    was dissatisfied with the manner in which the Petitioner was carrying out the<\/p>\n<p><span class=\"hidden_text\" id=\"span_1\">                                                                   ::: Downloaded on &#8211; 09\/06\/2013 16:22:49 :::<\/span><br \/>\n              This Order is modified\/corrected by Speaking to Minutes Order<\/p>\n<p>                                            3                                ARBP1007.09.doc<\/p>\n<p>    dealership agreement.        Ultimately, the Respondent served a show cause<\/p>\n<p>    notice dated 23rd January, 2008, alleging that the Petitioner had committed<\/p>\n<p>    various breaches of the terms and conditions of the agreement and, in<\/p>\n<p>    particular, clauses 5, 6, 10, 11, 24A, 28A, 28B(g), (h), (i) and (k) thereof.\n<\/p>\n<p id=\"p_6\">    The Respondent considered the reply filed by the Petitioner unsatisfactory<\/p>\n<p>    and, therefore, by a letter dated 3rd June, 2008, suspended the refill supplies,<\/p>\n<p>    took over possession of the premises owned by the Respondent and let to the<\/p>\n<p>    Petitioner on licence to operate the dealership agreement, and handed over<\/p>\n<p>    the same to a new dealer.\n<\/p>\n<p id=\"p_7\">    5.    Aggrieved by the Respondent&#8217;s action, the Petitioner challenged the<\/p>\n<p>    same by filing a writ petition in this court. Pursuant to an order dated 4 th<\/p>\n<p>    September, 2008, the reference was made to arbitration.\n<\/p>\n<p id=\"p_8\">    6.    By a letter dated 13th September, 2008, the Respondent terminated the<\/p>\n<p>    dealership agreement. The Petitioner raised various claims based on the<\/p>\n<p>    contention that the termination of the agreement was wrongful and illegal.\n<\/p>\n<p id=\"p_9\">    The Petitioner sought an award to quash and set aside the order of<\/p>\n<p>    suspension and termination and to direct the Respondent to restore the<\/p>\n<p><span class=\"hidden_text\" id=\"span_2\">                                                                    ::: Downloaded on &#8211; 09\/06\/2013 16:22:49 :::<\/span><br \/>\n              This Order is modified\/corrected by Speaking to Minutes Order<\/p>\n<p>                                            4                                ARBP1007.09.doc<\/p>\n<p>    dealership agreement and possession of the said premises. In the alternative,<\/p>\n<p>    the Petitioner sought an order for payment of Rs.24,44,076.09 and a sum of<\/p>\n<p>    Rs.12,00,000\/- for a minimum period of ten years towards reimbursement of<\/p>\n<p>    future losses assuming that the agreement would be renewed after its expiry.\n<\/p>\n<p id=\"p_10\">    7.    The arbitrator, therefore, rightly considered the main question as to<\/p>\n<p>    whether the termination was wrongful and illegal. If the termination was<\/p>\n<p>    justified, the Petitioner&#8217;s claim would require to be rejected. The arbitrator<\/p>\n<p>    found the termination to be justified on various grounds. In other words, he<\/p>\n<p>    found the complaints and contentions of the Respondent regarding the<\/p>\n<p>    manner in which the Petitioner conducted the dealership agreement to be<\/p>\n<p>    justified. The arbitrator found that there were at least five substantial<\/p>\n<p>    breaches on the part of the Petitioner, which justified the Respondent<\/p>\n<p>    terminating the dealership agreement. Indeed, even if one of these grounds<\/p>\n<p>    can be sustained, the Respondent would be justified in terminating the<\/p>\n<p>    agreement. I, therefore, do not intend dealing with all the reasons mentioned<\/p>\n<p>    by the arbitrator. I will refer only to a few of them.\n<\/p>\n<p><span class=\"hidden_text\" id=\"span_3\">                                                                    ::: Downloaded on &#8211; 09\/06\/2013 16:22:49 :::<\/span><\/p>\n<p id=\"p_11\">             This Order is modified\/corrected by Speaking to Minutes Order<\/p>\n<p>                                           5                                ARBP1007.09.doc<\/p>\n<p id=\"p_12\">    8.    The arbitrator found that there were repeated diversions of LPG refills<\/p>\n<p>    during February, 2005 to November, 2005, which was in violation of the<\/p>\n<p>    dealership agreement and, in particular, the clauses mentioned earlier. The<\/p>\n<p>    arbitrator found important the fact that the Petitioner had accepted that there<\/p>\n<p>    were diversions, but had blamed the same on the commercial establishments<\/p>\n<p>    and her own staff\/delivery men for the same. The Petitioner contended that<\/p>\n<p>    it was not possible for her to check the illegal connections and her duty was<\/p>\n<p>    only to report the same to the Respondent who ought to have taken<\/p>\n<p>    necessary action to remedy the situation.\n<\/p>\n<p id=\"p_13\">          The arbitrator rejected this contention as a valid defence to the breach.\n<\/p>\n<p id=\"p_14\">    He posed the correct question viz. as to whose responsibility was it to arrest<\/p>\n<p>    the diversions of domestic cylinders to commercial establishments or to any<\/p>\n<p>    other non-existent, non-genuine customers. Clause 18 of the dealership<\/p>\n<p>    agreement reads as under :-\n<\/p>\n<blockquote id=\"blockquote_1\"><p>                       &#8220;18. In all contracts or engagements entered into<br \/>\n                 by the Delaer with the customers for sale of LPG and\/or<\/p>\n<p>                 the sale and\/or installation and\/or repairs of appliance<br \/>\n                 and\/or connection thereof with LPG cylinders (filled or<br \/>\n                 empty) and\/or refills and\/or pressure regulators and\/or<br \/>\n                 attached equipment the Dealers shall act and shall always<br \/>\n                 be deemed to have acted as a principal and not as an<br \/>\n                 agent or on account of the Corporation, and the<\/p>\n<p><span class=\"hidden_text\" id=\"span_4\">                                                                   ::: Downloaded on &#8211; 09\/06\/2013 16:22:49 :::<\/span><br \/>\n              This Order is modified\/corrected by Speaking to Minutes Order<\/p>\n<p>                                            6                                ARBP1007.09.doc<\/p>\n<p>                  Corporation shall not in any way be liable in any manner<br \/>\n                  in respect of such contracts and\/or engagements and\/or in<\/p>\n<p>                  respect of any act or omission on the part of the Dealer,<br \/>\n                  his servants, agents and workmen in regard to such<\/p>\n<p>                  installation, sale, distribution, connections, repairs or<br \/>\n                  otherwise, the Dealer shall be bound to inform the<br \/>\n                  customers in writing of this provision, through<br \/>\n                  correspondence or at the time of enrollment, of the<\/p>\n<p>                  customer.&#8221;\n<\/p><\/blockquote>\n<p id=\"p_15\">    9.    The arbitrator construed the clause and held that the principal to<\/p>\n<p>    principal relationship between the parties was not limited only to non-\n<\/p>\n<p id=\"p_16\">    transfer of liabilities as contended on behalf of the Petitioner, but that it was<\/p>\n<p>    the total responsibility of the Petitioner to take all necessary steps to arrest<\/p>\n<p>    such diversions. The arbitrator emphasized the fact that the Petitioner&#8217;s own<\/p>\n<p>    case was that her delivery men were also responsible for the same.\n<\/p>\n<p id=\"p_17\">    10.   The reasoning cannot be faulted. The clause expressly states that the<\/p>\n<p>    Respondent would not, in any way, be liable in any manner in respect of the<\/p>\n<p>    contracts between the dealers and the customers in respect of any act or<\/p>\n<p>    omission on the part not merely of the dealer\/Petitioner, but also on the part<\/p>\n<p>    of the dealer&#8217;s\/Petitioner&#8217;s servants, agents and workmen.                     The clause,<\/p>\n<p>    therefore, has been correctly construed. To say the least in favour of the<\/p>\n<p>    Respondent, the clause is certainly capable of being construed in that<\/p>\n<p><span class=\"hidden_text\" id=\"span_5\">                                                                    ::: Downloaded on &#8211; 09\/06\/2013 16:22:49 :::<\/span><br \/>\n              This Order is modified\/corrected by Speaking to Minutes Order<\/p>\n<p>                                            7                                ARBP1007.09.doc<\/p>\n<p>    manner. Even if I were, therefore, to have interpreted the clause differently,<\/p>\n<p>    it would not have justified setting aside the reasoning on that ground.\n<\/p>\n<p id=\"p_18\">    11.   The arbitrator has also held that even on general principles of law, the<\/p>\n<p>    Petitioner was responsible for the acts of her servants. It was held that the<\/p>\n<p>    Respondent could never be responsible for the acts of the Petitioner&#8217;s<\/p>\n<p>    servants. I agree.\n<\/p>\n<p id=\"p_19\">    12.   It is pertinent to note that the Petitioner had herself in one of her<\/p>\n<p>    letters accepted the fact that the cylinders were being sold without refill<\/p>\n<p>    bookings. The arbitrator rightly rejected the contention that it is not the<\/p>\n<p>    Petitioner, but the Respondent who should be held liable for the same.\n<\/p>\n<p id=\"p_20\">    13.   Based on this erroneous contention, the Petitioner refused to pay the<\/p>\n<p>    penalty levied upon her which was also contrary to the dealership<\/p>\n<p>    agreement.\n<\/p>\n<p id=\"p_21\">    14.   Mr. Ankhad, the learned counsel appearing on behalf of the Petitioner<\/p>\n<p>    challenged the finding in this regard on the basis that the refill order reports<\/p>\n<p><span class=\"hidden_text\" id=\"span_6\">                                                                    ::: Downloaded on &#8211; 09\/06\/2013 16:22:49 :::<\/span><br \/>\n              This Order is modified\/corrected by Speaking to Minutes Order<\/p>\n<p>                                            8                                ARBP1007.09.doc<\/p>\n<p>    were relied upon by the arbitrator in favour of the Respondent. Mr. Ankhad<\/p>\n<p>    submitted that the Respondent led no evidence to establish the truth of the<\/p>\n<p>    contents of the refill records.\n<\/p>\n<p id=\"p_22\">    15.   Firstly, even it this contention is upheld, it would make no difference<\/p>\n<p>    for the reasons set out earlier. Secondly, the arbitrator weighed the evidence<\/p>\n<p>    and rightly proceeded on the basis of a balance of possibility regarding the<\/p>\n<p>    correctness of the contents of the refill audit reports. He did so on the basis<\/p>\n<p>    that the same were signed, not merely by the Respondent&#8217;s officials, but also<\/p>\n<p>    by the Petitioner. The Petitioner refuted the correctness thereof, only later.\n<\/p>\n<p id=\"p_23\">    The arbitrator is not bound by the strict rules of evidence. The Petitioner<\/p>\n<p>    was always present when the audit was being carried out and the reports<\/p>\n<p>    were signed by the Petitioner. The reliance upon the refill audit reports,<\/p>\n<p>    therefore, cannot be said to be perverse or unsustainable.\n<\/p>\n<p id=\"p_24\">    16.   Thus, in view of the above finding itself, the Respondent was justified<\/p>\n<p>    in terminating the agreement. Repeated diversions of LPG refills was a<\/p>\n<p>    serious breach of the terms of the contract. The finding in this regard can,<\/p>\n<p><span class=\"hidden_text\" id=\"span_7\">                                                                    ::: Downloaded on &#8211; 09\/06\/2013 16:22:49 :::<\/span><br \/>\n             This Order is modified\/corrected by Speaking to Minutes Order<\/p>\n<p>                                           9                                ARBP1007.09.doc<\/p>\n<p>    by no stretch of imagination, be said to be perverse on any ground<\/p>\n<p>    whatsoever.\n<\/p>\n<p id=\"p_25\">    17.   The arbitrator also found that the Petitioner had not provided the<\/p>\n<p>    rebate to the customers. The arbitrator also upheld the termination on the<\/p>\n<p>    ground that there was shortage of cylinders. In this regard, he justifiably<\/p>\n<p>    considered important the fact that the Petitioner had herself accepted that<\/p>\n<p>    there was a shortage of 47 cylinders of 14.2 kg. and 156 cylinders of 19 kg.\n<\/p>\n<p id=\"p_26\">    The Petitioner had refused to pay for the same on the ground that the<\/p>\n<p>    Respondent had wrongly claimed that there was a shortage of 276 cylinders<\/p>\n<p>    of 19 kg. and that this was because no reconciliation of cylinders and<\/p>\n<p>    regulators was carried out since 1996. The Petitioner contended that it was<\/p>\n<p>    the Respondent&#8217;s responsibility to reconcile the stocks for verification and<\/p>\n<p>    payment. The Petitioner had requested for the same repeatedly, but the<\/p>\n<p>    Respondent had refused to do so.\n<\/p>\n<p id=\"p_27\">          The arbitrator upheld the Respondent&#8217;s contention that it was the<\/p>\n<p>    Petitioner&#8217;s responsibility to maintain the stock on a daily basis and to<\/p>\n<p>    submit the reconciled statement of cylinders and regulators on a<\/p>\n<p>    weekly\/regular basis for verification.\n<\/p>\n<p><span class=\"hidden_text\" id=\"span_8\">                                                                   ::: Downloaded on &#8211; 09\/06\/2013 16:22:49 :::<\/span><\/p>\n<p id=\"p_28\">              This Order is modified\/corrected by Speaking to Minutes Order<\/p>\n<p>                                            10                               ARBP1007.09.doc<\/p>\n<p id=\"p_29\">    18.   The arbitrator once gain posed the correct question by observing that<\/p>\n<p>    the crux of the issue is to find out who was responsible for the reconciliation<\/p>\n<p>    of cylinders and regulators and to prepare the reconciliation statement. He<\/p>\n<p>    then set out clause 24 of the dealership agreement which reads as under :-\n<\/p>\n<blockquote id=\"blockquote_1\"><p>                  &#8220;24. All correspondence, accounts returns of stocks and<\/p>\n<p>                  sales, and such other documents as may be required by<br \/>\n                  the Corporation shall be made written neatly and<\/p>\n<p>                  correctly in English or Hindi language and all accounts<br \/>\n                  shall be produced for inspection of the Corporation&#8217;s<\/p>\n<p>                  representatives at any time when called upon by them to<br \/>\n                  do so. The Dealer shall send to the Corporation either<br \/>\n                  fortnightly or at such other intervals as the Corporation<br \/>\n                  from time to time determine a report of all sales effected<br \/>\n                  by the Dealer and of the unsold stocks in his custody in<\/p>\n<p>                  the form to be prescribed by the Corporation.&#8221;<\/p><\/blockquote>\n<p id=\"p_30\">          The arbitrator construed the clause to fix the responsibility on the<\/p>\n<p>    Petitioner to prepare and submit the statements. The reasoning is correct. It<\/p>\n<p>    is, in any event, not unsustainable or perverse.\n<\/p>\n<p id=\"p_31\">    19.   In this view of the matter, it is not necessary to deal with the findings<\/p>\n<p>    of the learned arbitrator upholding the Respondent&#8217;s contention regarding<\/p>\n<p>    the other breaches of the dealership agreement. Even if the other reasons<\/p>\n<p><span class=\"hidden_text\" id=\"span_9\">                                                                    ::: Downloaded on &#8211; 09\/06\/2013 16:22:49 :::<\/span><br \/>\n             This Order is modified\/corrected by Speaking to Minutes Order<\/p>\n<p>                                           11                               ARBP1007.09.doc<\/p>\n<p>    cannot be sustained, the above findings were sufficient to hold that the<\/p>\n<p>    Respondent was justified in rejecting the Petitioner&#8217;s claims.\n<\/p>\n<p id=\"p_32\">    20.   This brings me to the challenge to the award insofar as the arbitrator<\/p>\n<p>    has directed the Petitioner to pay various amounts to the Respondent. The<\/p>\n<p>    arbitrator has directed the claimant to pay a sum of Rs.10,39,474.68 towards<\/p>\n<p>    penalties levied against the Petitioner from the date they were due; a sum of<\/p>\n<p>    Rs.34,700\/- towards stock verification; a sum of Rs.5,35,191.69 towards<\/p>\n<p>    debit balance in legacy account; a sum of Rs.1,27,669.54 towards debit<\/p>\n<p>    balance in the ERP account and a sum of Rs.1,07,298\/- towards non paid<\/p>\n<p>    show room and godown licene fee. The above amounts have been directed<\/p>\n<p>    to be paid with interest from the dates they were due. There is a high degree<\/p>\n<p>    of possibility that amounts may be due for payment by the Petitioner to the<\/p>\n<p>    Respondent in view of the fact that the Petitioner had committed several<\/p>\n<p>    breaches of the agreement and the termination of the agreement by the<\/p>\n<p>    Respondent is held to be valid. However, the entire award deals only with<\/p>\n<p>    the submissions of the Petitioner in support of her claims. The award<\/p>\n<p>    contains sufficient and, if I may add with respect, cogent reasons for<\/p>\n<p>    rejecting the Petitioner&#8217;s contentions and claims. Unfortunately, there are no<\/p>\n<p><span class=\"hidden_text\" id=\"span_10\">                                                                   ::: Downloaded on &#8211; 09\/06\/2013 16:22:49 :::<\/span><br \/>\n              This Order is modified\/corrected by Speaking to Minutes Order<\/p>\n<p>                                            12                               ARBP1007.09.doc<\/p>\n<p>    reasons whatsoever for allowing the Respondent&#8217;s claims\/counter claims.\n<\/p>\n<p id=\"p_33\">    There is nothing to indicate how the amounts have been computed.                               I<\/p>\n<p>    repeatedly asked Mr. Bhalwal to indicate whether any reasons could be<\/p>\n<p>    deciphered from the award, either expressly or even by implication in<\/p>\n<p>    support of the arbitrator having awarded the amounts in favour of the<\/p>\n<p>    Respondent. I granted time to consider this aspect.\n<\/p>\n<p id=\"p_34\">    21.   Mr. Bhalwal conceded that there were no reasons whatsoever in<\/p>\n<p>    support of the amounts granted by the arbitrator in favour of the Respondent.\n<\/p>\n<p id=\"p_35\">    He, however, submitted that even if an award contains no reasons, it cannot<\/p>\n<p>    be set aside. In this regard, he relied upon a judgment of the Supreme Court<\/p>\n<p>    in <a href=\"\/doc\/1404079\/\" id=\"a_2\">Paradip Port Trust &amp; ors. v. Unique Builders<\/a>, etc., AIR 2001 SC 846.\n<\/p>\n<p id=\"p_36\">    The judgment does not support the contention. The award in that matter did<\/p>\n<p>    not contain any reasons and was a non speaking one. However, that matter<\/p>\n<p>    was governed by the <a href=\"\/doc\/1052228\/\" id=\"a_3\">Arbitration Act<\/a>, 1940 and not by the Arbitration and<\/p>\n<p>    <a href=\"\/doc\/1306164\/\" id=\"a_4\">Conciliation Act<\/a>, 1996. Under the 1996 Act, reasons are mandatory. In the<\/p>\n<p>    circumstances, the petition succeeds only partly to the extent of the arbitrator<\/p>\n<p>    having directed the Petitioner to pay the various amounts to the Respondent.\n<\/p>\n<p><span class=\"hidden_text\" id=\"span_11\">                                                                    ::: Downloaded on &#8211; 09\/06\/2013 16:22:49 :::<\/span><\/p>\n<p id=\"p_37\">              This Order is modified\/corrected by Speaking to Minutes Order<\/p>\n<p>                                            13                               ARBP1007.09.doc<\/p>\n<p id=\"p_38\">    22.   However, in view of the fact that the award is set aside to the extent<\/p>\n<p>    mentioned above only on the ground that it does not contain reasons, it<\/p>\n<p>    would be open to the Respondent to adopt appropriate proceedings in<\/p>\n<p>    respect thereof, including seeking a fresh reference for the same.\n<\/p>\n<p id=\"p_39\">    23.   With the above clarification\/liberty reserved to the Respondent, the<\/p>\n<p>    petition is disposed of by the following order :\n<\/p>\n<blockquote id=\"blockquote_2\"><p>                                          ORDER:\n<\/p><\/blockquote>\n<blockquote id=\"blockquote_3\"><p>                  The award is upheld to the extent that it rejects the<\/p>\n<p>          Petitioner&#8217;s claims. The award is set aside only to the extent<\/p>\n<p>          that it grants some of the Respondent&#8217;s claims. There is no<\/p>\n<p>          challenge by the Respondent to the award insofar as it awards<\/p>\n<p>          certain amounts to the Petitioner. That part of the award is also,<\/p>\n<p>          therefore, upheld.
