SHAH\n\t\t\n\t\n\n \n\nDate\n: 06\/05\/2010 \n\n \n\nORAL\nJUDGMENT<\/pre>\n<p id=\"p_1\">1.\tThe<br \/>\npresent petition is filed by the petitioner   Samruddhi Cement<br \/>\nLimited (the transferee Company) for sanction of the Scheme of<br \/>\nArrangement between Grasim Industries Limited (the transferor<br \/>\nCompany) and the petitioner transferee Company and their respective<br \/>\nshareholders and creditors.\n<\/p>\n<p id=\"p_1\">2.\tShri<br \/>\nMihir Joshi, learned Senior Advocate appearing on behalf of the<br \/>\napplicant has submitted that pursuant to the order passed by this<br \/>\nCourt dated 12th November 2009, in Company Application<br \/>\nNo.403\/2009, having procured, obtained and produced on record the<br \/>\nconsent in writing by the equity shareholders of the petitioner<br \/>\nCompany to the proposed Scheme of Arrangement, the meeting of the<br \/>\nequity shareholders of the petitioner transferee Company was ordered<br \/>\nto be dispensed with.  It is submitted that there no secured and<br \/>\nunsecured creditors of the petitioner transferee Company.\n<\/p>\n<p id=\"p_2\">3.\tIt<br \/>\nis further submitted that by Shri Joshi, learned Senior Advocate<br \/>\nappearing on behalf of the petitioner transferee Company that the<br \/>\ntransferor Company had already approached the High Court of Madhya<br \/>\nPradesh at Indore by way of Company Petition No.2\/2010 to sanction<br \/>\nthe Scheme of Arrangement between the transferor Company and the<br \/>\ntransferee Company and by judgment and order dated 31st<br \/>\nMarch 2010, the Madhya Pradesh High Court has sanctioned the Scheme<br \/>\nof Arrangement between the transferor and transferee Company.<br \/>\nTherefore, it is requested to consider and sanction the proposed<br \/>\nScheme of Arrangement between the transferor and transferee Company.\n<\/p>\n<p id=\"p_3\">4.\tThis<br \/>\nCourt by its order dated 19th November 2009, admitted the<br \/>\npresent Company Petition and directed issuance of notice to the<br \/>\nRegional Director.  This Court also directed publication of notice of<br \/>\npetition in  Indian Express , Ahmedabad Edition and in  Gujarat<br \/>\nSamachar , Ahmedabad Edition.  It is reported that the petitioner<br \/>\nCompany has published the notice of petition in aforesaid two local<br \/>\nnewspapers on 27th November 2009.  The affidavit has been<br \/>\nfiled on behalf of the petitioner Company dated 30th<br \/>\nNovember 2009 confirming the publication of notice in the newspapers<br \/>\nas directed and also the notice of hearing of the petition served<br \/>\nupon the Regional Director.  This Court has not received any<br \/>\nobjection from any person objecting to the proposed Scheme of<br \/>\nArrangement between the transferor and transferee Company.\n<\/p>\n<p id=\"p_4\">5.\tIn<br \/>\nresponse to the notice to the Regional Director, the Regional<br \/>\nDirector has filed the affidavit dated 10th May 2010<br \/>\naffirmed by one Rakeshchandra, Regional Director, Western Region,<br \/>\nMinistry of Corporate Affairs, Mumbai and following observations are<br \/>\nmade by the Regional Director.\n<\/p>\n<p id=\"p_5\"> (i)\tThe<br \/>\nsubscribed capital of the Resulting Company is Rs.85 crores.  However<br \/>\nthe paid up capital is only Rs.17.04 crores represented by 1,00,000<br \/>\nequity shares of Rs.5\/- each fully paid up and 16.99 crores of equity<br \/>\nshares of Rs.5\/- partly paid up by Rs.1\/- each (called and paid up).<br \/>\nThe Resulting Company may be directed that the partly paid up shares<br \/>\nshall be fully paid up before giving effect to the scheme.\n<\/p>\n<p id=\"p_6\">(ii)\tThe new<br \/>\nshares to be issued by the resulting company shall be listed in the<br \/>\nrespective stock exchanges in which the shares of the Demerged<br \/>\nCompany are listed (BSE &amp; NSE) and shall comply with SEBI\/Stock<br \/>\nExchange Regulations.\n<\/p>\n<p id=\"p_7\">(iii)\tThe<br \/>\nResulting Company shall comply with the provisions of section 94\/97<br \/>\nread with Schedule X of the Companies Act, 1956 for increasing its<br \/>\nauthorized capital and shall file necessary forms together with the<br \/>\napplicable filing fees and stamp duty with the Registrar of Companies<br \/>\nin this regard.\n<\/p>\n<p id=\"p_8\">(iv) \tThe<br \/>\nResulting Company shall comply with RBI guidelines in respect of<br \/>\nallotment of shares to NRI\/FIIS.\n<\/p>\n<p id=\"p_9\">6.\tConsidering<br \/>\nthe above, it appears that save and except the above<br \/>\nobservations\/objections, nothing has been pointed out by the Regional<br \/>\nDirector by which it can be said that the proposed Scheme of<br \/>\nArrangement shall be prejudicial to the interest of the shareholders<br \/>\nand public.  No other objections has been raised by the Regional<br \/>\nDirector to the proposed Scheme of Arrangement.\n<\/p>\n<p id=\"p_10\">\tIn<br \/>\nrespect of the aforesaid observations, Shri Mihir Joshi, learned<br \/>\nSenior Advocate appearing on behalf of the petitioner has submitted<br \/>\nthat 16.99 crores, equity shares of the face value of Rs.5 each on<br \/>\nwhich Rs.1 each was called up, have already been made fully paid on<br \/>\n31st March 2010.  In support of the above, he has relied<br \/>\nupon the certificate of the Chartered Accountant which is at Page 109<br \/>\nof the petition.\n<\/p>\n<p id=\"p_11\">\tIn<br \/>\nrespect of the observation No.(ii) of the Regional Director, Shri<br \/>\nJoshi, learned Senior Advocate appearing on behalf of the petitioner<br \/>\nhas submitted that as per Clause 14(g) of the Scheme of Arrangement,<br \/>\nall the equity shares of the petitioner Company including those to be<br \/>\nissued in terms of the Scheme of Arrangement shall be listed and\/or<br \/>\nadmitted to trading on the Bombay Stock Exchange Limited and the<br \/>\nNational Stock Exchange of India Limited on which the shares of<br \/>\nGrasim Industries Limited (the transferor Company) are presently<br \/>\nlisted.\n<\/p>\n<p id=\"p_12\">\tIn<br \/>\nrespect of observation No.(iii), Shri Joshi, learned Senior Advocate<br \/>\nappearing on behalf of the petitioner has submitted that as per<br \/>\nClause 20 and 22 of the Scheme of Arrangement, the petitioner Company<br \/>\nshall comply with the provisions of sections 94\/97 read with schedule<br \/>\nX of the Companies Act, 1956 for increasing its authorized capital<br \/>\nand shall file necessary forms and pay applicable filing fees and<br \/>\nstamp duty to the Registrar of Companies.\n<\/p>\n<p id=\"p_13\">\tIn<br \/>\nrespect of observation No.(iv),  Shri Joshi, learned Senior Advocate<br \/>\nappearing on behalf of the petitioner has further submitted that the<br \/>\npetitioner Company shall comply with the RBI guidelines in respect of<br \/>\nallotment of shares to NRIs\/FIIs pursuant to the sanctioning of the<br \/>\nScheme of Arrangement.\n<\/p>\n<p id=\"p_14\">\tConsidering<br \/>\nthe aforesaid submissions made by Shri Joshi, learned Senior Advocate<br \/>\nappearing on behalf of the petitioner Company with respect to each<br \/>\nobservations made by the Regional Director and subject to complying<br \/>\nwith the aforesaid by the petitioner Company, there is no reason to<br \/>\nrefuse to sanction of the Scheme of Arrangement.  The petitioner<br \/>\nCompany is directed to comply with what is submitted by Shri Joshi,<br \/>\nlearned Senior Advocate appearing on behalf of the petitioner with<br \/>\nrespect to each of the observations recorded hereinabove.\n<\/p>\n<p id=\"p_15\">7.\tConsidering<br \/>\nthe aforesaid facts and circumstances and considering the fact that<br \/>\nthe proposed Scheme of Arrangement is already sanctioned by the High<br \/>\nCourt of Madhya Pradesh at Indore in the petition filed by the<br \/>\ntransferee Company and considering the submissions made by  Shri<br \/>\nJoshi, learned Senior Advocate appearing on behalf of the petitioner<br \/>\nwith respect to each of the observations recorded hereinabove, I hold<br \/>\nthere are no grounds or circumstances to refuse grant of approval to<br \/>\nthe proposed Scheme of Arrangement.  On considering and perusing the<br \/>\nScheme of Arrangement and the proceedings, it appears that the<br \/>\nrequirement of the provisions of <a href=\"\/doc\/1562602\/\" id=\"a_1\">sections 391<\/a> to <a href=\"\/doc\/301194\/\" id=\"a_1\">394<\/a> of the Companies<br \/>\nAct, 1956 is satisfied.  The Scheme of Arrangement is genuine and<br \/>\nbonafide and in the interest of the shareholders.\n<\/p>\n<p id=\"p_16\">8.\tUnder<br \/>\nthe circumstances and accordingly, the present petition is allowed<br \/>\nand the proposed Scheme of Arrangement is hereby approved and<br \/>\nsanctioned.  Prayers made in paragraph 21 of the Company Petition is<br \/>\nhereby granted.\n<\/p>\n<p id=\"p_17\">9.\tThe<br \/>\npetition is allowed accordingly.  Fees of the learned Assistant<br \/>\nSolicitor General of India, Shri P.S. Champaneri is quantified at<br \/>\nRs.5,000\/-.
