SHAH<\/p>\n<p>and<\/p>\n<p>HONOURABLE<br \/>\n\t\t\tMR.JUSTICE K.A.PUJ<\/p>\n<p>Date<br \/>\n: 23\/10\/2008<br \/>\nCAV JUDGMENT <\/p>\n<p>(Per<br \/>\n: HONOURABLE MR.JUSTICE K.A.PUJ)<\/p>\n<p>The<br \/>\n\tappellant has filed this appeal against the order and judgment of<br \/>\n\tthe learned Company Judge dated 30.07.2002 passed in Company<br \/>\n\tApplication No.193 of 2001 rejecting the prayer made by the<br \/>\n\tapplicant for handing over the possession to the applicant,<br \/>\n\tfollowing the decision of this Court in the case of legal heirs of<br \/>\n\tdeceased Fakirchand Ambaram Patel V\/s. Official Liquidator of Amruta<br \/>\n\tMills Limited, 2002 (3) GLH 367.\n<\/p>\n<p id=\"p_16\">Heard<br \/>\n\tlearned Counsels appearing for the parties and perused the documents<br \/>\n\tas well as their respective pleadings.\n<\/p>\n<p id=\"p_17\">The<br \/>\n\tland in question was originally given on lease to Sarangpur Cotton<br \/>\n\tMills Company Limited which had gone into liquidation.  The<br \/>\n\tmanagement of the Company was taken over by Gujarat State Textile<br \/>\n\tCorporation, a Government Company incorporated on 30.11.1968.  The<br \/>\n\tGovernment of Gujarat passed an Ordinance being Ordinance No. 18 of<br \/>\n\t1985 i.e. Gujarat Closed Textile Undertakings (Nationalization)<br \/>\n\tOrdinance, 1985.  The said Ordinance was subsequently substituted by<br \/>\n\tthe Gujarat Act, X of 1986 i.e. Gujarat Closed Textile Undertakings<br \/>\n\t(Nationalization) Act, 1986.  Under the said Ordinance, specified<br \/>\n\ttextile undertakings were nationalised under Section 3 thereof and<br \/>\n\tthe said specified textile undertakings stood transferred to and<br \/>\n\tvested absolutely in the State Government.  Sarangpur Cotton Mills<br \/>\n\tLimited, Ahmedabad was specified textile undertaking.  Under the<br \/>\n\tprovisions of the said Act, the said specified textile undertaking<br \/>\n\tvested and transferred in the Gujarat State Textile Corporation,<br \/>\n\twhich is a Government of Gujarat Company, and the Gujarat Government<br \/>\n\tbeing the sole contributory and shareholder of the Company.\n<\/p>\n<p id=\"p_18\">At<br \/>\n\tthe relevant time, there were 17 textile Mills of GSTC as per the<br \/>\n\tannual report and accounts for the year 1994 95.   On account of<br \/>\n\tstringent crisis in the textile industry in the whole of the State<br \/>\n\tof Gujarat and other relevant reasons, GSTC could not do well and,<br \/>\n\ttherefore, GSTC approached the Board for Industrial &amp; Financial<br \/>\n\tReconstruction (for short &#8216;BIFR&#8217;) for revival and reconstruction of<br \/>\n\tthe Company.  BIFR, after hearing the parties concerned, found that<br \/>\n\tit was not possible to meet the losses suffered by the GSTC within a<br \/>\n\treasonable time and there was no likelihood of the GSTC being<br \/>\n\trevived in future and, therefore, opinion was forwarded by BIFR to<br \/>\n\tthis Court under <a href=\"\/doc\/980768\/\" id=\"a_1\">Section 20<\/a> of Sick Industrial Companies (Special<br \/>\n\tProvisions) Act, 1985 (for short &#8216;SICA&#8217;) for winding up of GSTC.<br \/>\n\tThat opinion was registered as Company Petition No.205 of 1996 in<br \/>\n\tthe registry of this Court and the notices were issued upon the<br \/>\n\tBanks, labour Union and other financial institutions.  Ultimately,<br \/>\n\tafter hearing the concerned parties, this Court vide its order dated<br \/>\n\t06.02.1997, has passed an order to wind up GSTC and the Official<br \/>\n\tLiquidator attached to this Court was appointed to take over the<br \/>\n\tcharge of all assets and properties of the GSTC including possession<br \/>\n\tthereof and Gujarat Industrial Development Corporation (for short<br \/>\n\t&#8216;GIDC&#8217;) was appointed as an Agent of Official Liquidator under<br \/>\n\t<a href=\"\/doc\/438563\/\" id=\"a_1\">Section 457<\/a> (2) (v) of the <a href=\"\/doc\/1353758\/\" id=\"a_2\">Companies Act<\/a>, 1956 for the purpose of<br \/>\n\tprotection, preservation and disposal of the properties and the said<br \/>\n\tAgent GIDC was to act under the instructions of the Official<br \/>\n\tLiquidator.\n<\/p>\n<p id=\"p_19\">It<br \/>\n\tis in the above background of the matter, the applicant has filed<br \/>\n\tapplication for handing over the possession of the land in question<br \/>\n\twhich was given on lease to the Company in liquidation.\n<\/p>\n<p id=\"p_20\">The<br \/>\n\tbuildings and machineries of the Company in winding up were sold.<br \/>\n\tWhen it came to sell of the leasehold rights of the Company in<br \/>\n\tliquidation over the land, the applicant claiming to be lessor<br \/>\n\tchallenge the right and power of the Official Liquidator to sell the<br \/>\n\tleasehold rights of the Company in winding up and had contended that<br \/>\n\tupon winding up order having been passed, the lessors were entitled<br \/>\n\tto get back possession of lands.\n<\/p>\n<p id=\"p_21\">By<br \/>\n\tjudgment dated 30.07.2002, the learned Company Judge rejected the<br \/>\n\tabove claim and held that the lease was a long term lease and the<br \/>\n\tleasehold rights over the land of the Company in winding up is the<br \/>\n\tassets of the Company which was put up for sale by the Official<br \/>\n\tLiquidator.\n<\/p>\n<p id=\"p_22\">This<br \/>\n\tCourt vide order dated 17.07.2006 passed in Company Application<br \/>\n\tNo.250 of 2006 moved by the State Government directed the Official<br \/>\n\tLiquidator to hand over possession of the immovable properties to<br \/>\n\tthe State Government.  Hence, the question of putting this property<br \/>\n\ton sale does not arise.  The contentions raised on behalf of the<br \/>\n\tlessors in the present appeal were also raised in OJ Appeal Nos.65<br \/>\n\tto 67 of 2006.  By our judgment dated 17.10.2008, we have rejected<br \/>\n\tthe contentions and dismissed the appeals of the lessors.\n<\/p>\n<p id=\"p_23\">Following<br \/>\n\tthe aforesaid decision, the present appeal also deserves to be<br \/>\n\tdismissed.  Accordingly, the appeal is dismissed.
