The Industrial<br \/>\nTribunal, Nadiad has rejected approval application filed by erstwhile<br \/>\nemployer &#8211; respondent No.2<br \/>\nherein under <a href=\"\/doc\/535397\/\" id=\"a_1\">Section 33(2)(b)<\/a> of I.D.Act,1947.\n<\/p>\n<p id=\"p_4\">5.\t\tLearned<br \/>\nadvocate Mr.Thakker submitted that this Unit has been taken over by<br \/>\nbusiness transfer agreement on 18.1.2007. Prior to that, it was not a<br \/>\nresponsibility of petitioner to comply with order passed by<br \/>\nIndustrial Tribunal, Nadiad while rejecting approval application<br \/>\nfiled by respondent No.2. He also submitted that at the time when<br \/>\nbusiness transfer agreement was entered between petitioner and<br \/>\nrespondent on 18.1.2007, condition was incorporated which is at<br \/>\nArticle VI. Relevant clause 6.02(b) and 6.02(c) is quoted as under :\n<\/p>\n<p id=\"p_5\">&#8220;6.02(b)\tThe<br \/>\nSeller agrees to furnish to each of the Employees of Seller a letter<br \/>\nproposing the transfer of their services to the Acquiror with effect<br \/>\nfrom Closing Date (the &#8220;Transfer Letter&#8221;). A proforma of<br \/>\nthe Transfer Letter to be issued to each of the concerned employees<br \/>\n(both in the case of employees who are &#8220;workmen&#8221; and<br \/>\nthose who are not covered as &#8220;workmen&#8221;) of the Seller is<br \/>\nhereto annexed and marked Exhibits I-1 and I-2 respectively. The<br \/>\nAcquiror has agreed to sign the Transfer Letters in token of its<br \/>\nacceptance of the terms and conditions of the transfer of services of<br \/>\nthe Employees of Seller.\n<\/p>\n<p id=\"p_6\">6.02(c)\tSuch<br \/>\nEmployees of Seller who accept such the transfer of services are<br \/>\ncollectively referred to as the &#8220;Transferred Employees&#8221;.&#8221;\n<\/p>\n<p id=\"p_7\">6.\t\tTherefore,<br \/>\nlearned advocate Mr.Thakker submitted that respondent No.1 &#8211;<br \/>\nemployee has not complied aforesaid two conditions of business<br \/>\ntransfer agreement dated 18.1.2007. Therefore, petitioner is not duty<br \/>\nbound or having any legal obligation to implement the aforesaid order<br \/>\npassed by Industrial Tribunal, Nadiad under <a href=\"\/doc\/535397\/\" id=\"a_1\">Section 33(2)(b)<\/a> of<br \/>\nI.D.Act,1947.\n<\/p>\n<p id=\"p_8\">7.\t\tIn<br \/>\nlight of aforesaid background and considering the fact that<br \/>\npetitioner was not a party to the aforesaid proceedings, therefore,<br \/>\npresent petition is not entertained by this Court only on that ground<br \/>\nand is accordingly disposed of at this stage without expressing any<br \/>\nopinion on merits.\n<\/p>\n<p id=\"p_9\">8.\t\tHowever,<br \/>\nit is made clear that in case if any proceedings is initiated by<br \/>\nrespondent No.1 &#8211;
