N.  Variava, J.\n<\/p>\n<p id=\"p_1\">      1.   This\t Civil Appeal is against the Judgment  dated<br \/>\n11th  January,\t1989  delivered by a Division Bench  of\t the<br \/>\nCalcutta  High\tCourt.\tBy this Judgment the Division  Bench<br \/>\ndismissed  the\tAppeal\tfiled  by the  Appellant  against  a<br \/>\nJudgment  of  a\t learned single Judge of the  Calcutta\tHigh<br \/>\nCourt  which  upheld the challenge of the 1st Respondent  to<br \/>\nOrdinances and <a href=\"\/doc\/1210757\/\" id=\"a_1\">Amendment Act<\/a> set out hereinafter.\n<\/p>\n<p id=\"p_2\">      2.   Briefly stated the facts are as follows:  On\t 6th<br \/>\nFebruary,  1925\t the Government of Uttar Pradesh granted  to<br \/>\none  M\/s  Martin  &amp; Co.\t a licence for\tsupply\tof  electric<br \/>\nenergy.\t  This\tlicence was subsequently transferred to\t the<br \/>\n1st Respondent.\t One of the terms of the licence was that at<br \/>\nthe  end of the licence period the Government had a right to<br \/>\npurchase  the undertaking.  The licence was for a period  of<br \/>\n50  years.   The  50  years period would  thus\tend  on\t 5th<br \/>\nFebruary,  1975.  On February 1, 1974 the Appellant served a<br \/>\nnotice\ton  the\t 1st Respondent, under <a href=\"\/doc\/1700493\/\" id=\"a_1\">Section 6(1)<\/a>  of\t the<br \/>\nIndian\tElectricity  Act, 1910 (hereinafter called the\tsaid<br \/>\nAct).  By this the Appellants called upon the 1st Respondent<br \/>\nto  sell  the undertaking to the Appellant on the expiry  of<br \/>\nthe period of 50 years from the commencement of the licence,<br \/>\ni.e.,  at  12 O&#8217;clock in the night between the 5th  and\t 6th<br \/>\nFebruary, 1975.\n<\/p>\n<p id=\"p_3\">      3.   On  February\t 4, 1975, Indian  Electricity  (U.P.<br \/>\nAmendment  and\tValidation)  Ordinance No.  7  of  1975\t was@@<br \/>\nJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJ<br \/>\npassed.\t  This\tOrdinance amended certain provisions of\t the<br \/>\n<a href=\"\/doc\/261195\/\" id=\"a_2\">Indian\tElectricity  Act<\/a>.  Subsequently this  Ordinance\t was<br \/>\nreplaced   by  an  Act\t namely\t Indian\t Electricity   (U.P.<br \/>\nAmendment  and <a href=\"\/doc\/187873126\/\" id=\"a_3\">Validation) Act<\/a>, 1976.  The Ordinance and the<br \/>\nAct  amended amongst others <a href=\"\/doc\/388223\/\" id=\"a_4\">Sections 6<\/a> and <a href=\"\/doc\/1607045\/\" id=\"a_5\">7-A<\/a> of the Indian<br \/>\nElectricity Act.\n<\/p>\n<p id=\"p_4\">      4.   At  this  stage it is necessary to see  what\t the<br \/>\nunamended  <a href=\"\/doc\/388223\/\" id=\"a_6\">Sections  6<\/a> and <a href=\"\/doc\/1607045\/\" id=\"a_7\">7-A<\/a> provided for.  They  read  as@@<br \/>\nJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJJ<br \/>\nfollows:\n<\/p>\n<p id=\"p_5\">      &#8220;6.   Purchase  of undertakings.\t&#8211; (1) Where  licence<br \/>\nhas been granted to any person, not being a local authority,<br \/>\nthe State Electricity Board shall, &#8211;\n<\/p>\n<p id=\"p_6\">      (a)  in  the  case  of a licence\tgranted\t before\t the<br \/>\ncommencement of the <a href=\"\/doc\/261195\/\" id=\"a_8\">Indian Electricity (Amendment) Act<\/a>, 1959<br \/>\n(32  of\t 1959), on the expiration of each such period as  is<br \/>\nspecified  in the licence;  and (b) in the case of a licence<br \/>\ngranted on or after the commencement of the said Act, on the<br \/>\nexpiration  of such period not exceeding thirty years and of<br \/>\nevery such subsequent period, not exceeding twenty years, as<br \/>\nshall be specified in this behalf in the licence;\n<\/p>\n<p id=\"p_7\">      have the option of purchasing the undertaking and such<br \/>\noption\tshall  be exercised by the State  Electricity  Board<br \/>\nserving\t upon  the licensee a notice in writing of not\tless<br \/>\nthan one year requiring the licensee to sell the undertaking<br \/>\nto  it\tat the expiry of the relevant period referred to  in<br \/>\nthis sub- section.\n<\/p>\n<p id=\"p_8\">      (2)  Where  a  State Electricity Board  has  not\tbeen<br \/>\nconstituted,  or if constituted, does not elect to  purchase<br \/>\nthe  undertaking,  the State Government shall have the\tlike<br \/>\noption\tto be exercised in the like manner of purchasing the<br \/>\nundertaking.\n<\/p>\n<p id=\"p_9\">      (3)  Where neither the State Electricity Board nor the<br \/>\nState  Government  elects to purchase the  undertaking,\t any<br \/>\nlocal  authority  constituted for an area within  which\t the<br \/>\nwhole  of the area of supply is included shall have the like<br \/>\noption\tto be exercised in the like manner of purchasing the<br \/>\nundertaking.\n<\/p>\n<p id=\"p_10\">      (4) If the State Electricity Board intends to exercise<br \/>\nthe option of purchasing the undertaking under this section,<br \/>\nit  shall send an intimation in writing of such intention to<br \/>\nthe  State  Government at least eighteen months\t before\t the<br \/>\nexpiry of the relevant period referred to in sub-section (1)<br \/>\nand  if\t no such intimation as aforesaid is received by\t the<br \/>\nState Government the State Electricity Board shall be deemed<br \/>\nto have elected not to purchase the undertaking.\n<\/p>\n<p id=\"p_11\">      (5)  If  the State Government intends to exercise\t the<br \/>\noption\tof purchasing the undertaking under this section, it<br \/>\nshall send an intimation in writing of such intention to the<br \/>\nlocal  authority, if any, referred to in sub- section (3) at<br \/>\nleast  fifteen\tmonths\tbefore the expiry  of  the  relevant<br \/>\nperiod\treferred  to  in  sub-section (1)  and\tif  no\tsuch<br \/>\nintimation  as aforesaid is received by the local authority,<br \/>\nthe  State Government shall be deemed to have elected not to<br \/>\npurchase the undertaking.\n<\/p>\n<p id=\"p_12\">      (6) Where a notice exercising the option of purchasing<br \/>\nthe undertaking has been served upon the licensee under this<br \/>\nsection,  the licensee shall deliver the undertaking to\t the<br \/>\nState  Electricity Board, the State Government or the  local<br \/>\nauthority,  as\tthe  case may be, on the expiration  of\t the<br \/>\nrelevant  period referred to in sub-section (1) pending\t the<br \/>\ndetermination and payment of the purchase price.\n<\/p>\n<p id=\"p_13\">      (7)  Where  an  undertaking is  purchased\t under\tthis<br \/>\nsection,  the  purchaser  shall\t pay  to  the  licensee\t the<br \/>\npurchase  price determined in accordance with the provisions<br \/>\nof sub-section (4) of <a href=\"\/doc\/1607045\/\" id=\"a_9\">Section 7-A<\/a>.&#8221;\n<\/p>\n<p id=\"p_14\">      5.   Thus,  under <a href=\"\/doc\/1700493\/\" id=\"a_10\">Section 6(1)<\/a> a notice in writing  of<br \/>\nnot  less  than\t one year was to be given and  the  purchase<br \/>\nprice was to be determined in accordance with the provisions<br \/>\nof sub-section (4) of <a href=\"\/doc\/1607045\/\" id=\"a_11\">Section 7-A<\/a>.\n<\/p>\n<p id=\"p_15\">      6.   <a href=\"\/doc\/1607045\/\" id=\"a_12\">Section  7-A<\/a>,  as it originally  stood,  read  as<br \/>\nfollows:   &#8220;7-A Determination of purchase price.- (1)  Where<br \/>\nan  undertaking of a licensee, not being a local  authority,<br \/>\nis  sold  under sub-section (1) of <a href=\"\/doc\/674525\/\" id=\"a_13\">Section 5<\/a>,  the  purchase<br \/>\nprice  of  the undertaking shall be the market value of\t the<br \/>\nundertaking at the time of purchase or where the undertaking<br \/>\nhas  been  delivered before the purchase under sub-  section<br \/>\n(3)  of\t that  section, at the time of the delivery  of\t the<br \/>\nundertaking  and  if  there  is any  difference\t or  dispute<br \/>\nregarding  such purchase price, the same shall be determined<br \/>\nby arbitration.\n<\/p>\n<p id=\"p_16\">      (2) The market value of an undertaking for the purpose<br \/>\nof  sub- section (1) shall be deemed to be the value of\t all<br \/>\nlands, buildings, works, materials and plant of the licensee<br \/>\nsuitable  to,  and  used  by him, for  the  purpose  of\t the<br \/>\nundertaking,  other than;  (i) a generating station declared<br \/>\nby  the licence not to form part of the undertaking for\t the<br \/>\npurpose of purchase, and (ii) service lines or other capital<br \/>\nworks or any part thereof which have been constructed at the<br \/>\nexpense\t of consumers, due regard being had to be nature and<br \/>\ncondition for the time being of such land, buildings, works,<br \/>\nmaterials  and plant and the state of repair thereof and  to<br \/>\nthe  circumstance  that they are in such position as  to  be<br \/>\nready  for  immediate working and to the suitability of\t the<br \/>\nsame  for  the purpose of the undertaking, but\twithout\t any<br \/>\naddition in respect of compulsory purchase or of goodwill or<br \/>\nof any profits which may be or might have been made from the<br \/>\nundertaking or of any similar consideration.\n<\/p>\n<p id=\"p_17\">      (3)  Where an undertaking of a licensee, being a local<br \/>\nauthority,  is\tsold  under sub-section (1)  of\t <a href=\"\/doc\/674525\/\" id=\"a_14\">Section  5<\/a>,<br \/>\npurchase price of the undertaking shall be such as the State<br \/>\nGovernment,  having  regard  to\t the  market  value  of\t the<br \/>\nundertaking  at the date of delivery of the undertaking, may<br \/>\ndetermine.\n<\/p>\n<p id=\"p_18\">      (4)  Where  an undertaking of a licensee is  purchased<br \/>\nunder  <a href=\"\/doc\/388223\/\" id=\"a_15\">Section\t6<\/a>,  the purchase price shall  be  the  value<br \/>\nthereof\t as determined in accordance with the provisions  of<br \/>\nsub-sections  (1)  and\t(2):  Provided that there  shall  be<br \/>\nadded  to such value percentage, if any not exceeding twenty<br \/>\nper  centum of that value as may be specified in the licence<br \/>\non account of compulsory purchase.&#8221;\n<\/p>\n<p id=\"p_19\">      7.  <a href=\"\/doc\/1177699\/\" id=\"a_16\">Section 7<\/a> is also relevant.  It reads as follows:\n<\/p>\n<p id=\"p_20\">      &#8220;7.   Vesting  of the undertaking in  the\t purchaser.-<br \/>\nWhere  an undertaking is sold under <a href=\"\/doc\/674525\/\" id=\"a_17\">Section 5<\/a> or <a href=\"\/doc\/388223\/\" id=\"a_18\">Section  6<\/a>,<br \/>\nthen upon the completion of the sale or on the date on which<br \/>\nthe  undertaking  is  delivered to the\tintending  purchaser<br \/>\nunder  sub-section (3) of <a href=\"\/doc\/674525\/\" id=\"a_19\">Section 5<\/a> or under sub-section (6)<br \/>\nof <a href=\"\/doc\/388223\/\" id=\"a_20\">Section 6<\/a>, as the case may be, whichever is earlier &#8211;\n<\/p>\n<p id=\"p_21\">      (i) the undertaking shall vest in the purchaser or the<br \/>\nintending purchaser, as the case may be, free from any debt,<br \/>\nmortgage  or similar obligation of the licensee or attaching<br \/>\nto  the undertaking:  Provided that any such debt,  mortgage<br \/>\nor  similar obligation shall attach to the purchase money in<br \/>\nsubstitution for the undertaking;\n<\/p>\n<p id=\"p_22\">      (ii)  the\t rights,  powers,  authorities,\t duties\t and<br \/>\nobligations  of\t the licensee under his licence shall  stand<br \/>\ntransferred  to\t the purchaser and such purchaser  shall  be<br \/>\ndeemed\tto  be\tthe  licensee:\t  Provided  that  where\t the<br \/>\nundertaking  is\t sold  or delivered to a  State\t Electricity<br \/>\nBoard  or  the State Government, the licence shall cease  to<br \/>\nhave further operation.&#8221;\n<\/p>\n<p id=\"p_23\">      8.   By the above mentioned Ordinance and the Act, the<br \/>\namendment which was carried out was that instead of purchase<br \/>\nprice  being the market value, it was now provided that\t the<br \/>\namount\tpayable for the undertaking would be the book  value<br \/>\nof  the undertaking.  Thus, instead of computing the  market<br \/>\nvalue, there had to be computation of the book value.\n<\/p>\n<p id=\"p_24\">      9.   It  must  be mentioned that the  above  mentioned<br \/>\nOrdinances  and\t <a href=\"\/doc\/1210757\/\" id=\"a_21\">Amendment  Act<\/a> were part of the  policy  of<br \/>\nnationalisation of electric companies by the Union of India.<br \/>\nSimilar\t amendments  were  made by  many  States.   Electric<br \/>\ncompanies,  all over India, were sought to be so  purchased.<br \/>\nLike   the  1st\t Respondent,  a\t number\t of  other  Electric<br \/>\nCompanies  challenged  the  constitutional validity  of\t the<br \/>\namending  Act\/Ordinance.  The challenge was, inter alia,  on<br \/>\nthe  ground  that  the\trights under  <a href=\"\/doc\/258019\/\" id=\"a_22\">Article  19(1)(f)<\/a>\t and<br \/>\n<a href=\"\/doc\/354224\/\" id=\"a_23\">Article 31(2)<\/a> were being violated.  It was also claimed that<br \/>\nthe  <a href=\"\/doc\/1596533\/\" id=\"a_24\">Amending  Act<\/a>\/Ordinance  was  invalid   as\t it  had  no<br \/>\nreasonable  direct  nexus  to the principles  under  <a href=\"\/doc\/1200546\/\" id=\"a_25\">Article<br \/>\n39(b)<\/a>  of  the Constitution.  It was also claimed  that,  in<br \/>\neffect and substance, the law was not one for acquisition of<br \/>\nelectrical  undertakings  but was one to acquire a chose  in<br \/>\naction\tand  to extinguish rights, which had accrued in\t the<br \/>\nElectric  Companies,  to  get  the  market  price.   It\t was<br \/>\ncontended  that the right to get compensation accrued on the<br \/>\nday  the  notice was given.  It was contended that what\t was<br \/>\nbeing  acquired was the difference between the market  price<br \/>\nwhich  the  State was obliged to pay and the book  value  to<br \/>\nwhich  the  liability was now sought to be limited.  It\t was<br \/>\nclaimed that as the Act was merely a clock which the law was<br \/>\nmade to wear to undo the obligations arising out of intended<br \/>\nstatutory rule <a href=\"\/doc\/354224\/\" id=\"a_26\">Article 31(c)<\/a> was not attracted.\t It was also<br \/>\nclaimed\t that in any case, every provision of a statute\t was<br \/>\nnot  entitled to protection of <a href=\"\/doc\/354224\/\" id=\"a_27\">Article 31(c)<\/a> but only  those<br \/>\nwhich  are necessary for giving effect to the principles  in<br \/>\n<a href=\"\/doc\/1200546\/\" id=\"a_28\">Article\t 39(b)<\/a> and accordingly the provision in the impugned<br \/>\nlaw  in\t relation to the determination of the amount do\t not<br \/>\nattract\t <a href=\"\/doc\/354224\/\" id=\"a_29\">Article  31(c).<\/a>  In all the matters it was  claimed<br \/>\nthat the purchase price should be the market value.\n<\/p>\n<p id=\"p_25\">      10.  A Constitution Bench of this Court in the case of<br \/>\n<a href=\"\/doc\/864296\/\" id=\"a_30\">Tinsukhia  Electric  Supply Co.\t Ltd.  v.  State  of  Assam<\/a>,<br \/>\nreported  in  (1989) 3 SCC 709, upheld the validity  of\t the<br \/>\nAct\/Ordinance.\t This Court held that the Act had nexus with<br \/>\nthe  principles in <a href=\"\/doc\/1200546\/\" id=\"a_31\">Article 39(b)<\/a> and was therefore protected<br \/>\nby  <a href=\"\/doc\/354224\/\" id=\"a_32\">Article 31(c).<\/a>  It was held that the Act was not a piece<br \/>\nof colourable legislation.  It was held that electric energy<br \/>\ngenerated  and\tdistributed  was a &#8220;material source  of\t the<br \/>\ncommunity&#8221; for the purpose and within the meaning of <a href=\"\/doc\/1200546\/\" id=\"a_33\">Article<br \/>\n39(b).<\/a>\tIt was held that the idea of distribution of natural<br \/>\nresources  in  <a href=\"\/doc\/1200546\/\" id=\"a_34\">Article 39(b)<\/a> envisages nationalisation.\t  It<br \/>\nwas  held  that\t on  an examination of\tthe  scheme  of\t the<br \/>\nimpugned  law  the  inescapable\t  conclusion  was  that\t the<br \/>\nlegislature  measure  was  one\tof  nationalisation  of\t the<br \/>\nundertaking  and  this law was eligible for and entitled  to<br \/>\nprotection  of\t<a href=\"\/doc\/354224\/\" id=\"a_35\">Article 31(c).<\/a>\tIt was held that it was\t not<br \/>\npossible  to divorce the economic consideration or component<br \/>\nfrom the scheme of nationalisation with which the former are<br \/>\ninextricably  integrated.   It was held that  the  financial<br \/>\ncosts  of  a  scheme lies at its very heart  and  cannot  be<br \/>\nisolated.   It was held that with the provisions relating to<br \/>\nvestiture  of  the  undertaking\t in   the  State  and  those<br \/>\npertaining  to the quantification of the amount are integral<br \/>\nand   unseparable   parts   of\t the  integral\t scheme\t  of<br \/>\nnationalisation\t and  do  not admit of being  considered  as<br \/>\ndistinct  provisions independent of each other.\t It was held<br \/>\nthat   the  provisions\tfor  payment   of  amount   to\t the<br \/>\nundertaking,  by  reducing the market value to\tbook  value,<br \/>\nformed\tan  integral part of the nationalisation scheme\t and<br \/>\nthat  economic\tconsideration  for nationalisation  was\t not<br \/>\njusticiable.   It was held that what was being acquired\t was<br \/>\nthe  material  resources of the community.   The  contention<br \/>\nthat  immediately  upon giving of the notice the rights\t got<br \/>\ncrystallised  was negatived.  It was held that the  exercise<br \/>\nof  the\t option did not affect licensee&#8217;s right to carry  on<br \/>\nbusiness.   It was held that the licensee&#8217;s rights would  be<br \/>\naffected  only when the undertaking was actually taken over.<br \/>\nSimilar\t view  was taken in the cases of  <a href=\"\/doc\/1449233\/\" id=\"a_36\">Maharashtra  State<br \/>\nElectricity  Board  v.\tThana Electric Supply Co.   &amp;  Ors<\/a>.,<br \/>\nreported  in  (1989)  3\t SCC   616,  and  <a href=\"\/doc\/1128402\/\" id=\"a_37\">Vellore   Electric<br \/>\nCorporation  Ltd.   v.\t State of Tamil\t Nadu<\/a>,\treported  in<br \/>\n(1989) 4 SCC 138.\n<\/p>\n<p id=\"p_26\">      11.   This  case\tis  entirely covered  by  the  above<br \/>\nmentioned Judgments.  Dr.  Singhvi fairly conceded that this<br \/>\ncase would be covered by the above mentioned Judgments.\n<\/p>\n<p id=\"p_27\">      12.   In\tthis  view  of the  matter,  the  Appeal  is<br \/>\nallowed.   The\tJudgments of the Division Bench\t dated\t11th<br \/>\nJanuary,  1989 as well as the learned single Judge dated 4th<br \/>\nApril  1984  are set aside.  The Writ Petition filed by\t the<br \/>\n1st Respondent stands dismissed.
