Swati Soparkar, advocate for the applicant company<br \/>\nand upon reading of the affidavit dated 7.1.2006, filed in support of<br \/>\nthe Judges&#8217; summons for directions and other relevant annexures<br \/>\nattached in support of the contents of the affidavit filed by the<br \/>\ndeponent, (Exhibit &#8216;C&#8217; being a copy of the proposed scheme of<br \/>\namalgamation),<\/p>\n<p>IT<br \/>\nIS ORDERED :\n<\/p>\n<p>That<br \/>\n\ta meeting of the Equity Shareholders of the Applicant Company shall<br \/>\n\tbe convened and held at the Vanijya Bhavan, Race Course Road,<br \/>\n\tVadodara 390 007 on Saturday, the 15th day of April 2006<br \/>\n\tat 11.30 a.m., for the purpose of considering and, if thought fit,<br \/>\n\tapproving, with or without modification(s), the proposed Scheme of<br \/>\n\tAmalgamation of MSK Highways Limited, MSK Infrastructure &amp; Toll<br \/>\n\tBridge Private Limited and Alpha Engicon Private Limited, (?Sthe<br \/>\n\tTransferor Companies??) with the Applicant viz. MSK Projects<br \/>\n\tLimited, (?Sthe Transferee Company??).\n<\/p>\n<p>That<br \/>\n\tat least 21 clear days before the meetings be held as aforesaid,<br \/>\n\tNotice convening the said meetings, indicating the day, the date,<br \/>\n\tthe place and the time as aforesaid, together with a copy of the<br \/>\n\tScheme of Amalgamation, copy of the Explanatory Statement required<br \/>\n\tto be sent under Section 393 of the Companies Act, 1956 and the<br \/>\n\tprescribed Form of Proxy shall be sent by a pre-paid letter posted<br \/>\n\tunder Certificate of Posting, addressed to each of the Equity<br \/>\n\tShareholders of the Applicant Company, at their last known address.\n<\/p>\n<p>That<br \/>\n\tat least 21 clear days before the meetings to be held as aforesaid,<br \/>\n\tNotice convening the said meetings indicating the day, the date, the<br \/>\n\tplace and time as aforesaid be published, stating that Copies of the<br \/>\n\tScheme of Amalgamation, the Explanatory Statement required to be<br \/>\n\tfurnished pursuant to Section 393 of the Companies Act, 1956 and<br \/>\n\tFrom or Proxy can be obtained free of charge at the Registered<br \/>\n\tOffice of the Applicant Company and\/or at its Advocate&#8217;s office i.e.<br \/>\n\t204, Akanksha, opposite Vadilal House, Mithakhali, Navrangpura,<br \/>\n\tAhmedabad 380 009 once each in Indian Express, English daily<br \/>\n\t(Vadodara edition) and Loksatta-Jansatta, Gujarati daily (Vadodara<br \/>\n\tedition).\n<\/p>\n<p>Shri<br \/>\n\tAshokbhai C.Gandhi, Director of the company and failing him Shri<br \/>\n\tAshok Khurana, Director of the Company shall be the Chairman of the<br \/>\n\taforesaid meeting to be held on 15th April 2006 and in<br \/>\n\trespect of any adjournment or adjournments thereof.\n<\/p>\n<p>That<br \/>\n\tthe Chairman appointed for the aforesaid meetings do issue<br \/>\n\tadvertisements and send out notices of the said meetings referred to<br \/>\n\tabove. It is further directed that the Chairman of the meetings<br \/>\n\tshall have all powers under the Articles of Association of the<br \/>\n\tApplicant Company and under the Companies (Court) Rules, 1959 in<br \/>\n\trelation to conduct of meeting including an amendment to the Scheme<br \/>\n\tor resolution, if any, proposed at the meeting by any person(s) and<br \/>\n\tto ascertain the decision of the meeting on a poll.\n<\/p>\n<p>That<br \/>\n\tthe quorum for the meetings of the Equity Shareholders shall be 5<br \/>\n\t(Five) Shareholders, present in person. That voting by proxy is<br \/>\n\tpermitted provided that the proxy in the prescribed from and duly<br \/>\n\tsigned by the person entitled to attend and vote at the aforesaid<br \/>\n\tmeeting, or by his authorized representative, is filed with the<br \/>\n\tApplicant Company at its registered office at Vododara, not later<br \/>\n\tthan 48 hours before the said meetings.\n<\/p>\n<p>That<br \/>\n\tthe value of the vote of each Equity Shareholder of the Company<br \/>\n\tshall be as per the entries in the Registers of the company and<br \/>\n\twhere the entries in the records or registers are disputed, the<br \/>\n\tChairman of the meetings shall determine the value of number for the<br \/>\n\tpurposes of the meetings and his decision in that behalf would be<br \/>\n\tfinal.\n<\/p>\n<p>That<br \/>\n\tthe Chairman do report to this Court, the result of the said meeting<br \/>\n\twithin 14 days of the conclusion of the meetings and the said Report<br \/>\n\tshall be verified by his affidavit.\n<\/p>\n<p>The<br \/>\n\tapplication is hereby disposed of.\n<\/p>\n<p>(M.R.SHAH,<br \/>\nJ.) <\/p>\n<p>kdc.\n<\/p>\n<p>\t\t   \u00a0\u00a0\u00a0<\/p>\n<p>\t\t   Top<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Gujarat High Court Msk vs Unknown on 6 September, 2011 Author: M.R.
