JUSTICE S.N.HUSSAIN\n                                             ---------\n                                          ORDER\n<\/pre>\n<p id=\"p_1\">06\/   07.07.2011              Petitioner is no.1 is a Joint Sector Undertaking being<\/p>\n<p>                   Public Limited Company registered under the provisions of the<\/p>\n<p>                   <a href=\"\/doc\/1353758\/\" id=\"a_1\">Companies Act<\/a>, 1956, whereas petitioner no.2 is one of the<\/p>\n<p>                   Directors of the said Company.\n<\/p>\n<p id=\"p_1\">                              2. This writ petition has been filed by the petitioners<\/p>\n<p>                   challenging the entire proceeding of Certificate Case No.2076 of<\/p>\n<p>                   2001 which was initiated against the petitioners for recovery of<\/p>\n<p>                   Rs.12, 90, 317.00 and also challenging warrant of arrest issued<\/p>\n<p>                   against petitioner no.2 in the aforesaid case.<\/p>\n<p id=\"p_2\">                              3. The petitioners have challenged the said proceeding<br \/>\n<span class=\"hidden_text\" id=\"span_1\">                     -2-<\/span><\/p>\n<p>on the ground that there was a labour unrest in the petitioner-<\/p>\n<p>company which was declared sick and for its liquidation Company<\/p>\n<p>Petition No.06 of 2009 was filed by the petitioners and winding up<\/p>\n<p>order was passed and Official Liquidator was appointed for the<\/p>\n<p>company who submitted his report on 05.07.2010 annexing the<\/p>\n<p>statement of affairs, whereafter by order dated 09.07.2010<\/p>\n<p>(Annexure-A series), the High Court of Jharkhand at Ranchi<\/p>\n<p>appointed valuer and directed the Official Liquidator to invite<\/p>\n<p>claims for sale of the assets of the company by public notice in the<\/p>\n<p>newspaper. He thus claimed that once a company is declared sick<\/p>\n<p>under the <a href=\"\/doc\/438563\/\" id=\"a_1\">Sick Industrial Companies (Special Provisions) Act<\/a>,<\/p>\n<p>1985 (hereinafter referred to as &#8216;SICA&#8217; for the sake of brevity), no<\/p>\n<p>proceeding for realisation of any amount from the company can be<\/p>\n<p>initiated without taking     recourse to the said law. In this<\/p>\n<p>connection, he relied upon <a href=\"\/doc\/991614\/\" id=\"a_2\">Section 32<\/a> of the SICA in which it has<\/p>\n<p>been provided that the provision of the Act and of any Rules and<\/p>\n<p>scheme made thereunder shall have effect notwithstanding<\/p>\n<p>anything inconsistent therewith contained in any other law except<\/p>\n<p>the provision of <a href=\"\/doc\/27905\/\" id=\"a_3\">Foreign Exchange Regulation Act<\/a>, 1973 and<\/p>\n<p>Urban Land (Ceiling and <a href=\"\/doc\/1489134\/\" id=\"a_4\">Regulation) Act<\/a>, 1976. He also relied<\/p>\n<p>upon a decision of the Apex Court in case of Bharat Singh &amp; Ors<\/p>\n<p>Vs. State of Haryana and Ors, reported in A.I.R. 1988 S.C. 2181<\/p>\n<p>as well as a decision of Division Bench of this High Court in case<\/p>\n<p>of Kanhaiya Lal Vs. The State of Bihar &amp; ors, reported in 2002<\/p>\n<p>(2) P.L.J.R.553.\n<\/p>\n<p id=\"p_3\">           4. In connection with the question of alternative remedy<\/p>\n<p>available to the petitioners against the order passed in the<br \/>\n<span class=\"hidden_text\" id=\"span_1\">                     -3-<\/span><\/p>\n<p>certificate case, learned counsel for the petitioners submitted that<\/p>\n<p>when the pleadings have changed hands and substantial progress<\/p>\n<p>has been made in the case, there is no occasion for the court to<\/p>\n<p>throw out the writ petition on the ground of alternative remedy. In<\/p>\n<p>this connection, he relied upon a decision of Ranchi Bench of this<\/p>\n<p>Court in case of Oriental Insurance Company Ltd. Vs. Lal Muni<\/p>\n<p>Devi and another, reported in 1998(2) P.L.J.R. 154.<\/p>\n<p id=\"p_4\">           5. On the other hand, learned counsel for the<\/p>\n<p>respondents submitted that the petitioner-company was covered<\/p>\n<p>under the Employees Provident          Fund and <a href=\"\/doc\/269107\/\" id=\"a_5\">Miscellaneous<\/p>\n<p>Provisions Act<\/a>, 1952 (hereinafter referred to as &#8216;EPF &amp; MP Act&#8217;<\/p>\n<p>for the sake of brevity) with effect from 20.09.1996 and when it<\/p>\n<p>was reported to be in default of payment of dues with respect to<\/p>\n<p>employees provident fund a proceeding was initiated for<\/p>\n<p>determination of the dues for the period concerned and during the<\/p>\n<p>course of hearing Area Enforcement Officer submitted dues and<\/p>\n<p>deposit statement against which no dispute was raised by the<\/p>\n<p>petitioners and the Assistant Provident Fund Commissioner vide<\/p>\n<p>his order dated 30.08.2000 determined the payable dues at<\/p>\n<p>Rs.12,90,317.00 directing the petitioners to pay the same within<\/p>\n<p>fifteen days indicating the consequences of failure. He further<\/p>\n<p>submitted that the said order having not been challenged by the<\/p>\n<p>petitioners either in appeal under <a href=\"\/doc\/397345\/\" id=\"a_6\">Section 7-I<\/a> of the EPF &amp; MP Act<\/p>\n<p>or even in the writ petition, the writ petition is not maintainable.<\/p>\n<p>He further submitted that where the question of employees<\/p>\n<p>provident fund is concerned, the provision of <a href=\"\/doc\/1224418\/\" id=\"a_7\">Section 27<\/a> of the<\/p>\n<p>SICA is not applicable. In this connection, he relied upon a<br \/>\n<span class=\"hidden_text\" id=\"span_2\">                     -4-<\/span><\/p>\n<p>decision of Orissa High court dated 09.10.2001 in O.J.C. No.2851<\/p>\n<p>of 2001 (Industrial Development Corporation Orissa Ltd. and<\/p>\n<p>another Vs. Regional Provident Fund Commissioner-II and<\/p>\n<p>another).\n<\/p>\n<p id=\"p_5\">            6. From the pleadings of the parties as well as from the<\/p>\n<p>materials on record it is quite apparent that neither order dated<\/p>\n<p>30.08.2000 passed by the Assistant Provident Commissioner<\/p>\n<p>determining the payable EPF dues at Rs.12,90,317.00 has been<\/p>\n<p>annexed, nor any order of the Recovery Officer in the certificate<\/p>\n<p>case for issuance of warrant against the petitioner has been<\/p>\n<p>annexed, nor even the date of issuance of warrant of arrest has<\/p>\n<p>been mentioned in the writ petition which was filed on 02.05.2005,<\/p>\n<p>annexing copy of notice dated 29.04.2002 issued by the Recovery<\/p>\n<p>Officer in the certificate case (Annexure-2) without any statement<\/p>\n<p>as to what happened in the interregnum three years.<\/p>\n<p id=\"p_6\">            7. It is not in dispute that petitioner no.1 is a Public<\/p>\n<p>Limited Company registered under the provisions of the<\/p>\n<p><a href=\"\/doc\/1353758\/\" id=\"a_8\">Companies Act<\/a>, 1956 having six partners including officers of the<\/p>\n<p>Government and its Corporation and it was covered under the EPF<\/p>\n<p>&amp; MP Act with effect from 20.09.1996. Subsequently, the<\/p>\n<p>petitioners defaulted in payment of dues and hence the authorities<\/p>\n<p>under the said Act initiated a proceeding and in course of its<\/p>\n<p>hearing, the Area Enforcement Officer submitted his statement<\/p>\n<p>regarding dues and deposit which was not deposited by the<\/p>\n<p>petitioners and finally the Assistant Provident Fund Commissioner<\/p>\n<p>by his order dated 30.08.2010 determined the payable dues at<\/p>\n<p>Rs.12,90,317.00. The aforesaid determination was made under<br \/>\n<span class=\"hidden_text\" id=\"span_3\">                     -5-<\/span><\/p>\n<p><a href=\"\/doc\/1260928\/\" id=\"a_9\">Section 7A<\/a> of the EPF &amp; MP Act which was never challenged by<\/p>\n<p>the petitioners, nor any appeal was filed by them as has been<\/p>\n<p>provided under <a href=\"\/doc\/438563\/\" id=\"a_10\">Section 7-I<\/a> of the said Act. The said order has not<\/p>\n<p>even been challenged in the instant writ petition and as such the<\/p>\n<p>same has attained finality.\n<\/p>\n<p id=\"p_7\">            8. In the said circumstances, Certificate Case No.2076<\/p>\n<p>of 2001 for recovery of the said amount was rightly initiated in<\/p>\n<p>April, 2001 by the Recovery Officer, whereafter notice of demand<\/p>\n<p>was served upon the petitioner, but no compliance having been<\/p>\n<p>received from the petitioner summon dated 29.04.2002 (Annexure-<\/p>\n<p id=\"p_8\">2) was issued by the Recovery Officer requiring the petitioner to<\/p>\n<p>appear on 30.05.2002 along with documents\/information relating<\/p>\n<p>to petitioners&#8217; assets failing which the petitioner has become<\/p>\n<p>subject to procedure as laid down under Order XVI Rule 12 of the<\/p>\n<p>Code of Civil Procedure which is for appearance of witnesses. The<\/p>\n<p>petitioners have not stated anything with respect to any step taken<\/p>\n<p>thereafter by the Recovery Officer in the certificate case, although<\/p>\n<p>a period of more than three years had lapsed before the filing of the<\/p>\n<p>writ petition. Hence, there appears to be no reason for the<\/p>\n<p>petitioners to file a writ petition challenging a non existent warrant<\/p>\n<p>of arrest against petitioner no.2 in connection with the aforesaid<\/p>\n<p>certificate case.\n<\/p>\n<p id=\"p_9\">            9. The petitioners are relying upon a much subsequent<\/p>\n<p>order dated 16.08.2002 passed in petitioners&#8217; Case No.89 of 1993<\/p>\n<p>by the Board for Industrial and Financial Reconstruction<\/p>\n<p>(hereinafter referred to as &#8216;the Board&#8217; for the sake of brevity) in<\/p>\n<p>which it was mentioned that on account of complete erosion of its<br \/>\n<span class=\"hidden_text\" id=\"span_4\">                     -6-<\/span><\/p>\n<p>network, the company was referred to the Board and was declared<\/p>\n<p>sick under the SICA at the hearing held on 21.05.1998 and<\/p>\n<p>subsequently on 31.05.2001 O.A. submitted its final report<\/p>\n<p>containing the scheme, envisaging substantial capital expenditure<\/p>\n<p>along with OTS for the dues of the involved Bank and Institution.<\/p>\n<p>This followed certain clarifications and correction from O.A. vide<\/p>\n<p>letters dated 30.11.2001 and 27.05.2002. By the said letter Draft<\/p>\n<p>Rehabilitation Scheme (DRS) was approved by the Board and<\/p>\n<p>direction was given to publish the said scheme in the newspaper,<\/p>\n<p>whereafter the final scheme incorporating the statement of the dues<\/p>\n<p>was to be considered. Hence, the entire matter before the aforesaid<\/p>\n<p>Board was initiated and proceeded much after final order was<\/p>\n<p>passed by the Assistant Provident Commissioner and the Recovery<\/p>\n<p>Officer. Furthermore, although in the said order dated 16.08.2002<\/p>\n<p>(Annexure-1) the next meeting of the Board was fixed on<\/p>\n<p>11.11.2002, but neither any further order has been annexed to the<\/p>\n<p>writ petition nor the pleading reveals what had happened thereafter<\/p>\n<p>in the case before the Board, although writ petition was filed more<\/p>\n<p>than 2 \u00bd years thereafter.\n<\/p>\n<p id=\"p_10\">           10. From the draft rehabilitation scheme annexed along<\/p>\n<p>with the order of the Board dated 16.08.2002 (Annexure-1), it is<\/p>\n<p>quite apparent that cut off date has been fixed for the EPF<\/p>\n<p>authorities to consider the instalment facility for payment of<\/p>\n<p>arrears of dues and to consider waiver of damages levied on<\/p>\n<p>delayed payment of EPF contributions, but the petitioners have not<\/p>\n<p>produced any document whatsoever to establish that the said draft<\/p>\n<p>scheme had been approved and is under implementation, nor the<br \/>\n<span class=\"hidden_text\" id=\"span_5\">                     -7-<\/span><\/p>\n<p>petitioners have produced any application filed by them for grant<\/p>\n<p>of instalment for liquidating the arrears\/ dues in question. In the<\/p>\n<p>said circumstances, there appears to be no genuine cause shown by<\/p>\n<p>the petitioner to quash the certificate case which was instituted in<\/p>\n<p>lawful discharge of the statutory duties cast upon the Regional<\/p>\n<p>Provident Fund Commissioner to determine the contributions\/dues<\/p>\n<p>in respect of the employees and to take prompt action for its<\/p>\n<p>recovery by invoking jurisdiction under <a href=\"\/doc\/1439698\/\" id=\"a_11\">Section 8<\/a> B to 8 G of the<\/p>\n<p>Act. Hence, the said proceeding under the EPF &amp;MP Act cannot<\/p>\n<p>be legally assumed to be barred due to the pendency of BIFR case<\/p>\n<p>under the SICA.\n<\/p>\n<p id=\"p_11\">           11. The parties are not disputing the fact that the<\/p>\n<p>employees provident fund scheme under the EPF &amp; MP Act is<\/p>\n<p>applicable to the employees of the petitioner-company and hence it<\/p>\n<p>is liable to pay its contribution, but the petitioner-company has<\/p>\n<p>defaulted in payment of the same, although it has continued to<\/p>\n<p>deduct the employees contribution towards provident fund from<\/p>\n<p>their wages for several years and had not deposited the same even<\/p>\n<p>after specific direction of the authorities concerned and hence<\/p>\n<p>petitioners were duty bound to deposit the employees&#8217; contribution<\/p>\n<p>and the employer contribution as well as administrative charges in<\/p>\n<p>the provident fund. In the said circumstances, the provision of<\/p>\n<p><a href=\"\/doc\/162815\/\" id=\"a_12\">Section 22(1)<\/a> of the SICA cannot be of any help to the petitioner<\/p>\n<p>and such provision cannot act as a bar to the recovery proceeding<\/p>\n<p>under the EPF &amp; MP Act. According to mandate enshrined in EPF<\/p>\n<p>&amp; MP Act a certificate proceeding is initiated to secure the<\/p>\n<p>statutory contribution of poor worker of the establishment which is<br \/>\n<span class=\"hidden_text\" id=\"span_6\">                        -8-<\/span><\/p>\n<p>directly related to the livelihood of such poor person and hence the<\/p>\n<p>financial position of the establishment or any rehabilitation cannot<\/p>\n<p>come in the way of securing fundamental rights of the workers of<\/p>\n<p>the petitioner establishment. Hence, the impugned action has been<\/p>\n<p>taken by the authorities concerned in the lawful discharge of their<\/p>\n<p>duties cast under the provisions of the Act after following the<\/p>\n<p>procedure prescribed in law.\n<\/p>\n<p id=\"p_12\">           12. So far the point raised by learned counsel for the<\/p>\n<p>petitioners that out of six Directors of the petitioner-company,<\/p>\n<p>three of them are from the State Government or its Corporation is<\/p>\n<p>concerned, the said plea is similarly frivolous and misconceived as<\/p>\n<p>existence of such Directors does not entitle the petitioner-company<\/p>\n<p>to commit default in payment of the dues of the EPF, nor can it<\/p>\n<p>legally stop the authorities from taking any action either against<\/p>\n<p>the petitioner-company or against its Directors in accordance with<\/p>\n<p>law and hence the Provident Fund Authorities have rightly taken<\/p>\n<p>the aforesaid steps.\n<\/p>\n<p id=\"p_13\">           13. No doubt the question of alternative remedy was<\/p>\n<p>raised by learned counsel for the respondents which was objected<\/p>\n<p>to by learned counsel for the petitioners, but this court also thinks<\/p>\n<p>that considering the special facts of this case as well as the<\/p>\n<p>completion of the pleadings and arguments at length on behalf of<\/p>\n<p>the parties, there is no question of disposing of this case merely on<\/p>\n<p>the ground of alternative remedy, especially when the alternative<\/p>\n<p>remedy cannot be treated as an absolute bar to entertain a writ<\/p>\n<p>petition so as to amount to denudation of the power of the High<\/p>\n<p>Court under Articles 226 and 227 of the Constitution of India<br \/>\n<span class=\"hidden_text\" id=\"span_7\">                      -9-<\/span><\/p>\n<p>which power the High court can always exercise in the facts and<\/p>\n<p>circumstances of a given case notwithstanding availability of any<\/p>\n<p>alternative remedy provided in the Statute. In this connection,<\/p>\n<p>learned counsel for the petitioner has rightly relied upon a decision<\/p>\n<p>of a Division Bench of this Court in case of Kanhaiya Lal (supra).<\/p>\n<p id=\"p_14\">           14. Learned counsel for the petitioners relied upon a<\/p>\n<p>decision of the Ranchi Bench of this Court in case of Oriental<\/p>\n<p>Insurance Company Ltd.(supra), but the said decision was with<\/p>\n<p>respect to certain facts and provisions which are not at all<\/p>\n<p>applicable to the facts and circumstances of this case.<\/p>\n<p id=\"p_15\">           15. Learned counsel for the petitioners has referred to<\/p>\n<p><a href=\"\/doc\/991614\/\" id=\"a_13\">Section 32<\/a> of SICA and has also relied upon a decision of the<\/p>\n<p>Apex Court in case of Bharat Singh (supra), but in the aforesaid<\/p>\n<p>facts and circumstances of this case mentioned above, the<\/p>\n<p>provision of <a href=\"\/doc\/991614\/\" id=\"a_14\">Section 32<\/a> cannot be used as a bar to the impugned<\/p>\n<p>action of the authorities concerned which was legal and justified as<\/p>\n<p>per the findings of this court in the above paragraphs. Furthermore,<\/p>\n<p>the abovementioned decision cited by the petitioners does not help<\/p>\n<p>them at all rather it goes against the petitioners as it has been held<\/p>\n<p>therein that in a writ petition not only the facts, but the evidence in<\/p>\n<p>proof of such facts have to be pleaded and annexed to it, but in this<\/p>\n<p>case the petitioners have miserably failed in that regard as has been<\/p>\n<p>discussed above.\n<\/p>\n<p id=\"p_16\">           16. So far reliance of the petitioners&#8217; counsel on an<\/p>\n<p>order of a Division Bench of this Court dated 28.01.2002<\/p>\n<p>(Annexure-3) passed in CWJC No.1419 of 2002 as well as upon a<\/p>\n<p>decision of the Apex Court in case of Tata Davy Ltd. Vs. State of\n<\/p>\n<p id=\"p_17\">                    &#8211; 10 &#8211;\n<\/p>\n<p id=\"p_18\">\n<p>Orissa and others, reported in (1997) 6 Supreme Court Cases 669<\/p>\n<p>is concerned, it is quite apparent from a bare perusal of the same<\/p>\n<p>that the said cases were with respect to arrears of sales tax which<\/p>\n<p>was directed to be recovered without the consent of the Board. In<\/p>\n<p>those cases the arrear was with respect to sales tax and the law is<\/p>\n<p>settled in that regard that once the industry has been declared sick<\/p>\n<p>under the provision of the SICA and steps have been taken for<\/p>\n<p>formation of the scheme, the State Government cannot recover the<\/p>\n<p>arrears of sales tax prior to declaration of the industry as a sick<\/p>\n<p>industry without taking consent of the Board. But here the matter<\/p>\n<p>is completely different as it concerns the fundamental right of<\/p>\n<p>livelihood of the workers in the establishment of the petitioner-<\/p>\n<p>company and non-fulfillment of the statutory obligation with<\/p>\n<p>respect thereto by the petitioner company. Hence, these two<\/p>\n<p>matters cannot be legally equated.\n<\/p>\n<p id=\"p_19\">           17. So far the plea of the petitioners that Company<\/p>\n<p>Petition No.06 of 2009 in which Official Liquidator has been<\/p>\n<p>appointed, and winding up order has been passed is concerned, it<\/p>\n<p>had been filed at the instance of the petitioners in the year 2009<\/p>\n<p>after about seven years of the impugned action taken against the<\/p>\n<p>petitioners and it transpires from order dated 09.07.2010 by which<\/p>\n<p>notice inviting claims was directed to be issued that the facts which<\/p>\n<p>are involved in the instant writ petition had not been brought to the<\/p>\n<p>notice of the High Court of Jharkhand at Ranchi where the<\/p>\n<p>aforesaid company petition is pending.\n<\/p>\n<p id=\"p_20\">           18. Considering the entire facts and circumstances of<\/p>\n<p>the case as well as the pleadings and evidence of the parties on\n<\/p>\n<p id=\"p_21\">                            &#8211; 11 &#8211;\n<\/p>\n<p id=\"p_22\">\n<p>        record as well as the position in law, this court does not find any<\/p>\n<p>        reason to interfere with the impugned order of the authority<\/p>\n<p>        concerned and accordingly this writ petition is dismissed.<\/p>\n<p>        However, if the petitioners, so like, they may bring the entire facts<\/p>\n<p>        and circumstances of this case mentioned above to the notice of the<\/p>\n<p>        High Court of Jharkhand where Company Petition no.06 of 2009 is<\/p>\n<p>        pending.\n<\/p>\n<p id=\"p_23\">\n<p id=\"p_24\">                                                 (S.
