DAVE\n\t\t\n\t\n\n \n\n \n \n\n\n \n\nDate\n: 17\/02\/2011 \n\n \n\n \n \nORAL\nORDER<\/pre>\n<p>This<br \/>\n\tpetition under Sections 433 and 434 of Companies Act, 1956 is filed<br \/>\n\twith a prayer to wind- up the respondent-company and further that<br \/>\n\tOfficial Liquidator be appointed as provisional liquidator to take<br \/>\n\tover the charge of the assets of Samay Electronics Pvt. Ltd. and to<br \/>\n\tsupervise the management and affairs of the Company, since the<br \/>\n\tcompany is unable to carry out its business in accordance with the<br \/>\n\tprovisions of the Companies Act.\n<\/p>\n<p>Shri<br \/>\n\tB.R.Gupta, learned advocate for the petitioner-Company submits that<br \/>\n\tthe Company is indebted to the petitioner in the principal sum of<br \/>\n\tRs.1,61,423\/- being the unpaid value of the goods sold and delivered<br \/>\n\tto the Company and also upto the date interest calculated at the<br \/>\n\tagreed rate of 21% per annum. A statutory notice was issued to the<br \/>\n\tcompany responding the company by RPAD on 30th January,<br \/>\n\t2008 with specific demand to pay outstanding dues and notice was<br \/>\n\tserved on the Company with its registered office on 4th<br \/>\n\tFebruary, 2008 but the Company has failed and neglected to pay the<br \/>\n\tamount nor even reply was filed to the said notice.\n<\/p>\n<p>This<br \/>\n\tCourt issued notice vide order dated 26.3.2008 making it returnable<br \/>\n\ton 15.4.2008. Despite of service, no one appeared and fresh notice<br \/>\n\twas issued on 22.9.2008 with returnable date 20th<br \/>\n\tOctober, 2008. Respondent remained consistently absent and no reply<br \/>\n\tis filed in this proceedings on 20th October, 2008.<br \/>\n\tLearned Company Judge while admitting the petition directed the<br \/>\n\tpetitioner to advertise in two newspapers and accordingly<br \/>\n\tadvertisement was given. Even after order dated 20.8.2009 passed by<br \/>\n\tthis Court directing the petitioner to publish the advertisement in<br \/>\n\ttwo newspapers and compliance of the above order is reported by<br \/>\n\tpetitioner by filing affidavit dated 1st September, 2009.<br \/>\n\tThereafter also, the matter was also adjourned from time to time,<br \/>\n\tbut no one is appeared on behalf of respondent nor any other<br \/>\n\tappearance is registered by respondent nor any reply is filed.\n<\/p>\n<p>Considering<br \/>\n\tthe over all aspects, the petitioner has taken all actions in<br \/>\n\taccordance with law to recover its outstanding dues by issuing a<br \/>\n\tstatutory notice and reminders and after filing of this petition,<br \/>\n\tthe publication in widely circulated Gujarati daily as well as in<br \/>\n\tEnglish daily but no reply has come on the record. I am satisfied<br \/>\n\tthat the respondent-company has failed to perform its functioning in<br \/>\n\taccordance with the provisions of Companies Act and rules made<br \/>\n\tthereunder and therefore, I deem it just and proper to pass an order<br \/>\n\tof winding up against the respondent Company. The Official<br \/>\n\tLiquidator attached to this Court is hereby appointed as the<br \/>\n\tLiquidator of the said respondent-Company. He is permitted to<br \/>\n\texercise all powers in the capacity as the Liquidator under the<br \/>\n\tCompanies Act, 1956 including under Sections 456 and 453, thereof.<br \/>\n\tHe shall immediately take possession of all the assets and movable<br \/>\n\tand immovable properties of the respondent-Company, as also the<br \/>\n\trecords and books of accounts of the Company. In the meanwhile, the<br \/>\n\trespondent-Company, its Directors, Officers and servants are hereby<br \/>\n\trestrained from transferring, alienating, encumbering, dealing with<br \/>\n\tor creating third party interest over the assets and properties of<br \/>\n\tthe company.\n<\/p>\n<p>The<br \/>\n\tnotice for final order of winding up shall be published in two daily<br \/>\n\tnewspapers viz. &#8220;The Indian Express&#8221;, English daily as<br \/>\n\twell as in &#8220;Phulchhab&#8221;, Gujarati daily, both Rajkot<br \/>\n\teditions being the same newspapers in which the Notice of Admission<br \/>\n\twas published.
