SHAH\n\t\t\n\t\n\n \n\n \n \n\n\n \n\nDate\n: 03\/05\/2010 \n\n \n\nORAL\nORDER<\/pre>\n<p>Present<br \/>\n\tJudges Summons has been taken out by the applicant-Elecon<br \/>\n\tEngineering Co.Ltd.- purchaser of land bearing Survey No.368,<br \/>\n\tad-measuring 33,790.78 sq. mtrs. situated at Karamsad, District:<br \/>\n\tAnand for the following reliefs:\n<\/p>\n<p> (A)That<br \/>\n\tthis Hon&#8217;ble Court be pleased to direct the respondent No.2- Chief<br \/>\n\tOfficer of the Notified Area Office of GIDC to issue No Objection to<br \/>\n\tthe applicant without insisting the applicant to pay the arrears of<br \/>\n\ttax upto the date of confirmation of sale of the land covered by Lot<br \/>\n\tNo.V, i.e. land bearing Survey No.368, ad-measuring 33790.78<br \/>\n\tSq.Mtrs. situated in village Karamsad, District: Anand in the<br \/>\n\tinterest of justice and equity;\n<\/p>\n<p>WITHOUT<br \/>\n\tPREJUDICE TO THE ABOVE RELIEF AND IN THE ALTERNATIVE<\/p>\n<p>(B)<br \/>\n\tThat this Hon&#8217;ble Court be pleased to direct the respondent No.2-<br \/>\n\tChief Officer of the Notified Area Office of GIDC to issue No<br \/>\n\tObjection to the applicant without insisting the applicant to pay<br \/>\n\tthe arrears of tax upto the date of winding up of the company in<br \/>\n\tliquidation in respect of the land covered by Lot No.V, i.e. land<br \/>\n\tbearing Survey No.368, ad-measuring 33790.78 Sq.Mtrs. situated in<br \/>\n\tvillage : Karamsad, District: Anand in the interest of justice and<br \/>\n\tequity;\n<\/p>\n<p>At<br \/>\n\tthe time of hearing of the present application, Shri Pahwa, learned<br \/>\n\tadvocate appearing on behalf of the applicant did not press the<br \/>\n\tprayer in terms of paragraph No.1(A) and has requested to consider<br \/>\n\tthe alternative prayer in terms of paragraph 1 (B) only. Therefore,<br \/>\n\tthis Court is required to consider the prayer of the applicant in<br \/>\n\tterms of 1(B) only.\n<\/p>\n<p>It<br \/>\n\tis the case on behalf of the applicant that applicant has purchased<br \/>\n\tLot No.V of land bearing Survey No.368, ad-measuring 33,790.78 sq.<br \/>\n\tmtrs. situated at Karamsad, District: Anand for sale consideration<br \/>\n\tof Rs.6.91 crores subject to the terms and conditions as are<br \/>\n\tcontained in the tender notice and the same has been confirmed by<br \/>\n\tthis Court vide order dated 15.12.2006 passed in OLR No.156 of 2006.<br \/>\n\tIt is submitted that after purchase of the aforesaid property and on<br \/>\n\tpayment of full sale consideration and after the execution of the<br \/>\n\tDeed of Conveyance dated 31.3.2008, the applicant approached the<br \/>\n\tChief Officer, Notified Area, GIDC to obtain the No Objection by<br \/>\n\tapplication dated 5.2.2010. It is submitted that in response<br \/>\n\tthereto, the Notified Area of Office of the GIDC has addressed a<br \/>\n\tletter dated 9.2.2010 to the applicant stating therein that as there<br \/>\n\tis outstanding amount of tax due, the applicant cannot be given No<br \/>\n\tObjection Certificate. It is submitted that applicant thereupon<br \/>\n\taddressed a detailed representation dated 11.3.2010 to the<br \/>\n\trespondent No.2 pointing out that applicant being the auction<br \/>\n\tpurchaser is not liable to pay outstanding dues of the company in<br \/>\n\tliquidation as claimed by the respondent No.2 and the respondent<br \/>\n\tno.2 has objected to lodge the claim with the Official Liquidator<br \/>\n\tand the Official Liquidator, in turn, is obliged to settle the dues<br \/>\n\tof respondent No.2 in accordance with provisions of the Section 530<br \/>\n\tof the Act. It is submitted that still the respondent No.2 is<br \/>\n\tinsisting that the applicant shall pay the entire amount of tax<br \/>\n\tliability and therefore, the applicant has preferred the present<br \/>\n\tapplication. Shri Pahwa, learned advocate appearing on behalf of the<br \/>\n\tapplicant has submitted that the applicant has purchased the<br \/>\n\tproperty of company in liquidation comprised in Lot No.V, i.e. land<br \/>\n\tbearing Survey No.368, ad-measuring 33790.78 Sq.Mtrs. situated in<br \/>\n\tvillage Karamsad, District: Anand for a sale consideration of<br \/>\n\tRs.6.91 crores on the terms and conditions of the sale as per the<br \/>\n\ttender document which came to be confirmed by this Court vide order<br \/>\n\tdated 15.12.2006 passed in OLR No.156 of 2006. It is submitted that<br \/>\n\tas per the terms and conditions of the tender form, the<br \/>\n\tapplicant-Company who purchass the property in question shall be<br \/>\n\tliable to pay all statutory dues, if any, due and payable on the<br \/>\n\tterms and conditions of the said sale only upto the date of winding<br \/>\n\tup of the company i.e. properties of the subject company for the<br \/>\n\tperiod after the date of winding up order and the payment of such<br \/>\n\tdues for pre-liquidation period shall be settled as per the<br \/>\n\tprovisions of the Companies Act, 1956. Therefore, it is submitted<br \/>\n\tthat for payment of any dues for pre-liquidation period, the<br \/>\n\tpurchaser should not be liable to pay. It is submitted that as per<br \/>\n\tthe terms and conditions of the tender form, more particularly,<br \/>\n\tClause 15 of the terms and conditions of payment of dues for<br \/>\n\tpre-liquidation period shall be settled as per the Companies Act,<br \/>\n\t1956. It is submitted that despite the same, respondent No.2, Chief<br \/>\n\tOfficer, Notified Area, GIDC, Vitthal Udhyognagar, Anand is<br \/>\n\tinsisting for payment of entire amount of tax and\/or levy while<br \/>\n\tissuing &#8216;No Objection Certificate&#8217; in favour of the applicant. Shri<br \/>\n\tPahwa, learned advocate appearing on behalf of the applicant has<br \/>\n\tsubmitted that as such, the applicant is ready and willing to pay<br \/>\n\twhatever the amount is outstanding towards tax, water charges and<br \/>\n\tdrainage charges for the period post-winding up and the same shall<br \/>\n\tbe deposited with the respondent no.2 within a period of 21 days<br \/>\n\tfrom today. Shri Pahwa, learned advocate appearing on behalf of the<br \/>\n\tapplicant has relied upon the decision of this court rendered in<br \/>\n\tCompany Application No. 474 of 2009.\n<\/p>\n<p>Shri<br \/>\n\tN.V.Anjariya, learned advocate appearing on behalf of the respondent<br \/>\n\tNo.2 has submitted that the respondent No.2 shall inform the<br \/>\n\tpetitioner about the amount outstanding towards Notified Area tax<br \/>\n\twater charges, and drainage charges for the period post-winding up<br \/>\n\tand for the outstanding amount due and payable for the period of<br \/>\n\tpre-winding up, respondent No.2 shall lodge a claim with the<br \/>\n\tofficial Liquidator within a period of 4 (four) weeks and for the<br \/>\n\trest of the amount i.e. for the post-winding up period, applicant<br \/>\n\tmay be directed to pay the same at the earliest.\n<\/p>\n<p>Having<br \/>\n\theard the learned advocate appearing on behalf of the respective<br \/>\n\tparties and considering the terms and conditions of the sale as per<br \/>\n\tthe tender document, applicant-auction purchaser is liable to clear<br \/>\n\toutstanding dues of the notified area towards tax, water charges and<br \/>\n\tdrainage charges etc. due and payable to the respondent No.2 for<br \/>\n\tpost-winding up period only and any outstanding dues towards tax and<br \/>\n\twater charges and drainage charges, pre-winding up period, the<br \/>\n\tapplicant-purchaser cannot be saddled with liability.\n<\/p>\n<p>Under<br \/>\n\tthe circumstances, let the applicant pay \/ deposit with the<br \/>\n\trespondent No.2 any outstanding dues towards tax, water charges and<br \/>\n\tdrainage charges, etc. for the post-winding up period within a<br \/>\n\tperiod of 3 (three) weeks from today and on such deposit, the<br \/>\n\trespondent No.2 shall issue No Objection to the applicant. For the<br \/>\n\trest of the outstanding amount towards notified area, tax, water<br \/>\n\tcharges and drainage charges for the pre-winding up, it will be open<br \/>\n\tfor the respondent No.2 to lodge their claim before the Official<br \/>\n\tLiquidator, and as and when such a claim is lodged by the respondent<br \/>\n\tNo.2, the same be considered by the Official Liquidator in<br \/>\n\taccordance with law and on its own merits considering the provisions<br \/>\n\tof the Companies Act, 1956, more particularly, Section 530 of the<br \/>\n\tCompanies Act, 1956.\n<\/p>\n<p>With<br \/>\n\tthis, present application is disposed of.\n<\/p>\n<p>(M.R.SHAH,<br \/>\nJ.)<\/p>\n<p>(ashish)<\/p>\n<p>\t\t   \u00a0\u00a0\u00a0<\/p>\n<p>\t\t   Top<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Gujarat High Court Elecon vs Official on 3 May, 2010 Author: M.R.
