L. Soni, learned advocate for the petitioner.\n<\/p>\n<p>When<br \/>\n\tthe matter is taken up for hearing, Mr.Devan Parikh, learned<br \/>\n\tadvocate for the respondent No.1 is not present. Mr.B. D. Karia,<br \/>\n\tlearned advocate for the respondent Nos.2 to 5 and 7 is present.\n<\/p>\n<p>Mr.C.\n<\/p>\n<p>\tL. Soni, learned advocate for the petitioner has submitted that the<br \/>\n\tpetition is directed against the order dated 30th June,<br \/>\n\t2009 passed by the learned trial Court granting conditional leave to<br \/>\n\tdefend.\n<\/p>\n<p>Mr.C.\n<\/p>\n<p>\tL. Soni, learned advocate for the petitioner has submitted that the<br \/>\n\tpetitioner is one of the Directors, who was working as such with the<br \/>\n\trespondent No.1 &#8211; Company. The dispute in the Summary Suit<br \/>\n\twhich was filed by the supplier of the goods to the Company is about<br \/>\n\trecovery of the alleged dues of the said supplier to be recovered<br \/>\n\tfrom the respondent No.1 &#8211; Company and the petitioner has been<br \/>\n\timplicated in the suit in his capacity as one of the Directors of<br \/>\n\tthe said Company.\n<\/p>\n<p>He<br \/>\n\thas further submitted that the petitioner had, even before the<br \/>\n\ttransaction was entered into, resigned as a Director of the Company<br \/>\n\tand, therefore, in the first instance he ought not to have been<br \/>\n\tjoined as \/ made party to the proceedings, alternatively any claim<br \/>\n\tagainst the Director would not lie when such transaction was entered<br \/>\n\tinto by the Company and that too when he has resigned as a Director.\n<\/p>\n<p>Having<br \/>\n\tmade such application for leave to defend,, the learned advocate for<br \/>\n\tthe petitioner has submitted that the petitioner has raised triable<br \/>\n\tissues and, therefore,  unconditional leave to defend ought to be<br \/>\n\tgranted. However, the learned trial Court has granted conditional<br \/>\n\tleave to defend and directed the petitioner to deposit Rs.80,000\/-.<br \/>\n\tThe petitioner, upon being aggrieved by the said order, has<br \/>\n\tpreferred the present petition.\n<\/p>\n<p>The<br \/>\n\tcontentions raised by the petitioner, particularly that as a<br \/>\n\tDirector, he  had resigned before the disputed transaction entered<br \/>\n\tinto, deserves consideration. Hence RULE.<br \/>\n\tAd-interim relief granted<br \/>\n\tearlier by this Court [Coram : Hon&#8217;ble Mr.Justice Bankim N. Mehta]<br \/>\n\ton 29th<br \/>\n\tJuly, 2009 to continue till further orders. Since the present order<br \/>\n\tis passed in absence of the learned advocate for the respondent<br \/>\n\tNo.1, it would be open for the respondent No.1 to move appropriate<br \/>\n\tapplication to modify or vacate the interim or ad-interim relief.\n<\/p>\n<p>[<br \/>\nK.
