DAVE\n\t\t\n\t\n\n \n\n \n \n\n\n \n\nDate\n: 08\/08\/2008 \n\n \n\n \n \nORAL\nORDER<\/pre>\n<p>1.\t\tRule.\n<\/p>\n<p>Learned Additional Public Prosecutor Ms Falguni Patel waives service<br \/>\nof rule.\n<\/p>\n<p>2.\t\tAll<br \/>\nthese petitions are preferred by the petitioner by invoking powers<br \/>\nunder section 482 of the Code of Criminal Procedure, to quash and set<br \/>\naside the proceedings of Criminal Cases No. 9056 of 2004, 9057 of<br \/>\n2004, 8563 of 2004, 8564of 2004 pending in the Court of Learned<br \/>\nJudicial Magistrate, 2nd Court Ahmedabad (Rural) qua the<br \/>\npetitioner by placing reliance on the decision of the Supreme Court<br \/>\nin the case of Raghu Lakshminarayanan Vs. Fine Tubes reported in<br \/>\n(2007)5 Supreme Court Cases 103  and submitted that provisions of<br \/>\nthe Section 141 of the Negotiable Instruments Act 1881 are not<br \/>\nattracted in so far as the proprietary concern is  and only  a person<br \/>\nwho  guaranteed payment will  be solely responsible for  conduct of<br \/>\nits affairs.\n<\/p>\n<p>3.\t\tLearned<br \/>\nadvocate appearing for the petitioner has drawn my attention to para<br \/>\n9 of the decision which  reads as under.\n<\/p>\n<p>\t\tThe<br \/>\ndescription  of the accused in the complaint petition  is absolutely<br \/>\nvague. A juristic person can be a company within the meaning of the<br \/>\nprovisions  of the Companies Act, 1956 or a partnership within the<br \/>\nmeaning of the provisions of the Partnership Act, 1932 or an<br \/>\nassociation of persons which ordinarily would mean a body of persons<br \/>\nwhich is not incorporated  under any statute. A proprietary concern,<br \/>\nhowever,  stands absolutely  on a different footing. A person may<br \/>\ncarry on business in the name of a business concern, but he being<br \/>\nproprietor thereof, would be solely responsible  for conduct of its<br \/>\naffairs. A proprietary  concern is not a company. Company in terms of<br \/>\n the Explanantion appended  to Section 141  of the Negotiable<br \/>\nInstruments Act, means any body corporate  and includes  a firm or<br \/>\nother   association of individuals. Director  has been defined to<br \/>\nmean a relation to a firm,  a  partner in the firm. Thus,  whereas in<br \/>\nrelation to a company, incorporated  and registered under the<br \/>\nCompanies Act, 1956  or any other  statute, a person as a Director<br \/>\nmust come  within the purview  of the said description, so far as a<br \/>\nfirm is concerned, the same would carry the same meaning  as<br \/>\ncontained in the Partnership Act.\n<\/p>\n<p>4.\t\tIt<br \/>\nis further submitted by the learned advocate for the petitioner that<br \/>\nin para 14 the Apex Court  has held that it is trite that the<br \/>\nproprietary  concern would not answer the description of either a<br \/>\ncompany incorporated under the Companies Act or a firm within the<br \/>\nmeaning  of the provisions of Section 4 of the Partnership Act.\n<\/p>\n<p>5.\t\tLearned<br \/>\nadvocate appearing  for private respondent  No.2 is  unable to<br \/>\ndispute the above proposition of law.\n<\/p>\n<p>6.\t\tConsidering<br \/>\nthe facts and circumstances of the case the ratio laid down by the<br \/>\nApex Court in the above decision of  Raghu Lakshminarayanan  (supra),<br \/>\n is applicable  to the facts of the present case. The petitioner<br \/>\nherein cannot be permitted to be prosecuted in the impugned<br \/>\nproceedings of the  different criminal cases pending before the Court<br \/>\nof learned Judicial Magistrate First Class, Ahmedabad. In view of the<br \/>\nabove section proposition of law  I am of the view  that the impugned<br \/>\nproceedings in each of the criminal cases are hereby quashed and set<br \/>\naside qua the petitioner herein and it will be open for concerned<br \/>\nCourt to proceed in the case in accordance with law. These petitions<br \/>\nare allowed to the aforesaid extent. Rule is made absolute<br \/>\naccordingly.\n<\/p>\n<p>\t\t\t\t\t\t\t\t(Anant<br \/>\nS.
