(ORAL)\n<\/pre>\n<p>IA 15644\/2010(O.37 R.3(5) CPC)<\/p>\n<p>1.          No one has appeared for the defendant even on the<\/p>\n<p>third call to argue this application. I, therefore, have heard<\/p>\n<p>the learned counsel for the plaintiff and proceed to decide<\/p>\n<p>this application on merits.\n<\/p>\n<p>2.          This is a suit for recovery of Rs.1,78,85,461\/-. The<\/p>\n<p>plaintiff Company is engaged in the field of outdoor<\/p>\n<p><span class=\"hidden_text\">CS(OS)No. 60\/2009                                     Page 1 of 7<\/span><br \/>\n advertising for his clients. The defendant placed two orders<\/p>\n<p>one dated 4th November, 2006 and the other dated 17th<\/p>\n<p>April, 2007 with the plaintiff Company for advertisements.<\/p>\n<p>A    sum      of    Rs.1,94,29,405\/-   became   payable     by     the<\/p>\n<p>defendant Company.            The defendant paid a sum of<\/p>\n<p>Rs.15,32,609\/- vide cheque dated 4th November, 2006 and<\/p>\n<p>a sum of Rs.19,46,831\/- vide cheque dated 10th January,<\/p>\n<p>2007. These payments were made towards Bill dated 27 th<\/p>\n<p>November, 2006.          The defendant thereafter did not make<\/p>\n<p>any payment to the plaintiff Company and a sum of<\/p>\n<p>Rs.1,59,49,965\/- is alleged to be due from it to the plaintiff<\/p>\n<p>Company.            The defendant issued ten cheques for an<\/p>\n<p>aggregate sum of Rs.1,37,67,600\/-, which when presented<\/p>\n<p>were dishonoured.          The plaintiff sent a notice dated 4 th<\/p>\n<p>August, 2007 to the defendant which was replied by<\/p>\n<p>defendant vide its reply dated 3rd September, 2007.               The<\/p>\n<p>plaintiff has now claimed the aforesaid principal sum of<\/p>\n<p>Rs.1,59,49,965\/- along with interest at the rate of 12% per<\/p>\n<p>annum amounting to Rs.14,35,496\/-.\n<\/p>\n<p>3.          In its application for leave to contest,               the<\/p>\n<p>defendant has alleged that it issued only two work orders in<\/p>\n<p>favour of the plaintiff Company for a total consideration<\/p>\n<p><span class=\"hidden_text\">CS(OS)No. 60\/2009                                         Page 2 of 7<\/span><br \/>\n amounting to Rs.31 lakhs and the other for consideration<\/p>\n<p>amounting to Rs.18,50,000\/-.       It is also alleged that the<\/p>\n<p>work done by the plaintiff was not satisfactory as per the<\/p>\n<p>terms of the work orders and prudent commercial outdoor<\/p>\n<p>advertisement practices.      As regards the cheques, it is<\/p>\n<p>alleged that they were issued cheques in advance on rough<\/p>\n<p>estimate basis so that the plaintiff could start its work.<\/p>\n<p>Since the work of the plaintiff was not upto the expectation<\/p>\n<p>of the defendant Company, the amount which it had paid to<\/p>\n<p>the plaintiff Company vide cheques dated 4th November,<\/p>\n<p>2006 and 10th January, 2007 was demanded back.              The<\/p>\n<p>parties then reached a full and final settlement whereby the<\/p>\n<p>plaintiff retained the amount which it had already received<\/p>\n<p>from the defendant.\n<\/p>\n<p>4.          The learned counsel for the plaintiff has pointed<\/p>\n<p>out that there is a gap of more than six months between the<\/p>\n<p>date of the first order and the date of the second order<\/p>\n<p>placed by the defendant on the plaintiff Company.          It is<\/p>\n<p>further pointed out that as many as five Bills for total<\/p>\n<p>amount of Rs.1,73,97,200\/- were raised by the plaintiff<\/p>\n<p>Company during this period. The contention is that had the<\/p>\n<p>work executed by the plaintiff Company not been in<\/p>\n<p><span class=\"hidden_text\">CS(OS)No. 60\/2009                                   Page 3 of 7<\/span><br \/>\n accordance of the order placed on it, the defendant who<\/p>\n<p>would not have placed the second order with the plaintiff<\/p>\n<p>Company on 17th April, 2007, I find merit in this contention.<\/p>\n<p>Moreover, no letter or notice was sent by the defendant to<\/p>\n<p>the plaintiff Company at any point of time stating therein<\/p>\n<p>that the work executed by the plaintiff Company was not in<\/p>\n<p>consonance with the work order placed on it and, therefore,<\/p>\n<p>the defendant Company was compelled to instruct the<\/p>\n<p>banks to stop payment of the cheques which it had issued<\/p>\n<p>to the plaintiff Company.     It is also pointed out by the<\/p>\n<p>learned counsel for the plaintiff that while placing the<\/p>\n<p>second order dated 17th April, 2007, the defendant had<\/p>\n<p>issued two cheques of Rs.1,37,67,600\/- to the plaintiff<\/p>\n<p>Company, which the defendant would not have done had<\/p>\n<p>the work executed by the plaintiff Company being defective.<\/p>\n<p>5.          Though in the reply sent to the notice of the<\/p>\n<p>plaintiff Company, the defendant alleged that the job carried<\/p>\n<p>out by the plaintiff did not match the mutually agreed<\/p>\n<p>criteria for the reasons pointed out in para 2 of the reply, no<\/p>\n<p>such defect has been specified in the application for leave to<\/p>\n<p>contest the suit and only a general allegation has been<\/p>\n<p>made that the work executed by the plaintiff was not as per<\/p>\n<p><span class=\"hidden_text\">CS(OS)No. 60\/2009                                    Page 4 of 7<\/span><br \/>\n the agreement between the parties.\n<\/p>\n<p>6.          One of the defects mentioned in para 2 of the reply<\/p>\n<p>sent by the defendant-company to the plaintiff-company<\/p>\n<p>was that the actual quality of the flex material was sub-<\/p>\n<p>standard. This according to the learned counsel is patently<\/p>\n<p>false since a perusal of the work orders would show that the<\/p>\n<p>flex material was to be supplied by the defendant-company.<\/p>\n<p>7.          <a href=\"\/doc\/209667\/\">In M\/s Mechalec Engineers and Manufactures v.<\/p>\n<p>M\/s Basic Equipment Corporation<\/a> (1977) 1 SCR 1060, the<\/p>\n<p>Supreme Court set out the following principles:-<\/p>\n<blockquote><p>            &#8220;(a) If the defendant satisfies the Court<br \/>\n            that he has a good defense to the claim<br \/>\n            on its merits the plaintiff is not entitled<br \/>\n            to leave to sign judgment and the<br \/>\n            defendant is entitled to unconditional<br \/>\n            leave to defend.\n<\/p><\/blockquote>\n<blockquote><p>            (b) if the defendant raises a friable issue<br \/>\n            indicating that he has a fair or bona fide<br \/>\n            or reasonable defense although not a<br \/>\n            positively good defense the plaintiff is<br \/>\n            not entitled to sign judgment and the<br \/>\n            defendant is entitled to unconditional<br \/>\n            leave to defend.\n<\/p><\/blockquote>\n<blockquote><p>            (c) If the defendant discloses such facts<br \/>\n            as may be deemed sufficient to entitle<br \/>\n            him to defend, that is to say, although<br \/>\n            the affidavit does not positively and<br \/>\n            immediately make it clear that he had a<\/p>\n<p><span class=\"hidden_text\">CS(OS)No. 60\/2009                                    Page 5 of 7<\/span><br \/>\n             defense, yet, shows such a state of facts<br \/>\n            as leads to the inference that at the trial<br \/>\n            of the action he may be able to establish<br \/>\n            a defense to the plaintiff&#8217;s claim the<br \/>\n            plaintiff is not entitled to judgment and<br \/>\n            the defendant is entitled to leave to<br \/>\n            defend but in such a case the Court<br \/>\n            may in its discretion impose conditions<br \/>\n            as to the time or mode of trial but not<br \/>\n            as to payment into Court or furnishing<br \/>\n            security.\n<\/p><\/blockquote>\n<blockquote><p>            (d) If the defendant has no defense or<br \/>\n            the defense set up is illusory or sham or<br \/>\n            practically moonshine then ordinarily<br \/>\n            the plaintiff is entitled to leave to sign<br \/>\n            judgment and the defendant is not<br \/>\n            entitled to leave to defend.\n<\/p><\/blockquote>\n<blockquote><p>            (e) If the defendant has no defense or<br \/>\n            the defense is illusory or sham or<br \/>\n            practically moonshine then although<br \/>\n            ordinarily the plaintiff is entitled to<br \/>\n            leave to sign judgment, the Court may<br \/>\n            protect the plaintiff by only allowing the<br \/>\n            defense to proceed if the amount<br \/>\n            claimed is paid into Court or otherwise<br \/>\n            secured and give leave to the defendant<br \/>\n            on such condition, and thereby show<br \/>\n            mercy to the defendant by enabling him<br \/>\n            to try to prove a defense.&#8221;<\/p><\/blockquote>\n<p>            In these circumstances, the defence taken in the<\/p>\n<p>application does not appear to be bona fide and appears to<\/p>\n<p>be sham and illusory.\n<\/p>\n<p>8.          Following the last guideline laid down by Supreme<\/p>\n<p><span class=\"hidden_text\">CS(OS)No. 60\/2009                                    Page 6 of 7<\/span><br \/>\n Court, I grant leave to defendant to contest the defendant<\/p>\n<p>subject to its furnishing a bank guarantee or an FDR for the<\/p>\n<p>principal sum of Rs.1,59,49,965\/- to the satisfaction of the<\/p>\n<p>concerned Joint Registrar within three weeks from today.<\/p>\n<p>            The application stands disposed of.\n<\/p>\n<p>\nCS(OS) No. 60\/2009<\/p>\n<p>            Renotify for hearing on 8th December, 2011.<\/p>\n<p>                                                  (V.K.
