In all these appeals, we are concerned with the manner in<\/p>\n<p>which profits and gains of the business are to be ascertained before<\/p>\n<p>computing the relief          under Section 80HHC of the Income Tax Act<\/p>\n<p>(hereinafter would be referred to as \u201ethe Act\u201f).             There are certain<\/p>\n<p>deductions which are allowed under Section 80IA of the Act as well.<\/p>\n<p>Therefore, to put it precisely question for consideration is: once a<\/p>\n<p>particular Undertaking or Enterprise becomes entitled to claim and is<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                         Page 2 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008<br \/>\n allowed deduction of certain amount of the profits and gains under<\/p>\n<p>Section 80IA of the Act, whether deduction to the extent of such<\/p>\n<p>profits claimed under Section 80IA                   would not be allowed        for<\/p>\n<p>computing deduction under Section 80 HHC or whether the profits<\/p>\n<p>and    gains     are     to   be     computed        and   deduction   undertaken<\/p>\n<p>independently all over again, irrespective of the deduction already<\/p>\n<p>claimed and allowed under Section 80 IA of the Act. This question<\/p>\n<p>revolves around the interpretation which is to be given to sub-Section<\/p>\n<p>(9) of Section 80IA of the Act and that provision reads as under:<\/p>\n<blockquote><p>               &#8220;(9) Where any amount of profits and gains of an<br \/>\n               {undertaking} or of an enterprise in the case of an<br \/>\n               assessee is claimed and allowed under this section<br \/>\n               for any assessment year, deduction to the extent<br \/>\n               of such profits and gains shall not be allowed under<br \/>\n               any other provisions of this Chapter under the<br \/>\n               heading &#8220;C-Deductions in respect of certain<br \/>\n               incomes&#8221;, and shall in no case exceed the profits<br \/>\n               and    gains    of   such   eligible   business   of<br \/>\n               {undertaking} or enterprise, as the case may be&#8221;.\n<\/p><\/blockquote>\n<p>2.      It is manifest that a the plain reading of the aforesaid provision<\/p>\n<p>suggests that the amount of profits and gains claimed by the<\/p>\n<p>assessee and allowed to it under that provision is not to be allowed<\/p>\n<p>again and to the extent of such profits and gains, the profits and<\/p>\n<p>gains are to be reduced to that extent while claiming deduction<\/p>\n<p>under other provisions under the heading &#8220;C-deductions in respect of<\/p>\n<p>certain incomes&#8221; and that would include Section 80HHC. According<\/p>\n<p>to the counsels for the assessees, however, the answer is not that<\/p>\n<p>simple and they exhort us to examine the question in the context of<\/p>\n<p>the aim of Chapter VIA which contains these provisions and also the<\/p>\n<p>case    law    which      has    emerged        on   the   interpretation   thereof.<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                              Page 3 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008<br \/>\n Therefore, before reverting back to the question again, we would like<\/p>\n<p>to traverse through relevant provisions of the said Chapter as well as<\/p>\n<p>case law relied upon.\n<\/p>\n<p>\nScheme of Chapter VI A before its amendment:\n<\/p>\n<\/p>\n<p>3.     Chapter VIA of the Act deals with certain deductions.       It is in<\/p>\n<p>three parts.       Part A described as \u201eGeneral\u201f details the scheme of<\/p>\n<p>deductions. Part B enumerates specific deductions which are allowed<\/p>\n<p>in respect of certain payments and Part-C contains the provisions for<\/p>\n<p>allowing certain deductions in respect of profits and gains from<\/p>\n<p>business. A reading of the provisions falling in Part-A would<\/p>\n<p>demonstrate that deductions under this Chapter are to be made from<\/p>\n<p>&#8220;the gross total income&#8221;. Various kinds of deductions are provided in<\/p>\n<p>Part B and C. However, the general provision contained in Section<\/p>\n<p>80A mandates that the aggregate amount of deductions under this<\/p>\n<p>Chapter would not exceed &#8220;the gross total income&#8221; of the assessee.<\/p>\n<p>Section 80 A reads as under:-\n<\/p>\n<\/p>\n<blockquote><p>       &#8220;Section 80A &#8211; Deductions to be made in computing total<br \/>\n       income-(1) In computing the total income of an<br \/>\n       assessee, there shall be allowed from his gross total<br \/>\n       income, in accordance with and subject to the provisions<br \/>\n       of this Chapter, the deductions specified in sections 80C<br \/>\n       to 80U.\n<\/p><\/blockquote>\n<blockquote><p>       (2) The aggregate amount of the deductions under this<br \/>\n       Chapter shall not, in any case, exceed the gross total<br \/>\n       income of the assessee.<\/p><\/blockquote>\n<p>       (3) Where, in computing the total income of an<br \/>\n       association of persons or a body of individuals, any<br \/>\n       deduction is admissible under section 80G or [section<br \/>\n       80GGA or section 80GGC] or section 80HH or section<br \/>\n       80HHA or section 80HHB or section 80HHC or section<br \/>\n       80HHD or section 80-I or section 80-IA [or section 80-IB]<br \/>\n       [or section 80-IC] [or section 80-ID or section 80-IE] or<br \/>\n       section 80J or section 80JJ, no deduction under the same<br \/>\n       section shall be made in computing the total income of a<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                    Page 4 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008<br \/>\n        member of the association of persons or body of<br \/>\n       individuals in relation to the share of such member in the<br \/>\n       income of the association of persons or body of<br \/>\n       individuals.\n<\/p>\n<p>       (4) Notwithstanding anything to the contrary contained<br \/>\n       in section 10A or section 10AA or section 1 0B or section<br \/>\n       10BA or in any provisions of this Chapter under the<br \/>\n       heading &#8220;C-Deductions in respect of certain incomes&#8221;,<br \/>\n       where, in the case of an assessee, any amount of profits<br \/>\n       and gains of an undertaking or unit or enterprise or<br \/>\n       eligible business is claimed and allowed as a deduction<br \/>\n       under any of those provisions for any assessment year,<br \/>\n       deduction in respect of, and to the extent of, such profits<br \/>\n       and gains shall not be allowed under any other<br \/>\n       provisions of this Act for such assessment year and shall<br \/>\n       in no case exceed the profits and gains of such<br \/>\n       undertaking or unit or enterprise or eligible business, as<br \/>\n       the case may be.\n<\/p>\n<p>       (5) Where the assessee fails to make a claim in his<br \/>\n       return of income for any deduction under section 10A or<br \/>\n       section 10AA or section 10B or section 10BA or under<br \/>\n       any provision of this Chapter under the heading &#8220;C.&#8211;<br \/>\n       Deductions in respect of certain incomes&#8221;, no deduction<br \/>\n       shall be allowed to him thereunder.]<br \/>\n       (6) Notwithstanding anything to the contrary contained<br \/>\n       in section 10A or section 10AA or section 10B or section<br \/>\n       10BA or in any provisions of this Chapter under the<br \/>\n       heading &#8220;C-Deductions in respect of certain incomes&#8221;,<br \/>\n       where any goods or services held for the purposes of the<br \/>\n       undertaking or unit or enterprise or eligible business are<br \/>\n       transferred to any other business carried on by the<br \/>\n       assessee or where any goods or services held for the<br \/>\n       purposes of any other business carried on by the<br \/>\n       assessee are transferred to the undertaking or unit or<br \/>\n       enterprise or eligible business and, the consideration, if<br \/>\n       any, for such transfer as recorded in the accounts of the<br \/>\n       undertaking or unit or enterprise or eligible business<br \/>\n       does not correspond to the market value of such goods<br \/>\n       or services as on the date of the transfer, then, for the<br \/>\n       purposes of any deduction under this Chapter, the profits<br \/>\n       and gains of such undertaking or unit or enterprise or<br \/>\n       eligible business shall be computed as if the transfer, in<br \/>\n       either case, had been made at the market value of such<br \/>\n       goods or services as on that date.\n<\/p>\n<p>       Explanation.&#8211;For the purposes of this sub-section, the<br \/>\n       expression &#8220;market value&#8221;,&#8211;\n<\/p>\n<p>       (i) in relation to any goods or services sold or supplied,<br \/>\n       means the price that such goods or services would fetch<br \/>\n       if these were sold by the undertaking or unit or<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                    Page 5 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008<br \/>\n        enterprise or eligible business in the open market,<br \/>\n       subject to statutory or regulatory restrictions, if any;\n<\/p>\n<p>       (ii) in relation to any goods or services acquired, means<br \/>\n       the price that such goods or services would cost if these<br \/>\n       were acquired by the undertaking or unit or enterprise or<br \/>\n       eligible business from the open market, subject to<br \/>\n       statutory or regulatory restrictions, if any.]<br \/>\n       [(7) Where a deduction under any provision of this<br \/>\n       Chapter under the heading &#8220;C.&#8211;Deductions in respect of<br \/>\n       certain incomes&#8221; is claimed and allowed in respect of<br \/>\n       profits of any of the specified business referred to in<br \/>\n       clause (c) of sub-section (8) of section 35AD for any<br \/>\n       assessment year, no deduction shall be allowed under<br \/>\n       the provisions of section 35AD in relation to such<br \/>\n       specified business for the same or any other assessment<br \/>\n       year.&#8221;\n<\/p>\n<p>4.     The &#8220;gross total income&#8221; is defined in Section 80B (5) to mean<\/p>\n<p>the total income computed in accordance with the provisions of this<\/p>\n<p>Act, before making any deduction under this Chapter.<\/p>\n<p>5.     A conjoint reading of Section 80A (2) and 80B (5) would bring<\/p>\n<p>out the fact that various deductions provided in this Chapter are to<\/p>\n<p>be computed on the &#8220;gross total income\u201f. It also follows that where<\/p>\n<p>such gross total income is found to be a net loss in the year<\/p>\n<p>concerned, no deduction under this Chapter is to be allowed.<\/p>\n<p>6.     The contours and scope of the scheme contained in Chapter-<\/p>\n<p>VIA has come up for discussion before various High Courts.<\/p>\n<p>Interplay of Section 80HHC and 80-I involving same kind of issue<\/p>\n<p>first came up for consideration before Madhya Pradesh High Court<\/p>\n<p>and was discussed elaborately in its decision contained in J.P.<\/p>\n<p>Tabacco         Private Limited Vs. Commissioner of Income Tax,<\/p>\n<p>229 ITR 123 (M.P.). The question which was framed for the opinion<\/p>\n<p>of the Court, in that case was of following nature :-<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                  Page 6 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008<br \/>\n                &#8220;Whether the Tribunal is right in law in holding that<br \/>\n               the deduction under section 80-I is to be allowed<br \/>\n               on balance of income after deducting the relief<br \/>\n               under section 80HH from gross total income and<br \/>\n               not from gross total income as defined in Section<br \/>\n               80B (5) of the Act ?&#8221;\n<\/p>\n<\/p>\n<p>7.     The Court answered the question in the negative and in favour<\/p>\n<p>of the assessee holding that the two provisions are independent and<\/p>\n<p>deductions under Section 80-I is not be allowed on the balance of<\/p>\n<p>income after deducting the relief under Section 80 HH from the gross<\/p>\n<p>total income.        The Court traced the history of various legislative<\/p>\n<p>amendments made in the aforesaid provisions following in Chapter<\/p>\n<p>VIA of the Act and following discussion ensued thereupon:-<\/p>\n<blockquote><p>               &#8220;Sub-section (9) of Section 80HH, as it stood prior<br \/>\n               to insertion of Section 80I by the Finance (No. 2)<br \/>\n               Act, 1980, with effect from April 1, 1981, originally<br \/>\n               included only Section 80J. Section 80J providing for<br \/>\n               deduction in respect of. the profits and gains from<br \/>\n               newly established industrial undertakings or ships<br \/>\n               or hotel business in certain cases did not make any<br \/>\n               provision for reduction of the gross total income by<br \/>\n               the    amount       of   deduction    admissible   to   the<br \/>\n               assessee under Section 80HH. It was only by an<br \/>\n               amendment of the said Section 80J that the<br \/>\n               provision for reducing the gross total income by<br \/>\n               the amount of deduction under Section 80HH of<br \/>\n               the Act by the Direct Taxes (Amendment) Act,<br \/>\n               1974, with effect from April 1, 1974, was inserted.<\/p><\/blockquote>\n<p>               Section 80I was inserted in its present form by the<br \/>\n               Finance (No. 2) Act, 1980, with effect from April 1,<br \/>\n               1981, and by the same Finance (No. 2) Act, Section<br \/>\n               80HH(9) was amended and the words &#8220;Section 80I<br \/>\n               or&#8221; were inserted to make the said provision<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                            Page 7 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008<br \/>\n                applicable to Section 80I as well. However, no<br \/>\n               provision was made in Section 80I to provide for<br \/>\n               deduction of the gross total income by deduction<br \/>\n               allowed under Section 80HH for the purpose of<br \/>\n               allowing deduction under Section 80I. It would,<br \/>\n               thus, be seen that when Section 80J already<br \/>\n               existed in Sub-section (9) of Section 80HH, an<br \/>\n               amendment was made in Section 80J in the year<br \/>\n               1974 but no such provision was made in so far as<br \/>\n               Section 80I was concerned. This clearly centra-<br \/>\n               indicates that Sub-section (9) of Section 80HH by<br \/>\n               itself meant that deduction allowed under Section<br \/>\n               80HH is to be reduced from the gross total income<br \/>\n               for granting the benefit of Section 80J and, for that<br \/>\n               matter, of Section 80I. It was provided in Section<br \/>\n               80J itself by later amendment while no such<br \/>\n               provision was made in Section 80I even though<br \/>\n               inserted on a later date. The provision of law is,<br \/>\n               therefore, clear that in so far as the benefit of<br \/>\n               Section 80I is concerned, it has to be granted on<br \/>\n               the gross total income and not on the income<br \/>\n               reduced by the amount allowed under Section<br \/>\n               80HH.\n<\/p>\n<p>               In the result, we find that the Tribunal was not<br \/>\n               right in holding that deduction under Section 80I is<br \/>\n               to be allowed only on the balance of the income<br \/>\n               after deducting the relief under Section 80HH from<br \/>\n               the gross total income and accordingly we answer<br \/>\n               the said question in favour of the assessee and<br \/>\n               against the Revenue&#8221;.\n<\/p>\n<p>8.     Special Leave petition against this decision was dismissed by<\/p>\n<p>the Supreme Court. (See 245 ITR (ST) 71). The Judgment of Madhya<\/p>\n<p>Pradesh High Court was thereafter repeatedly followed by the same<\/p>\n<p>Court as well as other High Courts. All these judgments were taken<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                      Page 8 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008<br \/>\n note of by the Supreme Court in JCIT Vs. Mandideep Engineering<\/p>\n<p>and Packaging India Private Ltd. 292 ITR 1 (SC) which passed the<\/p>\n<p>following short and crisp order in that case:-<\/p>\n<blockquote><p>               &#8220;1.The point involved in the present case is<br \/>\n               whether sections 80HH and 80-I of the Income-tax<br \/>\n               Act, 1961, are independent of each other and<br \/>\n               therefore    a new industrial unit can claim<br \/>\n               deductions under both the sections or the gross<br \/>\n               total income independently or that deduction<br \/>\n               under Section 80HH can be taken on the reduced<br \/>\n               balance after taking into account the benefit taken<br \/>\n               under section 80HH.\n<\/p><\/blockquote>\n<blockquote><p>                2. The Madhya Pradesh High Court in J.P. Tobacco<br \/>\n               Products P. Ltd. Vs. CIT reported in (19980 229 ITR<br \/>\n               123 took the view that both the sections are<br \/>\n               independent and, therefore, the deductions could<br \/>\n               be claimed both under sections 80HH and 80-I on<br \/>\n               the gross total income. Against this judgment,<br \/>\n               special leave petition was filed in this court which<br \/>\n               was dismissed on the ground of delay on July 21,<br \/>\n               2000 (see {2000} 245 ITR (St.) 71). The decision<br \/>\n               in J.P. Tobacco Products P. Ltd. {1998) 229 ITR 123<br \/>\n               (MP) was followed by the same High Court in the<br \/>\n               case of CIT Vs. Alpine Solves P. Ltd. In IT.A. No. 92<br \/>\n               of 1999 decided on May 2, 2000. Special leave<br \/>\n               petition against the decision was dismissed by this<br \/>\n               court on January 12,2001, (see {2001} 247 ITR<br \/>\n               (St.) 36). This view has been followed repeatedly<br \/>\n               by different High Courts in a number of cases<br \/>\n               against which no special leave petitions were filed<br \/>\n               meaning thereby that the Department               has<br \/>\n               accepted the view taken in these judgments. <a href=\"\/doc\/1821756\/\">See<br \/>\n               CIT v. Chokshi Contacts P. Ltd.<\/a> {2001} 251 ITR<br \/>\n               587 (Raj); CIT v. Amod Stamping {2005} 274 ITR<br \/>\n               176 (Guj}; <a href=\"\/doc\/1933720\/\">CIT v. Mittal Appliances P. Ltd.<\/a> {2004}<br \/>\n               270 IUTR 65 (MP); <a href=\"\/doc\/1114805\/\">CIT v. Rochiram and Sons<\/a><br \/>\n               {2004} 271 ITR 444 (Raj); <a href=\"\/doc\/709025\/\">CIT v. Prakash Chandra<br \/>\n               Basant Kumar<\/a> {2005} 276 ITR 664 (MP); <a href=\"\/doc\/1737881\/\">CIT v. S.B.<br \/>\n               Oil Industries P. Ltd.<\/a> (2005) 274 ITR 495 (P &amp; H);<br \/>\n               <a href=\"\/doc\/1821756\/\">CIT v. SKG Engineering P. Ltd.<\/a> {2005} 119 DLT 673<br \/>\n               and <a href=\"\/doc\/1924837\/\">CIT v. Lucky Laboratories Ltd.<\/a> {2006} 200 CTR<br \/>\n               305 (All).<\/p><\/blockquote>\n<p>               Since the special leave petitions filed against the<br \/>\n               judgment of the Madhya Pradesh High Court have<br \/>\n               been dismissed and the Department has not filed<br \/>\n               the special leave petitions against the judgments<br \/>\n               of different High Courts following the view taken in<br \/>\n               those judgments cannot be permitted to take a<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                      Page 9 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008<br \/>\n                contrary view in the present case involving the<br \/>\n               same point.      According, the civil appeal is<br \/>\n               dismissed. No costs.&#8221;\n<\/p>\n<p>9.     It is thus clear that the consistent view taken by various High<\/p>\n<p>Courts was affirmed by the Supreme Court.            It is not necessary to<\/p>\n<p>discuss all these judgments. However, we would like to reproduce<\/p>\n<p>certain observations from the judgment of Rajasthan High Court in<\/p>\n<p>CIT Vs. Chokshi             Contacts P. Ltd., 251, ITR 587 (Raj.) as it<\/p>\n<p>discusses       the issue in greater details and in fact discusses the<\/p>\n<p>scheme of the Act in short and highlights Chapter VIA in particular.<\/p>\n<p>The scheme of the Act which is taken note of by the Court and<\/p>\n<p>described is that Chapter 1 deals with preliminary definitions by<\/p>\n<p>defining various expressions used in the Act subject to the context of<\/p>\n<p>the issue. Chapter II deals with the basis of charge for levying income<\/p>\n<p>tax and additional income tax and deals with charging of the tax of<\/p>\n<p>income and the scope of total income determined for the purpose of<\/p>\n<p>computation of income and certain other matters. Chapter III deals<\/p>\n<p>with the incomes which do not form part of the total income at all.<\/p>\n<p>Chapter IV deals with computation of total income from different<\/p>\n<p>sources. For this purpose it divides the sources of income in six sub-<\/p>\n<p>heads on the basis of which income from each source is to be<\/p>\n<p>computed. Part D of Chapter IV deals with the computation of income<\/p>\n<p>from profits and gains of business or profession with which we are<\/p>\n<p>concerned. Chapter E deals with computation of capital gains and<\/p>\n<p>Part F deals with the income from other sources. Remaining Part A<\/p>\n<p>and Part C dealing with income from salaries and from house<\/p>\n<p>property respectively. Part B of Chapter IV which dealt with           the<\/p>\n<p>income from interest on securities has since been deleted. Part D of<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                    Page 10 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008<br \/>\n Chapter IV deals with computation of profits and gains of business or<\/p>\n<p>profession providing which of the incomes fall within the definition of<\/p>\n<p>profits and gains of business or profession, what deductions or<\/p>\n<p>adjustments are to be allowed, and what deductions are not<\/p>\n<p>permissible and the extent of permissible adjustments and allowance<\/p>\n<p>of deduction of various nature with which we are not presently<\/p>\n<p>concerned. Chapter V deals with income of other persons to be<\/p>\n<p>included      in   assessee&#8217;s       total    income.       Chapter    VI     deals    with<\/p>\n<p>aggregation of the income from different sources and to set off or<\/p>\n<p>carry forward of loss computed under different sources of income of<\/p>\n<p>the assessee.\n<\/p>\n<\/p>\n<p>10.    The Court then proceeded to discuss the scheme of Chapter<\/p>\n<p>VIA in the following manner:-\n<\/p>\n<\/p>\n<p>               &#8220;Chapter VI-A which consists of Sec. 80-A to Sec.<\/p>\n<p>               80-W deals with specified concession in computing<br \/>\n               tax as well as specified deduction to be made in<br \/>\n               computing total income. These concessions or<br \/>\n               deductions       are    extended       in    connection       with<br \/>\n               certain     investment        expenses        and     areas     of<br \/>\n               business and trade activity with object of incentive<br \/>\n               to savings, and promotion to experts as well as<br \/>\n               economic        development           with     emphasis        on<br \/>\n               providing new industries in backward areas. We in<br \/>\n               the present case are concerned with specific<br \/>\n               deductions to be made in computing total income<br \/>\n               of the assessee under that Chapter. It is further<br \/>\n               significant to notice that Chapter VIA becomes<br \/>\n               operative       on     reaching       the    last     stage     of<br \/>\n               computation of income from different sources until<br \/>\n               Chapter VI. While ultimately net taxable income<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                                    Page 11 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008<br \/>\n                for any assessment year is determined only after<br \/>\n               reaching net result after applying all provisions, as<br \/>\n               are applicable in respect of different matter. Yet<br \/>\n               each Chapter deals with independent subject<br \/>\n               matter al different stages. As noticed briefly<br \/>\n               above,     the     Chapter      IV    sets    the   stage    for<br \/>\n               computing income from different sources. On<br \/>\n               computing income from each different sources,<br \/>\n               and income of other persons in certain cases to be<br \/>\n               added in total income, stage is reached for making<br \/>\n               adjustments of losses of the current year from any<br \/>\n               sources as well as losses carried forward from<br \/>\n               previous year to be adjusted against income of<br \/>\n               current year.&#8221;\n<\/p>\n<p>11.    Reading various provisions of this Chapter together, the Court<\/p>\n<p>was of the view that specific provisions were made that the gross<\/p>\n<p>total income computed before reaching the stage of invoking the<\/p>\n<p>provisions of Chapter VIA, was not to be further adjusted in<\/p>\n<p>quantifying any claim to further deduction under that Chapter. The<\/p>\n<p>Court noted that the &#8220;gross total income&#8221; was assigned a special<\/p>\n<p>meaning under this Chapter by defining the same in Section 80B (5)<\/p>\n<p>of the Act. The Court then took note of the provisions contained in<\/p>\n<p>Section 80 AB of the Act which read as under:-\n<\/p>\n<\/p>\n<blockquote><p>               &#8220;Section 80AB:- Where any deduction is required<br \/>\n               to be made or allowed under any Section (except<br \/>\n               section 80M) included in this Chapter under the<br \/>\n               heading &#8220;C.&#8211;Deductions in respect of certain<br \/>\n               incomes&#8221; in respect of any income of the nature<br \/>\n               specified in that Section which is included in the<br \/>\n               gross     total    income      of     the    assessee,    then,<br \/>\n               notwithstanding          anything      contained     in     that<br \/>\n               section,     for   the     purpose      of   computing      the<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                                 Page 12 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008<br \/>\n                deduction under that section, the amount of<br \/>\n               income of that nature as computed in accordance<br \/>\n               with the provisions of this Act (before making any<br \/>\n               deduction under this Chapter) shall alone be<br \/>\n               deemed to be the amount of income of that nature<br \/>\n               which is derived or received by the assessee and<br \/>\n               which is included in his gross total income.&#8221;\n<\/p><\/blockquote>\n<p>12.    Interpreting Section 80 B (5)                 and Section 80 AB of the Act<\/p>\n<p>together, the Court opined that once the gross total income is<\/p>\n<p>computed, no further deduction there from was permissible for the<\/p>\n<p>purpose of arriving at the gross total with a view to allow deduction<\/p>\n<p>under various provisions of Chapter VIA. Some of the relevant<\/p>\n<p>passages containing important discussions are extracted below:-<\/p>\n<blockquote><p>               &#8220;There is no room of doubt that computation of<br \/>\n               gross total income of the industrial undertaking for<br \/>\n               the purpose of deduction u\/S. 80-HH and 80-1<br \/>\n               operate independently and has to be made without<br \/>\n               making any deduction under Chapter VIA. Thus, for<br \/>\n               the purpose of computing gross total income&#8217;, of<br \/>\n               such industrial undertaking in respect of which<br \/>\n               deduction is to be made under Sec. 80-HH or 80-I,<br \/>\n               deduction quantified under any of the provision<br \/>\n               can be deducted before computing eligible gross<br \/>\n               total    income      for    the       purpose   of    computing<br \/>\n               deduction under other. In other words, for the<br \/>\n               purpose of computing eligible gross total income to<br \/>\n               quantify deduction @ 20% under Sec. 80-I and 20<br \/>\n               per cent      or 25        per cent, as the case may be,<br \/>\n               under Sec. 80-HH no deduction under either<br \/>\n               provision     can     be     made       for   the    purpose   of<br \/>\n               computing deduction under the other. In each case<br \/>\n               gross total income shall have to be computed<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                                  Page 13 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008<br \/>\n                without making any reducing it by deduction<br \/>\n               permitted u\/S. 80-HH or 80-1 or for that matter<br \/>\n               under any other provision of the Chapter VIA, and<br \/>\n               taken to be basis on the basis of which prescribed<br \/>\n               percentage is to deduct from such income of the<br \/>\n               assessee.\n<\/p><\/blockquote>\n<blockquote><p>                      The question then arises whether Section 80-<br \/>\n               HH(9) to which reference has been made and<br \/>\n               reliance has been placed by the learned counsel<br \/>\n               for the revenue, provides anything to contrary and<br \/>\n               militates     against     our     above   conclusion.   That<br \/>\n               provision reads as under:\n<\/p><\/blockquote>\n<blockquote><p>               &#8220;80-HH (9): In a case where the assessee is<br \/>\n               entitled also to the deduction under Section 80-I or<br \/>\n               Section 80-J in relation to the profits and gains of<br \/>\n               an industrial undertaking or the business of a hotel<br \/>\n               to which this section applies, effect shall first be<br \/>\n               given to the provisions of this Section.&#8221;\n<\/p><\/blockquote>\n<blockquote><p>                      The language and intent of this provision is<br \/>\n               clear in itself. While envisaging that all the three<br \/>\n               deductions viz. u\/S. 80-HH, 80-1 and 80-J are<br \/>\n               simultaneously        permissible,      and   not   mutually<br \/>\n               exclusive, the provision only fixes priority of order<br \/>\n               in which deduction under each provision is to be<br \/>\n               adjusted in the gross total income derived from<br \/>\n               such industrial undertaking to which Section 80-HH<br \/>\n               or    Section      80-I    or    80-J   respectively    apply<br \/>\n               simultaneously.&#8221;\n<\/p><\/blockquote>\n<p>13.    The general scheme contained in para A of Chapter VIA, on the<\/p>\n<p>basis of aforesaid judgments can be summed up as under:-<\/p>\n<p>       (a)     In general the statute does not prescribe any order<br \/>\n               of priority in which the various deductions are to be<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                              Page 14 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008<br \/>\n                allowed. Therefore deductions can be claimed by<br \/>\n               an assessee so as to ensure to his best advantage.<br \/>\n               There are however, a few places where the statute<br \/>\n               indicates a priority and these have to be given<br \/>\n               effect to.\n<\/p>\n<p>       (b)     Each relief under each section of Chapter VI-A is a<br \/>\n               separate one.        Each relief operates in a separate<br \/>\n               realm     to    fulfill   different   economic   or   social<br \/>\n               objectives. When an assessee is entitled to more<br \/>\n               than one relief, each relief has to be independently<br \/>\n               determined. The Courts have held that one relief<br \/>\n               cannot be abridged or diluted by any other relief<br \/>\n               which assessee may be rightly entitled.\n<\/p>\n<p>The amendment:\n<\/p>\n<\/p>\n<p>14.    So far so good. However, what needs to be highlighted at this<\/p>\n<p>stage is that in all these judgments, the Courts were concerned with<\/p>\n<p>the assessment years for the period prior to 1st April, 1999.                  With<\/p>\n<p>effect from 1st April, 1999 amendments were made by inserting<\/p>\n<p>Clause-9 in Section 80 IA and clause 13 in Section 80 IB.                     These<\/p>\n<p>provisions read as under:-\n<\/p>\n<\/p>\n<blockquote><p>               &#8220;80-IA (9): Where any amount of profits and gains<br \/>\n               of an undertaking or of an enterprise in the case of<br \/>\n               an assessee is claimed and allowed under this<br \/>\n               section for any assessment year, deduction to the<br \/>\n               extent of such profits and gains shall not be<br \/>\n               allowed under any other provisions of this Chapter<br \/>\n               under the heading \u201eC-Deductions in respect of<br \/>\n               certain incomes\u201f, and shall in no case exceed the<br \/>\n               profits and gains of such eligible business of<br \/>\n               undertaking or enterprise, as the case may be&#8221;\n<\/p><\/blockquote>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                             Page 15 of 37<\/span><\/p>\n<p>ITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008<br \/>\n                Sec. 80IB (13) states that the provisions of sub-sec.<br \/>\n               (9) to Sec. 80IA shall, so far as may be, apply to<br \/>\n               the eligible business under this section&#8221;\n<\/p>\n<p>The Question of law and the controversy:\n<\/p>\n<\/p>\n<p>15.    We are, in these cases, concerned with the post amendment<\/p>\n<p>provisions and, therefore, cases are to be decided in the light of this<\/p>\n<p>amendment. In this context, question                 of law which is formulated in<\/p>\n<p>all these cases for determination is as to whether deduction allowed<\/p>\n<p>under Section 80 IA is to be reduced from the gross profits for the<\/p>\n<p>purpose of computing deduction under Section 80 HHC.                     There is<\/p>\n<p>marginal difference in the language in which the question of law is<\/p>\n<p>framed in different appeals.             However, essence remains the same<\/p>\n<p>and, therefore, our purpose would be served by reproducing the<\/p>\n<p>question of law framed in one of these cases. In ITA 267\/2008, the<\/p>\n<p>question of law has been formulated in the following words:-<\/p>\n<blockquote><p>              &#8220;Whether the Income Tax Appellate Tribunal was<br \/>\n              correct in law in holding that the business profits as<br \/>\n              per Explanation (baa) of Section 80 HHC of the<br \/>\n              Income Tax Act, 1961 was to include the amount of<br \/>\n              deduction allowable under Section 80 IB of the Act<br \/>\n              for the purpose of computing deduction under<br \/>\n              Section 80 HHC of the Act&#8221;\n<\/p><\/blockquote>\n<p>16.    The contention of the learned counsel for the assessees is that<\/p>\n<p>the aforesaid insertion has not made any change in so far as the<\/p>\n<p>manner of computation and deduction is to be made under various<\/p>\n<p>provisions of Part -C in Chapter VIA.                According to them, the only<\/p>\n<p>thrust of this provision is that the total deduction to be allowed under<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                           Page 16 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008<br \/>\n various provisions in Part-C is not to exceed the profits and gains.<\/p>\n<p>Total accumulation should not exceed the profits and gains and,<\/p>\n<p>therefore, the principle as interpreted in JP Tabacco            (supra) and<\/p>\n<p>other judgments and affirmed in Mandideep case (supra), still hold<\/p>\n<p>the field.\n<\/p>\n<\/p>\n<p>17.     The Revenue on the other hand insists that introduction of sub<\/p>\n<p>Section 9 in Section 80 IA has made a clear departure and legislative<\/p>\n<p>intent is manifest in this provision namely once the deduction is<\/p>\n<p>claimed under Section 80-IA in respect of certain amount of profits<\/p>\n<p>and gains, &#8220;to the extent of such profits and gains&#8221;, deduction shall<\/p>\n<p>not     be allowed and this has to be reduced while computing<\/p>\n<p>deduction under other provisions namely Section 80 HHC in the<\/p>\n<p>instant cases.\n<\/p>\n<p>\nConflicting views of ITAT                 and the decision of the Special<br \/>\nBench:\n<\/p>\n<\/p>\n<p>18.    This controversy has received attention at the hands of various<\/p>\n<p>Benches of the Tribunal.              In view of conflicting opinions a three<\/p>\n<p>member Special Bench of Chennai ITAT was constituted in the case of<\/p>\n<p>ACIT Vs. Rogini Garments (2007) 294 ITR 15. Before the decision<\/p>\n<p>of Special Bench of Chennai ITA various Division Benches had, in the<\/p>\n<p>past, dealt with the issue and decided it mainly in favour of assessee<\/p>\n<p>for reasons recorded therein. The Special Bench in case of Rogini<\/p>\n<p>Garments essentially being influenced by the literal interpretation<\/p>\n<p>of the provisions of Section 80-IA (9), held that the relief under<\/p>\n<p>Section 80-IA should be deducted from the profits and gains                 of<\/p>\n<p>business before computing relief under section 80HHC. Subsequent<\/p>\n<p>to the decision of Special Bench of Chennai ITAT (supra) the issue<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                       Page 17 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008<br \/>\n came up for consideration before the Madras High Court in the case<\/p>\n<p>of SCM Creations Vs. ACIT (2008) 304 ITR 319 wherein a similar<\/p>\n<p>issue as involved before the Special Bench of Chennai ITAT was<\/p>\n<p>considered and decided.\n<\/p>\n<\/p>\n<p>19.    However, the controversy still persisted as various nuances of<\/p>\n<p>the provisions were argued and there was a controversy about the<\/p>\n<p>ratio of S.C.M. decision of Madras High Court and in these<\/p>\n<p>circumstances, a five member Special Bench of the Tribunal at Delhi<\/p>\n<p>was constituted in the case of Hindustan Mint and Agro Product<\/p>\n<p>Limited, 305 ITR (AT) (SB) 401 (Delhi).\n<\/p>\n<\/p>\n<p>20.    This five member Special Bench has decided the question of<\/p>\n<p>law in favour of the Revenue. In the meantime, as various Benches<\/p>\n<p>had decided the issue differently, these appeals have been preferred.<\/p>\n<p>It is clear from the fact that in these batch of appeals the Tribunal<\/p>\n<p>has given conflicting judgments and, therefore, some appeals are<\/p>\n<p>filed by the revenue while others by the assessees.<\/p>\n<p>The Arguments: Assessees:\n<\/p>\n<\/p>\n<p>21.    Now we proceed to take note of the submissions advanced by<\/p>\n<p>the various counsels who appeared in these cases on behalf of the<\/p>\n<p>assessees.\n<\/p>\n<\/p>\n<p>22.    Ms. Kapila who led the team of assessees\u201f counsels submitted<\/p>\n<p>that interpretation given by Special Bench           in Hindustan Mint<\/p>\n<p>(supra) had the effect of rendering the provisions of Section 80 AB,<\/p>\n<p>80B (5) and 80HHC Explanation (4) clause (baa) inert, lifeless and<\/p>\n<p>redundant. She pointed out that Section 80 AB of the Act begins with<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                Page 18 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008<br \/>\n a non-obstante clause and was therefore to prevail over Section 80 IA<\/p>\n<p>(9).     She thus submitted that              there appeared to be a head on<\/p>\n<p>collision between Section 80AB\/80B(5)\/80HHC on the one hand and<\/p>\n<p>Section 80IA(9)\/80IB (13) on the other hand, if rule of literal<\/p>\n<p>interpretation is applied. She argued that Section 80AB and Section<\/p>\n<p>80IA (9) operate in same field, viz deductions under Division C of<\/p>\n<p>Chapter VI-A. Section 80AB begins with a non-obstante clause, and is<\/p>\n<p>the governing &amp; controlling section for operating deduction under<\/p>\n<p>Division C of Chapter VI-A. The very foundations of computation of<\/p>\n<p>deduction under Chapter VI-A is &#8220;gross total income&#8221; This was<\/p>\n<p>glossed over by the Tribunal.            The consequence of the interpretation<\/p>\n<p>of Section 80IA (9) given by the Tribunal overrides this non-obstante<\/p>\n<p>clause contained in Sec. 80 AB and shifts the foundation base from<\/p>\n<p>&#8220;gross total income&#8221;           to &#8220;net income&#8221;.       Thus ITAT\u201fs interpretation<\/p>\n<p>would render sections 80AB and 80B (5), inert, lifeless and<\/p>\n<p>redundant.        Furthermore, Clause (baa) to Explanation 4 to Sec.<\/p>\n<p>80HHC would become also lifeless.                    She pointed out that the<\/p>\n<p>Supreme Court has held that section 80AB has been given an<\/p>\n<p>overriding effect over all other sections in Chapter VIA of the Act<\/p>\n<p>{IPCA Laboratory Ltd. Vs. DCIT (2004) 266 ITR 521 (SC) and in the<\/p>\n<p>case of CIT Vs. Shirke Constructions Equipment Ltd. 291 ITR 380<\/p>\n<p>(SC)}.\n<\/p>\n<\/p>\n<p>23.    Continuing her submission along this line, Ms. Kapila contended<\/p>\n<p>that unlike the language in Section 80AB, the provision of Section<\/p>\n<p>80IA (9) does not contain a non-obstante clause so as to supersede<\/p>\n<p>the non-obstante provision of Sec. 80AB, or Section 80B (5). If the<\/p>\n<p>provision of Section 80 IA (9) are to be read as diluting all deductions<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                         Page 19 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008<br \/>\n under the heading \u201eC\u201f by computing them on reduced profits after<\/p>\n<p>deducting relief u\/S 80IA or 80IB, then such interpretation would be<\/p>\n<p>in manifest contradiction to the provisions of Section 80AB which<\/p>\n<p>overrides all the provisions of Chapter VIA and which specifically<\/p>\n<p>provide by way of non-obstante clause that in computing deduction<\/p>\n<p>under any section under the heading \u201eC\u201f of Chapter VIA, the<\/p>\n<p>foundation base is &#8220;gross total income&#8221;, as defined and explained by<\/p>\n<p>Rajasthan High Court in Chokshi&#8217;s case (supra).<\/p>\n<p>24.    After projecting the aforesaid scenario where Section 80 AB of<\/p>\n<p>the Act was to be given primacy, her submission was that rule of<\/p>\n<p>&#8220;literal interpretation&#8221; could not be applied, as done by the Special<\/p>\n<p>Bench which resulted in serious anomalies. Therefore, challenge was<\/p>\n<p>to harmonize the two sets of provisions by applying the principle of<\/p>\n<p>harmonious construction.             Her submission was that when there are<\/p>\n<p>two conflicting provisions in an Act, which cannot be reconciled with<\/p>\n<p>each other, they should be so interpreted that, if possible effect<\/p>\n<p>should be given to both. The Courts have also to keep in mind that<\/p>\n<p>an interpretation which reduced one of the provisions to a \u201edead<\/p>\n<p>letter\u201f or \u201euseless lumber\u201f is not harmonious construction. To<\/p>\n<p>harmonize is not to destroy any statutory provision. She suggested<\/p>\n<p>that it was possible to harmonize all the statutory provisions. The<\/p>\n<p>object of insertion of Section 80-IA (9), was to prevent deduction of<\/p>\n<p>more than 100 per cent of profits and gains of the undertaking by<\/p>\n<p>claiming multiple deductions under different sections. It was not to<\/p>\n<p>dilute claims of deduction under more than one section, under<\/p>\n<p>Chapter VI-A, but only to ensure that the sum total of the deductions<\/p>\n<p>so claimed by the assessee under different sections does not exceed<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                     Page 20 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008<br \/>\n the profits and gains of the undertaking in respect of which<\/p>\n<p>deductions are allowable.\n<\/p>\n<p>25.    This has been explained in CBDT Circular No. 772, dated<\/p>\n<p>23.12.1998 extracted herein under:-\n<\/p>\n<blockquote><p>               &#8220;1 Under the provisions of Chapter VI-A of the<br \/>\n               Income Tax Act, various deductions from the profits<br \/>\n               and gains are allowed to specified appellants,<br \/>\n               subject to fulfilling certain requirements specified<br \/>\n               under the relevant sections.             The total deductions<br \/>\n               under Chapter VIA of the IT Act are restricted to the<br \/>\n               gross total income in respect of the appellant as a<br \/>\n               whole.\n<\/p><\/blockquote>\n<blockquote><p>               2. However, it was noticed that certain assessees<br \/>\n               claimed more than 100 per cent deduction on such<br \/>\n               profits and gains of the same undertaking, when<br \/>\n               they were entitled to deductions under more than<br \/>\n               one section of Chapter VI-A.                With a view to<br \/>\n               providing      suitable      statutory    safeguard   in   the<br \/>\n               Income-tax Act to prevent taxpayer from taking<br \/>\n               undue advantage of existing provisions of the Act by<br \/>\n               claiming repeated deductions in respect of the same<br \/>\n               amount of eligible income, even in cases where it<br \/>\n               exceeds such eligible profits of an undertaking or a<br \/>\n               hotel, in built restrictions in section 80HHD and 80<br \/>\n               IA have been provided by amending the section, so<br \/>\n               that such unintended benefits are not passed on to<br \/>\n               the appellant.\n<\/p><\/blockquote>\n<blockquote><p>               3. These amendments will take effect from 1-4-1999<br \/>\n               and will accordingly, apply in relation to assessment<br \/>\n               year 1999-2000 and subsequent years&#8221;.\n<\/p><\/blockquote>\n<p>26.    She argued that this Circular made it abundantly clear that the<\/p>\n<p>only and limited object of the amendment to Section 80IA (9) was to<\/p>\n<p>ensure that an assessee does not claim more than 100% of<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                               Page 21 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008<br \/>\n deductions by claiming multiple deductions on same profits and gains<\/p>\n<p>Under Sec. 80 IA            and 80 IB under certain circumstances 100%<\/p>\n<p>deduction is available on profits of an undertaking. In cases where<\/p>\n<p>the assessee is eligible for deduction under more than one section<\/p>\n<p>then deduction will be restricted to 100% of the eligible profits. In<\/p>\n<p>this way limbs (a) and (b) of the Sec. 80 IA (9) amendment get<\/p>\n<p>harmonized.\n<\/p>\n<p>27.     She also stressed o the binding nature of Circulars issued by<\/p>\n<p>CBDT and constitute contemporanea expositio furnishing legitimate<\/p>\n<p>aid in the construction of statutory provisions and are binding on<\/p>\n<p>Revenue authorities { See CIT Vs. K.P. Varghese 131 ITR 597 (SC)}.<\/p>\n<p>Further the Supreme Court affirmed in Union of India Vs. Azadi<\/p>\n<p>Bachao Andolan (2003) 263 ITR 706 that Circulars issued by CBDT<\/p>\n<p>are binding on the Department even if they deviate from the<\/p>\n<p>provisions of the Act.           In CIT Vs. Vaidya (M.K.) 224 ITR 186 the<\/p>\n<p>Karnataka High Court held that Circulars issued by the CBDT are not<\/p>\n<p>only binding on the Income Tax Department but are also in the nature<\/p>\n<p>of    contemporanea          expositio      furnishing   legitimate   aid   in     the<\/p>\n<p>construction of a provision.\n<\/p>\n<p>28.    Other counsels argued on almost similar lines.                  Mr. Anoop<\/p>\n<p>Sharma also highlighted the conflict between the two sets of<\/p>\n<p>provision and submitted that the rule of &#8220;literal interpretation&#8221; could<\/p>\n<p>not be invoked in such a scenario while interpreting sub-Section 9 of<\/p>\n<p>Section 80 IA.         He suggested that departure from this rule was<\/p>\n<p>legitimate in such circumstances, quoting following passage from<\/p>\n<p>\u201ePrinciple of Statutory Interpretation\u201f by G.P. Singh:-<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                                Page 22 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008<br \/>\n                &#8220;It has already been seen that a statute must be<br \/>\n               read as a whole and one provision of the Act should<br \/>\n               be construed with reference to other provisions in<br \/>\n               the same Act so as to make a consistent enactment<br \/>\n               of the whole statute. Such a construction has the<br \/>\n               merit of avoiding any inconsistency or repugnancy<br \/>\n               either within a section or between a section and<br \/>\n               other parts of the statute. It is the duty of the<br \/>\n               Courts to avoid a &#8220;head on clash&#8221; between<br \/>\n               two sections of the same Act and whenever it<br \/>\n               is possible to do so to construe provisions<br \/>\n               which       appear       to     conflict   so   that   they<br \/>\n               harmonise&#8221;.\n<\/p>\n<p>29.    He also referred to various judgments of the Apex Court in this<\/p>\n<p>behalf, namely; Raj Krishna Bose Vs. Binod Kanungo, AIR 1954<\/p>\n<p>SC 202, Sultana Begum Vs Prem Chand Jain, AIR 1997 SC 106,<\/p>\n<p>Siraj-ul-Haq and Others Vs. The Sunni Central Board of Waqf<\/p>\n<p>U.P. AIR 1959 SC 198 and D. Sanjeevayya Vs. Election Tribunal<\/p>\n<p>AIR 1967, SC 1211.\n<\/p>\n<\/p>\n<p>30.    He thus reiterated the submissions made by Ms. Kapila namely<\/p>\n<p>that the a avowed objective of inserting sub Section (9) of Section 80<\/p>\n<p>IA was limited to the extent that it ensures that the total deductions<\/p>\n<p>under Chapter VI A of the Act are restricted to the \u201egross total<\/p>\n<p>income\u201f in respect of the assessee as a whole, as was clear from the<\/p>\n<p>Circular No. 772 dated 23.3.1998 of CBDT.\n<\/p>\n<\/p>\n<p>31.    Mr. Kanan Kapoor argued in the same vein with added passion<\/p>\n<p>and additionally highlighted that wherever                benefit granted under<\/p>\n<p>one provision is to be reduced in other provisions, specific language<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                            Page 23 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008<br \/>\n to this effect is used in those proceedings and gave the following<\/p>\n<p>examples:-\n<\/p>\n<blockquote><p>               &#8220;Section 80P (3): In a case where the assessee is<br \/>\n               entitled also to the deduction under Section 80 HH<br \/>\n               or Section 80HHA or Section 80 HHB or Section 80<br \/>\n               HHC, or Section 80 HHD or Section 80-I or Section<br \/>\n               80-IA or Section 80J or Section 80 JJ, the deduction<br \/>\n               under sub-section (1) of this section, in relation to<br \/>\n               the sums specified in clause (a) or clause (b)    or<br \/>\n               clause (c) of sub-section (2), shall be allowed with<br \/>\n               reference to the income, if any, as referred to in<br \/>\n               those clauses included in the gross total income as<br \/>\n               reduced by the deductions under Section 80 HH,<br \/>\n               Section 80 HHA, Section 80 HHB, Section 80 HHC,<br \/>\n               Section 80HHD, Section 80-I, Section 80-IA Section<br \/>\n               80 J and Section 80JJJ&#8221;\n<\/p><\/blockquote>\n<blockquote><p>               &#8220;80Q (2): In a case where the assessee is entitled<br \/>\n               also to the deduction under Section 80HH or<br \/>\n               Section 80HHA or section 80HHC or section 80-1 or<br \/>\n               section 80-IA or section 80J or section 80P, in<br \/>\n               relation t any part of the profits and gains referred<br \/>\n               to in sub-section (1) the deduction under sub-<br \/>\n               section (1) shall be allowed with reference to such<br \/>\n               profits and gains included in the gross total income<br \/>\n               as reduced by the deductions under section 80HH,<br \/>\n               Section 80 HRA, section 80 HHC, section 80,<br \/>\n               section 80-IA, section 80J and section 80P&#8221;\n<\/p><\/blockquote>\n<p>32.    Dr. Gupta, learned counsel appearing for another other<\/p>\n<p>assessee also gave similar examples of some other provisions. In<\/p>\n<p>respect of the circular of CBDT, he further highlighted that this was<\/p>\n<p>issued simultaneously with the insertion of sub section (9) to Section<\/p>\n<p>80-IA and was thus contemporanea expositio and binding on the<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                      Page 24 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008<br \/>\n revenue when the reading of this circular clearly relaxes the rigor,<\/p>\n<p>even if was contrary to law as held in Navnit Lal C. Javeri Vs. CIT,<\/p>\n<p>56 ITR 198.         He also pointed out that alongwith amendment to<\/p>\n<p>Section 80-IA with insertion of sub-Section (9), Section 80HHD was<\/p>\n<p>also amended but the language of Section 80 HHD was made much<\/p>\n<p>clearer by specific exclusion therein.\n<\/p>\n<\/p>\n<p>33.    Predicated on that, he also stressed that the intention behind<\/p>\n<p>sub section (9) was not which is projected by the department now<\/p>\n<p>and it was restricted only to ensure that total deduction claimed<\/p>\n<p>under various provisions should not exceed total gross profit.<\/p>\n<p>34.     Mr. Vohra additionally submitted that Section 80 HHC was a<\/p>\n<p>complete Code in itself and sub Section (3) thereof prescribed as to<\/p>\n<p>how the profits are to be computed. It could not be circumscribed or<\/p>\n<p>influenced by an altogether different provision namely sub Section<\/p>\n<p>(9) of Section 80-IA which provided totally different basis of the<\/p>\n<p>computation. He referred to the judgment of Godrej Agrovet Ltd.<\/p>\n<p>Vs. Asstt. Commissioner of Income Tax. 290 ITR 252.<\/p>\n<p>The Arguments: Revenue:\n<\/p>\n<\/p>\n<p>35.    Onslaught of all these submissions of the assessees\u201f counsel<\/p>\n<p>was bravely faced by Ms.Prem Lata Bansal who appeared on behalf<\/p>\n<p>of the department in all these cases and emphatically countered<\/p>\n<p>them. She heavily relied upon the detailed analysis of these<\/p>\n<p>provisions by the five members of Special Bench of the Tribunal in<\/p>\n<p>Hindustan Mint (supra) and submitted that the Tribunal had rightly<\/p>\n<p>appreciated and answered the controversy. Her argument was that<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                Page 25 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008<br \/>\n Section 80-IA\/80IB of the Act provides for deduction of specific<\/p>\n<p>percentage of profits and gains derived from the eligible businesses<\/p>\n<p>which are included in the gross total income of the assessee. She<\/p>\n<p>submitted that the expression &#8220;profit derived from\u201f has received<\/p>\n<p>judicial recognition. It has been repeatedly held by the Apex Court in<\/p>\n<p>various decisions that incomes which have first degree nexus with<\/p>\n<p>the eligible business would be regarded as profits and derived from<\/p>\n<p>the eligible business and hence would qualify for deduction under<\/p>\n<p>the said section (refer CIT Vs. Sterling Foods; 237 ITR 579 (SC) ,<\/p>\n<p>Pandian Chemicals Vs. CIT: 262 ITR 278 (SC) Liberty India Ltd: 317<\/p>\n<p>ITR 218 (SC)).        In other words, the amount forming the basis of<\/p>\n<p>deduction under the said section (including sections 80-IA\/IB) is an<\/p>\n<p>artificial figure, computed having regard to the principles laid down<\/p>\n<p>in the said judgments.\n<\/p>\n<p>36.    Coming specifically to the provision, which is the centre of<\/p>\n<p>discussion controversy, her submission was that on a careful<\/p>\n<p>consideration of the provision of sub section (9) of section 80 IA of<\/p>\n<p>the Act, it will be noticed that the said sub section has three limbs,<\/p>\n<p>as under:-\n<\/p>\n<blockquote><p>       (a) Where any amount of profits and gains of an<br \/>\n       undertaking is claimed               and      allowed   under   this<br \/>\n       section for any assessment year;<\/p><\/blockquote>\n<p>       (b)     deduction to the extent of such profits shall not be<br \/>\n       allowed under any other provisions of this Chapter under<br \/>\n       the heading C-deductions in respect of certain income&#8221;,<br \/>\n       and<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                             Page 26 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008\n<\/p>\n<p>        (c) deduction shall          in no case exceed the profits and<br \/>\n       gains     of   such     eligible    business   of   undertaking   or<br \/>\n       enterprise.\n<\/p>\n<\/p>\n<p>37.    Her analysis was that the first limb refers to the profits and<\/p>\n<p>gains claimed and allowed                 under Section 80 IA\/80IB of the Act.<\/p>\n<p>Thus, sub-section (9) refers to the amount of profits and gains<\/p>\n<p>which is not only claimed but also allowed under sections<\/p>\n<p>80IA\/80IB of the Act.\n<\/p>\n<\/p>\n<p>38.    The second limb of sub-section (9) of Section 80-IA prohibits<\/p>\n<p>double allowance of such profits, i.e. the profits referred in the first<\/p>\n<p>limb. The expression \u201esuch profits\u201f, therefore, means and refers to<\/p>\n<p>the profits claimed and allowed as deduction under Section 80IA\/80IB<\/p>\n<p>of the Act.      The second limb provides that \u201esuch profits\u201f, i.e. the<\/p>\n<p>profits which have been claimed and allowed as deduction under<\/p>\n<p>Section 80IA\/80IB, shall not              be allowed as deduction under any<\/p>\n<p>other provisions of Chapter VIA-C of the Act.                According to her ,<\/p>\n<p>there are two stages of claiming deduction under any section under<\/p>\n<p>the provisions of Chapter VI-A of the Act.                 The first stage is<\/p>\n<p>computation of deduction under the relevant section and the<\/p>\n<p>second stage is allowance of deduction in accordance with<\/p>\n<p>the scheme of the Act.                    The provisions of sub-section (9) of<\/p>\n<p>Section 80IA of the Act, it was submitted only governs the second<\/p>\n<p>stage, i.e. allowance of deduction and does not regulate\/govern<\/p>\n<p>the first stage, viz.,computation of deduction. The first stage, i.e.<\/p>\n<p>computation of deduction, is primarily regulated by the<\/p>\n<p>formulae\/method prescribed in the section under which<\/p>\n<p>deduction is being computed.\n<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                             Page 27 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008\n<\/p>\n<p> 39.    She argued that the third limb of sub-section (9) of Section 80<\/p>\n<p>IA only carves out a further condition in the form of an outer circle to<\/p>\n<p>provide that the total deduction claimed in respect of profits of the<\/p>\n<p>same undertaking, viz             80 IA\/80 IB as well as other sections of<\/p>\n<p>Chapter VIA- C, shall not exceed the total profits of the said<\/p>\n<p>undertaking.\n<\/p>\n<p>\nOur Analysis:\n<\/p>\n<\/p>\n<p>40.    We have considered the aforesaid elaborate submissions made<\/p>\n<p>by counsel for various parties appearing in these matters. We have<\/p>\n<p>stated in detail the scheme of Chapter VI-A of the Act and case law<\/p>\n<p>up to the stage of amendment, explaining the said Scheme.                        No<\/p>\n<p>doubt,     as    the   unamended          provisions   stood,   the   Courts    had<\/p>\n<p>interpreted those provisions to mean that they are independent of<\/p>\n<p>each other. It was categorically laid down that a new industrial unit<\/p>\n<p>can claim deduction under Section 80 HHC as well under Section 80-<\/p>\n<p>IA of the Act (or for that matter any other provision of this Chapter)<\/p>\n<p>on the gross total income independently and for granting deduction<\/p>\n<p>under Section 80-I of the Act, the said income was not to be reduced<\/p>\n<p>balance after taking into account the benefit under Section 80 HH of<\/p>\n<p>the Act.        The legal position was that the statute did not prescribe<\/p>\n<p>any order of priority in which the various deductions are to be<\/p>\n<p>allowed as each relief under each section of Chapter -VI A was<\/p>\n<p>separate one, the assessee could be entitled to more than one relief,<\/p>\n<p>and each relief was required to be independently determined. The<\/p>\n<p>question is as to whether insertion of sub Section (a) of Section 80<\/p>\n<p>IA and sub-Section (13) of Section 80-IB of the Act has made any<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                              Page 28 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008<br \/>\n difference to this position.            Though we have already reproduced<\/p>\n<p>these provisions in the earlier part of this judgment, we are<\/p>\n<p>extracting these provisions again to maintain proper sequential<\/p>\n<p>continuity in our discussion:-\n<\/p>\n<blockquote><p>               &#8220;80 IA (9)<br \/>\n                Where any goods held for the purposes of the<br \/>\n               eligible   business      are    transferred     to   any     other<br \/>\n               business carried on by the assessee, or where any<br \/>\n               goods held for the purposes of any other business<br \/>\n               carried on by the assessee are transferred to the<br \/>\n               eligible    business       and,       in   either    case,    the<br \/>\n               consideration, if any, for such transfer as recorded in<br \/>\n               the accounts of the eligible business does not<br \/>\n               correspond to the market value of such goods as on<br \/>\n               the date of the transfer, then, for the purposes of the<br \/>\n               deduction under this section, the profits and gains of<br \/>\n               such eligible business shall be computed as if the<br \/>\n               transfer, in either case, had been made at the<br \/>\n               market value of such goods as on that date&#8221;.\n<\/p><\/blockquote>\n<blockquote><p>               Sub-Section (13) of Sec.80IB.\n<\/p><\/blockquote>\n<blockquote><p>               The provisions contained in sub-section (5) and sub-<br \/>\n               sections (7) to (12) of section 80-IA shall, so far as<br \/>\n               may be, apply to the eligible business under this<br \/>\n               section&#8221;\n<\/p><\/blockquote>\n<p>41.    By sub Section (13) of Section 80 IB of the Act provisions of<\/p>\n<p>sub-Section 9 to Section 80 IA are made applicable to Section 80 IB.<\/p>\n<p>There is no quarrel about this. Therefore, the interpretation which is<\/p>\n<p>to be given to sub Section (9) to Section 80 IA will determine the fate<\/p>\n<p>of these cases.\n<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                                   Page 29 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008\n<\/p>\n<p> 42.    When we make an attempt to understand this provision, by<\/p>\n<p>reading the plain language as it appears i.e. applying the test of<\/p>\n<p>literal construction, it manifestly evidence the following status:-<\/p>\n<blockquote><p>       (a) Once an assessee is allowed deduction under Section 80 IA,<\/p>\n<p>           &#8220;to the extent of such profits and gains&#8221; he is not to be<\/p>\n<p>           allowed further deductions under Chapter-C;\n<\/p><\/blockquote>\n<blockquote><p>       (b)In no case the deduction shall exceed the profits and gains<\/p>\n<p>           of such eligible business of Undertaking or Enterprise, as the<\/p>\n<p>           case may be.\n<\/p><\/blockquote>\n<p>43.    The expressions in these provisions are very crucial which are<\/p>\n<p>&#8220;deduction to the extent of such profits&#8221; and the word &#8220;and&#8221;<\/p>\n<p>occurring therein.        The first expression very clearly signifies that if<\/p>\n<p>an assessee is claiming benefit of deduction of a particular amount of<\/p>\n<p>profits and gains under Section 80 IA, to that extent profits and gains<\/p>\n<p>are to be reduced while calculating the deduction under the Heading-<\/p>\n<p>C of Chapter VI A of the Act. Further the word &#8220;and&#8221; is disjunctive<\/p>\n<p>which would mean that               the other provision is independent and the<\/p>\n<p>first one namely total deductions should not exceed the profits and<\/p>\n<p>gains in a particular year. Even a layman who has some proficiency<\/p>\n<p>in English would understand the meaning of this provision in the<\/p>\n<p>manner we have explained above. It would, therefore, be clear that<\/p>\n<p>this   provision      aims     at    achieving       two   independent   objectives<\/p>\n<p>delineated above. It cannot be limited to second objective alone<\/p>\n<p>thereby annihilating the first altogether and making it otiose. If we<\/p>\n<p>accept the contention of learned counsel for the assessees, it would<\/p>\n<p>lead to this result which has to be avoided.\n<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                            Page 30 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008\n<\/p>\n<p> 44.    Law on interpretation is clear. If the language of the statute is<\/p>\n<p>plain and capable of one and only one meaning, that obvious<\/p>\n<p>meaning is to be given to the said provision. Rules of interpretation<\/p>\n<p>are applied only if there are ambiguities when the purpose of<\/p>\n<p>interpretation is to ascertain the intention of the law i.e. mens legis,<\/p>\n<p>it is based on assertion by adopting plain meaning of the statute in<\/p>\n<p>the absence of any ambiguity.\n<\/p>\n<\/p>\n<p>45.    No doubt, we are in the era of purposive interpretation, which<\/p>\n<p>means: to understand the purpose with which that a particular<\/p>\n<p>provision was enacted or inserted by the legislature. Unfortunately,<\/p>\n<p>for the assessees, even when we view the matter from that angle, we<\/p>\n<p>find that the purpose behind introducing this provision was to ensure<\/p>\n<p>that an assessee does not get deduction on the amount of profits<\/p>\n<p>and gains accorded in one provision.                 To that extent, it is to be<\/p>\n<p>reduced while considering his claim for               such deduction under the<\/p>\n<p>other provision under the head-C of Chapter VI A of the Act. Other<\/p>\n<p>purpose was to ensure that the total deductions allowed to an<\/p>\n<p>assessee under different provisions of Heading -C does not exceed<\/p>\n<p>the total profits and gains in that particular year.<\/p>\n<p>46.    We are, therefore, inclined to affirm the view taken by the<\/p>\n<p>Special Bench of Income Tax appellate Tribunal in Assistant<\/p>\n<p>Commissioner of Income-Tax Vs. Hindustan Mint &amp; Agra<\/p>\n<p>Products P. Ltd. 315 ITR 401. The Special Bench consisting of five<\/p>\n<p>members has undertaken very laborious and elaborate exercise. The<\/p>\n<p>submissions which were made by various counsel appearing for the<\/p>\n<p>assesses were almost the same which are raised before us and have<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                          Page 31 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008<br \/>\n been dealt with by the Special Bench suitably, nicely and with<\/p>\n<p>finesse. The contention that Section 80 IA and Section 80 HHC are to<\/p>\n<p>be given effect independently of each other was expressly turned<\/p>\n<p>down by the Special Bench, affirming its earlier view taken in Rogini<\/p>\n<p>Garments (supra).            The Special Bench of the Tribunal rightly held,<\/p>\n<p>as discussed by us as well, that there are two restrictions in the<\/p>\n<p>statutory provisions contained in Section 80 IA (9) which are:-<\/p>\n<blockquote><p>               &#8220;(a) Where an assessee is allowed deduction<br \/>\n                      under this section (80-IA or 80 IB), deduction<br \/>\n                      to the extent of such profits and gains shall<br \/>\n                      not be allowed under any other provision of<br \/>\n                      this    chapter       (Heading   &#8220;C.-Deduction     in<br \/>\n                      respect of certain incomes&#8221;), and<\/p>\n<\/blockquote>\n<blockquote><p>               (c)    Deduction shall in no case exceed the profits<br \/>\n                      and gains of the undertaking or hotel as the<br \/>\n                      case may be&#8221;\n<\/p><\/blockquote>\n<p>47.    In the process, the Tribunal also dealt with CBDT Circular 772<\/p>\n<p>and repelling the contention of the assessees based thereupon<\/p>\n<p>expounded the position contained in the said Circular as under:<\/p>\n<blockquote><p>               &#8220;It is seen that the Central Board of Direct Taxes<br \/>\n               Circular No. 772 clarified and only dealt with (b)<br \/>\n               above and did not deem it necessary to make<br \/>\n               reference to restriction (a). In order to accept the<br \/>\n               contention of the assessee, we would have to<br \/>\n               exclude portion of the provision covered by (a) and<br \/>\n               ignore the restriction placed therein.           Why such<br \/>\n               course should be adopted when words used by the<br \/>\n               Legislature,      &#8220;claimed      and   allowed   under   this<br \/>\n               section for any assessment year, deduction to the<br \/>\n               extent of such profits and gains shall not be<br \/>\n               allowed under any other provisions&#8221; are quite clear<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                             Page 32 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008<br \/>\n                and unambiguous and are to be given effect to as<br \/>\n               rightly contended by the Revenue. The profits or<br \/>\n               gains of industrial undertaking, which has already<br \/>\n               been allowed as a deduction under Section 90-IA,<br \/>\n               such profit (to the extent) cannot be taken into<br \/>\n               consideration for allowing deduction under any<br \/>\n               other provision of this Chapter &#8220;C&#8221;. If profit which<br \/>\n               has already been allowed as a deduction is again<br \/>\n               taken into consideration for computing deduction<br \/>\n               under any other provision referred to above, then<br \/>\n               restriction (a) above is disregarded and ignored. It<br \/>\n               cannot be done without doing violence to the<br \/>\n               language of the provision. We see no justification<br \/>\n               for adopting a course prohibited by the Legislature.<br \/>\n               It is not possible to ignore the restriction placed as\n<\/p><\/blockquote>\n<blockquote><p>               (a) nor is it possible to accept that in Circular No.<br \/>\n               772, there is a suggestion to ignore restriction (a)<br \/>\n               mentioned above.           As per the settled law, courts<br \/>\n               and Tribunals must see the mandate of the<br \/>\n               Legislature and give effect to it as rightly argued<br \/>\n               by the Revenue. Therefore, restriction (a) above,<br \/>\n               has to be respected and followed.&#8221;\n<\/p><\/blockquote>\n<p>48.    With regard to the submission of the counsel of the assessees<\/p>\n<p>based on section 80 AB of the Act which provides that deduction<\/p>\n<p>under each Section of VI-A is to be computed independently, the<\/p>\n<p>Tribunal answered by pointing out that not only the total scheme of<\/p>\n<p>the statute but Scheme of every Section is to be read and interpreted<\/p>\n<p>and every word given proper meaning. It noticed that:-<\/p>\n<blockquote><p>              &#8220;In several sections under Chapter VI-A, it is<br \/>\n              provided that if deduction is allowed under that<br \/>\n              section, then no deduction under any other section<br \/>\n              under Chapter VI-A would be allowed. Thus, where<br \/>\n              deduction under such specific section has been<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                          Page 33 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008<br \/>\n               claimed and allowed, there is no need to compute<br \/>\n              deduction permissible under other sections of<br \/>\n              Chapter VI-A.         It would be a futile and useless<br \/>\n              exercise.       Therefore, no question of computing<br \/>\n              deduction in the above circumstances would arise<br \/>\n              and section 80-AB would have no application. The<br \/>\n              section provides no solution to the problem where<br \/>\n              deduction is to be computed under more than one<br \/>\n              section of Chapter VI-A. It cannot follow that other<br \/>\n              sections providing modification or change in the<br \/>\n              manner or mode of computation are to be ignored.<br \/>\n              There are several sections like section 80 HHA,<br \/>\n              80HHA (5), 80 HHA (6) providing manner of<br \/>\n              deductions       or    preferential         treatment   to   one<br \/>\n              deduction over another when                    the assessee is<br \/>\n              entitled to deduction under more than one section<br \/>\n              of Chapter VI-A. It is provided that effect shall first<br \/>\n              be given to a particular section. All the sections<br \/>\n              are to be read together harmoniously. The fact that<br \/>\n              section 80 AB starts           with a non-obstante clause<br \/>\n              does not make any difference as we see no conflict<br \/>\n              in various provisions.             The restriction placed on<br \/>\n              double deduction of the same eligible profit cannot<br \/>\n              be read as absurdity or conflict. Having regard to<br \/>\n              the above provisions, putting ban on allowability of<br \/>\n              deduction under other sections, computation of<br \/>\n              deduction under those sections would serve no<br \/>\n              purpose.       It cannot follow from the above that<br \/>\n              restriction of those sections are not to be given<br \/>\n              effect to as scheme in those sections is different<br \/>\n              from scheme of section 80AB which starts with non-<br \/>\n              obstante       clause      &#8220;Notwithstanding        anything&#8230;&#8221;<\/p><\/blockquote>\n<p>              Arguments advanced on behalf of the assessee, if<br \/>\n              accepted,       would       lead       to   complications    not<br \/>\n              envisaged by the Legislature. We find it difficult to<br \/>\n              accept them. Therefore, in a case where deduction<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                                Page 34 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008<br \/>\n               under section 80 IA has been allowed, then in the<br \/>\n              light of the provisions of sub Section (9-A), such<br \/>\n              profits and gains (to the extent) shall not be allowed<br \/>\n              under any other provision of the relevant Chapter.<br \/>\n              For example, if total profit of undertaking is ` 100<br \/>\n              and 20 per cent          is allowed as a deduction under<br \/>\n              section 80-IA or 80-IB, then for purposes of other<br \/>\n              provisions like section 80HHC, on such 20 per cent<br \/>\n              of profit, no deduction can be allowed.                   The<br \/>\n              deduction under other sections has to be computed<br \/>\n              after reducing such profit of 20 per cent. In other<br \/>\n              words, it will be computed with reference to 80 per<br \/>\n              cent of the profit.            Such deduction cannot be<br \/>\n              governed by section 80 AB alone as it is a case in<br \/>\n              which deductions under more than one section of<br \/>\n              Chapter VI-A is to be allowed.                Adjustment of<br \/>\n              deductions under various sections is to be made. It<br \/>\n              is not a case where           provision before making any<br \/>\n              deduction       under      Chapter     VI-A   is   applicable.<br \/>\n              Therefore, provision of Section 80 AB is of no<br \/>\n              assistance in resolving the problem in hand.&#8221;<\/p>\n<p>       We entirely agree with the aforesaid meaning given to Section<br \/>\n80 AB of the Act.\n<\/p>\n<p>49.    Here, we would like to deal with one submission of the learned<\/p>\n<p>counsels for the assessees, which was spearheaded by Ms. Kapil,<\/p>\n<p>Advocate. She emphatically argued that in view of a non-obstante<\/p>\n<p>provision contained in Section 80 AB of the Act, which is to be given<\/p>\n<p>primacy and should prevail over Section 80 IA (9). On this basis, her<\/p>\n<p>submission was that Section 80 AB of the Act was coming in conflict<\/p>\n<p>with Section 80IA AB of the Act with Section 80 IA (9) and 80 IB (13)<\/p>\n<p>if the Rule of Literal Interpretation is applied and, therefore, the two<\/p>\n<p>provisions needed to be harmonized. According to her, otherwise,<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                              Page 35 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008<br \/>\n Section 80 AB would be rendered otiose.              We find entire foundation<\/p>\n<p>of this argument without any basis. there is no conflict within the<\/p>\n<p>two provisions as was painstakingly tried to be demonstrated by Ms.<\/p>\n<p>Kapila. Section 80AB deals with computation of deduction on &#8220;gross<\/p>\n<p>total income&#8221; which purpose is achieved even otherwise on reading<\/p>\n<p>these provisions and interpreting the same in the manner done by<\/p>\n<p>her herein before. On the contrary, if the interpretation suggested<\/p>\n<p>by Ms. Kapila is accepted, it will not only do violence to the clear<\/p>\n<p>mandate of Section 80 IA (9) but shall have the effect of rendering<\/p>\n<p>that provision redundant though specifically introduced by the<\/p>\n<p>Legislature with the purpose of achieving clear objective.<\/p>\n<p>50.    We are not in a position to subscribe to the contention of the<\/p>\n<p>learned counsel for the assessees that where the Legislature<\/p>\n<p>intended to deduct the amount out of some other deduction a<\/p>\n<p>different phraseology was used as noticed above. This was sought to<\/p>\n<p>be demonstrated by referring to sub Section (5) of Section 80 HHB,<\/p>\n<p>sub Section (4) of Section 80 HHBA and sub Section (4) of Section 80-<\/p>\n<p>IE etc. which provisions start with the use of a non-obstante clause.<\/p>\n<p>Merely because section 80-IB is not worded in a similar fashion would<\/p>\n<p>not mean that we have to do the violence with the plain language<\/p>\n<p>used in that provision, which is capable of             only one meaning.     A<\/p>\n<p>particular section of an enactment, the intention of which is<\/p>\n<p>otherwise manifest, cannot be read by adopting such an insidious<\/p>\n<p>approach, by referring to other sections.             It is well known that the<\/p>\n<p>legislature adopts different ways and means in order to achieve its<\/p>\n<p>goal and there is no justification for insistence of identical language.<\/p>\n<p>Likewise, as rightly point out by the Special Bench of the Tribunal, the<\/p>\n<p><span class=\"hidden_text\">ITA 267 OF 2008, ITA 1316 OF 2008, ITA 4 OF 2009,                        Page 36 of 37<\/span><br \/>\nITA 907 OF 2009, ITA 906 OF 2008, ITA 1002 OF 2008<br \/>\n notice and objects of accompanying reasons are only an aid to<\/p>\n<p>construction. Such aid to construction is needed when literal reading<\/p>\n<p>of the provision leads to an ambiguous result or absurdity.<\/p>\n<p>51.    We thus do not find any force in any of the arguments<\/p>\n<p>advanced by the counsel appearing for the assessees and cannot<\/p>\n<p>persuade ourselves to given an interpretation to the aforesaid<\/p>\n<p>provisions contrary to what is indicated above, or what is sought to<\/p>\n<p>be suggested by them. Accordingly, we hold that for the purpose of<\/p>\n<p>computing deduction under Section 80 HHC of the Act, deduction<\/p>\n<p>already allowed under Section 80-IA has to be reduced. The question<\/p>\n<p>of law thus stands answered in favour of the Revenue and against the<\/p>\n<p>assessee.\n<\/p>\n<\/p>\n<p>52.    As a consequence, we allow the appeals filed by the Revenue<\/p>\n<p>and set aside the impugned decision of the Tribunal in those cases.<\/p>\n<p>On the other hand, the appeals preferred by the assessees stand<\/p>\n<p>dismissed.\n<\/p>\n<\/p>\n<p>53.
