Justice K.T.SANKARAN\n\n Dated :30\/11\/2010\n\n O R D E R\n                          K.T.SANKARAN, J.\n            ------------------------------------------------------\n              Arbitration Request NO. 9 OF 2010\n             -----------------------------------------------------\n           Dated this the 30th day of November, 2010\n\n\n                               O R D E R\n<\/pre>\n<p>      The respondent and the applicant entered into Annexure A3<\/p>\n<p>agreement for the construction of a school building. Disputes arose<\/p>\n<p>between the parties. According to the applicant, a balance amount<\/p>\n<p>of Rs.22,12,087\/- was due from the respondent.<\/p>\n<p>      2. Clause 17 of Annexure A3 agreement reads as follows:<\/p>\n<p>      &#8220;(17) If there is any dispute relating to any matter<\/p>\n<p>            regarding the construction of the building or any<\/p>\n<p>            matter related to this contract, the Manager,<\/p>\n<p>            St.Joseph&#8217;s International Academy, Kollam will be<\/p>\n<p>            the sole arbitrator for this purpose and his<\/p>\n<p>            decisions shall be final, and the second party will<\/p>\n<p>            have no right to challenge this decision in the<\/p>\n<p>            court of law.&#8221;\n<\/p>\n<\/p>\n<p>      3.   The applicant sent a letter providing a panel of three<\/p>\n<p>persons and requesting the respondent to select one among them as<\/p>\n<p>arbitrator. The respondent sent a reply without selecting any of the<\/p>\n<p>ARBITRATION REQUEST NO.9 OF 2010<\/p>\n<p>                                    :: 2 ::\n<\/p>\n<p>nominee arbitrators. The respondent suggested appointment of two<\/p>\n<p>Civil Engineers, one by each party.       The parties appointed their<\/p>\n<p>respective nominee     Engineer.       Unfortunately, the   Engineer<\/p>\n<p>nominated by the applicant passed away in a road accident.<\/p>\n<p>Thereafter, the applicant filed A.R.No.25 of 2007 under Section 11(6)<\/p>\n<p>of the Arbitration and Conciliation Act, 1996, for the appointment of<\/p>\n<p>an arbitrator. A.R.No.25 of 2007 was disposed of as per Annexure<\/p>\n<p>A1 order dated 11.10.2007, appointing Sri.E.K.Muralidharan, Retired<\/p>\n<p>District and Sessions Judge as the Arbitrator.<\/p>\n<p>      4. The respondent did not appear when A.R.No.25 of 2007<\/p>\n<p>was taken up for hearing and Annexure A1 order was passed in their<\/p>\n<p>absence. A Review Petition was filed by the respondent, which was<\/p>\n<p>allowed and the order dated 11.10.2007 was recalled.          As per<\/p>\n<p>Annexure A2 order dated 8.5.2009 in A.R.No.25 of 2007, again<\/p>\n<p>Sri.E.K.Muralidharan, Retired District and Sessions Judge was<\/p>\n<p>appointed as the Arbitrator. Various contentions were raised by the<\/p>\n<p>respondent. Paragraph 8 of the order dated 8.5.2009 is extracted<\/p>\n<p>below:\n<\/p>\n<p>             &#8220;8. The provisions contained in sections 12 and<\/p>\n<p>       13 of the Arbitration and Conciliation Act incorporate<\/p>\n<p>ARBITRATION REQUEST NO.9 OF 2010<\/p>\n<p>                                 :: 3 ::\n<\/p>\n<p>     grounds for challenge and the challenge procedure<\/p>\n<p>     against and in respect of arbitrators will reveal that<\/p>\n<p>     partiality and bias or circumstances giving rise to<\/p>\n<p>     justifiable doubts   regarding    the  impartiality   and<\/p>\n<p>     independence can be valid grounds for challenging the<\/p>\n<p>     appointment given to a certain persons as arbitrator. At<\/p>\n<p>     the same time, a party should not be allowed to wriggle<\/p>\n<p>     easily out of agreements entered into by them with open<\/p>\n<p>     eyes. In the instant case it is seen that the applicant<\/p>\n<p>     had agreed to the appointment of a person in the service<\/p>\n<p>     of the opposite party as an arbitrator in the event of<\/p>\n<p>     disputes. That being the position I would have been<\/p>\n<p>     ordinarily reluctant to accept the opposition of the<\/p>\n<p>     applicant to the appointment of the nominated arbitrator<\/p>\n<p>     on ground of bias and partiality. After all, it is a quasi<\/p>\n<p>     judicial function which is being discharged by the<\/p>\n<p>     arbitrator whose proceedings will be regulated by the<\/p>\n<p>     provisions of the Arbitration and Conciliation Act. His<\/p>\n<p>     award will be subjected to judicial scrutiny though on<\/p>\n<p>     limited grounds and to a limited extent.       But in the<\/p>\n<p>     instant case I am not inclined to dismiss the arbitration<\/p>\n<p>     request and to appoint the nominated arbitrator as the<\/p>\n<p>     arbitrator for resolving the disputes which have<\/p>\n<p>     admittedly arisen between the parties because it is seen<\/p>\n<p>     from Annexures A4 and A5 that the respondent also<\/p>\n<p>     became agreeable to the idea of the disputes between<\/p>\n<p>     the parties being resolved by persons other than the<\/p>\n<p>ARBITRATION REQUEST NO.9 OF 2010<\/p>\n<p>                                 :: 4 ::\n<\/p>\n<p>     arbitrator nominated under the agreement. Annexures<\/p>\n<p>     A6 and A7 will show that the parties had nominated an<\/p>\n<p>     Engineer each and were willing to have the disputes<\/p>\n<p>     between them resolved by a joint perusal of the relevant<\/p>\n<p>     records by these two Engineers. To this extent, in my<\/p>\n<p>     opinion the respondent has waived his right to insist that<\/p>\n<p>     the arbitrator to be appointed has to be the arbitrator<\/p>\n<p>     nominated under the agreement.        Moreover, in my<\/p>\n<p>     opinion no prejudice whatsoever will be occasioned to<\/p>\n<p>     the respondent by appointing a Retired Judicial Officer<\/p>\n<p>     known for his learning and integrity as the arbitrator for<\/p>\n<p>     resolving   the  disputes  which     admittedly  subsist.<\/p>\n<p>     Therefore    without   deciding    the  issue    whether<\/p>\n<p>     appointment of the nominated arbitrator will be vitiated<\/p>\n<p>     due to reasons of bias and partiality I allow the<\/p>\n<p>     arbitration request and appoint Sri.E.K.Muraleedharan,<\/p>\n<p>     Retired District and Sessions Judge, presently at<\/p>\n<p>     Ernakulam as arbitrator for settling all the claims and<\/p>\n<p>     counter claims raised by the applicant and the<\/p>\n<p>     respondent as detailed in Annexures A1 to A4 as well as<\/p>\n<p>     in the arbitration request. The arbitrator will enter on<\/p>\n<p>     arbitration and make and publish his award without<\/p>\n<p>     undue delay.&#8221;\n<\/p>\n<\/p>\n<p>     5. It is submitted that Sri.E.K.Muralidharan, Retired District<\/p>\n<p>and Sessions Judge passed away. The applicant has approached<\/p>\n<p>ARBITRATION REQUEST NO.9 OF 2010<\/p>\n<p>                                   :: 5 ::\n<\/p>\n<p>this Court again under Section 11(6) of the Arbitration and<\/p>\n<p>Conciliation Act for appointment of an arbitrator. Though notice was<\/p>\n<p>served by special messenger on the respondent, there is no<\/p>\n<p>appearance for the respondent.\n<\/p>\n<\/p>\n<p>      6.    Learned counsel for the applicant suggested that<\/p>\n<p>Smt.Sreelatha Devi, Retired District and Sessions Judge, may be<\/p>\n<p>appointed as the Arbitrator.\n<\/p>\n<\/p>\n<p>      Taking into account the facts and circumstances of the case,<\/p>\n<p>the Arbitration Request is allowed.     Smt.Sreelatha Devi, Retired<\/p>\n<p>District and Sessions Judge is appointed as the Arbitrator for<\/p>\n<p>resolving the disputes between the applicant and the respondent<\/p>\n<p>touching upon Annexure A3 agreement.
