No. 1844 of 2008\n                       ------------------------------------------\n                 Dated, this the 17th day of September, 2008\n\n                                JUDGMENT\n<\/pre>\n<p>H.L.Dattu, C.J.\n<\/p>\n<p>             This writ appeal is directed against the orders passed by the<\/p>\n<p>learned Single Judge in O.P. No.30509 of 1999 dated 19th December,<\/p>\n<p>2007.\n<\/p>\n<p>             (2) The appellant is a Company. It is incorporated under the<\/p>\n<p>provisions of the Companies Act.\n<\/p>\n<p>             (3) In the original petition filed, the Company had called in<\/p>\n<p>question the vires of a part of Section 23A(1) of the Kerala General Sales<\/p>\n<p>Tax Act, 1963 (hereinafter for the sake of brevity referred to as &#8216;the Act&#8217;)<\/p>\n<p>on the ground that the said provision is unconstitutional, arbitrary,<\/p>\n<p>discriminatory, and violative of Article 14 of the Constitution of India.<\/p>\n<p>             (4)   Before the learned Single Judge, the learned senior<\/p>\n<p>counsel for the petitioner had referred to various case laws rendered by the<\/p>\n<p>apex Court as well as this Court and had submitted that the denial of<\/p>\n<p>benefit of reduced rate of interest to public limited companies is arbitrary,<\/p>\n<p>discriminatory and violative of Article 14 of the Constitution.<\/p>\n<p>             (5)    The learned Judge being of the opinion that the<\/p>\n<p>W.A.No.1844 of 2008<br \/>\n<span class=\"hidden_text\">                                         2<\/span><\/p>\n<p>impugned provision is neither arbitrary nor violative of Article 14 of the<\/p>\n<p>Constitution of India, has rejected the original petition. Correctness or<\/p>\n<p>otherwise of the said order passed by the learned Single Judge is the<\/p>\n<p>subject matter of this writ appeal.\n<\/p>\n<p>              (6)    Sri.M.Pathros    Mathai,   learned   senior  counsel<\/p>\n<p>appearing for the appellant, would submit, that, the impugned provision<\/p>\n<p>clearly discriminates the Public Limited Companies incorporated under<\/p>\n<p>the provisions of the Companies Act and the other dealers, including small<\/p>\n<p>scale industrial units and the works contractors.   According to him, the<\/p>\n<p>State Legislature while introducing Section 23A of the Act ought to have<\/p>\n<p>treated all the dealers under the Act as one group and should have<\/p>\n<p>extended the same benefit to the Public Limited Companies incorporated<\/p>\n<p>under the provisions of the Companies Act as has been granted to small<\/p>\n<p>scale industrial units including the works contractors.<\/p>\n<p>              (7) Omitting what is not necessary for the purpose of this<\/p>\n<p>case,   the relevant portion of Section 23A(1) of the Act is extracted. It<\/p>\n<p>reads as under:-\n<\/p>\n<p>                  &#8220;23A. Reduction of interest in certain cases.-<\/p>\n<p>          (1) Notwithstanding anything contained in this Act or in<\/p>\n<p>          any judgment, decree or order of any Court or Tribunal,<\/p>\n<p>          a dealer other than a company not being a small scale<\/p>\n<p>          industrial unit or a works contractor referred to in<\/p>\n<p>W.A.No.1844 of 2008<br \/>\n<span class=\"hidden_text\">                                           3<\/span><\/p>\n<p>           sub-section (7AAAA) of Section 7, who is in arrears to<\/p>\n<p>           pay tax or other amount due under this Act for the<\/p>\n<p>           period ending on the 31st day of March, 1997 shall be<\/p>\n<p>           entitled to a reduction of sixty per cent of the amount of<\/p>\n<p>           interest accrued on such tax or other amount under<\/p>\n<p>           sub-section (3) of Section 23.&#8221;\n<\/p>\n<p>              (8) Sub-section (1) of Section 23A provides for payment of<\/p>\n<p>interest levied under Section 23(3) of the Act at the reduced rate to a<\/p>\n<p>dealer registered under KGST Act other than a company. The said benefit<\/p>\n<p>is also extended to small scale industrial unit and works contractor referred<\/p>\n<p>to in sub-section (7AAAA) of Section 7, who are in arrears of tax or any<\/p>\n<p>other amount due under the Act for the period ending on the 31st day of<\/p>\n<p>March, 1997.\n<\/p>\n<p>              (9) <a href=\"\/doc\/173865\/\">In C.S.T. vs. Modi Sugar Mills Ltd., AIR<\/a> 1961 SC 1047,<\/p>\n<p>the Supreme Court has observed:\n<\/p>\n<blockquote><p>                  &#8220;In interpreting     a taxing    statute,  equitable<\/p>\n<p>           considerations are entirely out of place. Nor can the<\/p>\n<p>           taxing statutes be interpreted on any presumptions or<\/p>\n<p>           assumptions. The court must look squarely at the words<\/p>\n<p>           of the Statute and interpret them. It must interpret the<\/p>\n<p>           taxing statute in the light of what is clearly expressed; it<\/p>\n<p>           cannot imply anything which is not expressed, it cannot<\/p>\n<p>           import provisions in the statute so as to supply any<\/p>\n<p>           assumed deficiency&#8221;.\n<\/p><\/blockquote>\n<p>W.A.No.1844 of 2008<br \/>\n<span class=\"hidden_text\">                                          4<\/span><\/p>\n<p>              (10). <a href=\"\/doc\/819178\/\">In CST, Uttar Pradesh vs. Parson Tools and Plants,<\/p>\n<p>Kanpur, AIR<\/a> 1975 SC 1039, the Apex Court has observed:<\/p>\n<blockquote><p>                  &#8220;Where the legislature clearly declares its intent in<\/p>\n<p>          the scheme and language of a Statute, it is the duty of the<\/p>\n<p>          court to give full effect to the same without scanning its<\/p>\n<p>          wisdom or policy, and without engrafting, adding or<\/p>\n<p>          implying anything which is not congenial to or consistent<\/p>\n<p>          with such expressed intent of the law given; more so if the<\/p>\n<p>          statute is a taxing statute&#8221;.<\/p><\/blockquote>\n<p>              (11).    It is now well settled law, that, there is always a<\/p>\n<p>presumption in favour of the Constitutionality of a Statute and the burden<\/p>\n<p>is upon who attacks it, to show that there has been clear transgression of<\/p>\n<p>the constitutional principles. The presumption of constitutionality is so<\/p>\n<p>strong that in order to sustain it, the court may take into consideration<\/p>\n<p>matters of common knowledge, matters of common report, the history of<\/p>\n<p>the time and may assume every state of facts which can be conceived<\/p>\n<p>existing at the time of legislation.\n<\/p>\n<p>              (12). Taxation laws are generally challenged under Part III<\/p>\n<p>of the Constitution invoking Article 14 as offending the rule of equality<\/p>\n<p>before law, arbitrary, discriminatory etc.         Keeping this in view,<\/p>\n<p>Sri.Pathros Mathai, learned senior counsel would contend, that, the<\/p>\n<p>legislature while granting benefit of payment of reduced interest levied<\/p>\n<p>W.A.No.1844 of 2008<br \/>\n<span class=\"hidden_text\">                                           5<\/span><\/p>\n<p>under Section 23 (3) of the Act to certain class of dealers has denied that<\/p>\n<p>benefit to public limited companies, and therefore, the classification is not<\/p>\n<p>based on any intelligible differentia and therefore, violative of Article 14<\/p>\n<p>of the Constitution.\n<\/p>\n<p>              (13). The tests adopted to determine whether a classification<\/p>\n<p>is reasonable or not, are, that the classification must be founded on an<\/p>\n<p>intelligible differentia which   distinguishes persons or things that are<\/p>\n<p>grouped together from others left out of the the group; and that the<\/p>\n<p>differentia must have a rational relation to the object sought to be achieved<\/p>\n<p>by statute in question.   In the impugned legislation, the legislature has<\/p>\n<p>kept out the public limited companies, while giving benefit of payment of<\/p>\n<p>reduced interest to dealers under the KGST Act including small scale<\/p>\n<p>industrial units and works contractors. The public limited companies are<\/p>\n<p>separate class, though they are also dealers under the Act. Merely because<\/p>\n<p>the provisions provides for payment of reduced interest only to one set of<\/p>\n<p>dealers and not others who do not fall within that range of dealers, the<\/p>\n<p>provision cannot be dubbed as either arbitrary or discriminatory.<\/p>\n<p>              (14)    As we have already noticed, the petitioner is a<\/p>\n<p>Company and it has the assistance of its legal experts and the chartered<\/p>\n<p>accountants. It is expected of them to pay the tax under the Act well<\/p>\n<p>within the time prescribed under the provisions of the Act. The same<\/p>\n<p>W.A.No.1844 of 2008<br \/>\n<span class=\"hidden_text\">                                         6<\/span><\/p>\n<p>facility may not be available to the other small scale industrial units.<\/p>\n<p>Therefore, the Legislature has thought it fit to give them an opportunity to<\/p>\n<p>pay the interest at the reduced rate. Since, in our view, equals are treated<\/p>\n<p>equally and unequals are treated unequally, and since there is intelligible<\/p>\n<p>differentia while making the classification, it may not be possible for us to<\/p>\n<p>direct the State Government to extend the same benefit as has been given<\/p>\n<p>to the other dealers including the small scale industrial units or the work<\/p>\n<p>contractors.\n<\/p>\n<p>               (15) In that view of the matter, we do not see any error in<\/p>\n<p>the orders passed by the learned Single Judge which would call for our<\/p>\n<p>interference in appeal.
