Kapoor, J.   <\/p>\n<p> 1. Petitioner is a Government Teacher in the school<br \/>\nof Delhi Vidyut Board while her husband who has been<br \/>\narrayed as respondent No. 1 is in the business of<br \/>\nadvertisement under the name of Vikalp Advertising.\n<\/p>\n<p> 2. Admittedly the petitioner is the wife of the main<br \/>\naccused who took a loan of Rs. 50,000\/- which was given by<br \/>\nway of cheque and he gave the blank cheque as security.\n<\/p>\n<p> 3. The petitioner&#8217;s application for recall of the<br \/>\nsummoning order was dismissed by the learned ASJ vide<br \/>\norder dated 7th May, 2002 on the ground that the averments<br \/>\nbeing made by the petitioner cannot be looked into at this<br \/>\nstage because it is yet to be proved by the complaint<br \/>\nhimself that the cheque was returned for insufficient<br \/>\nfunds and the cheque was given to them in discharge of the<br \/>\nliability by the accused persons.\n<\/p>\n<p> 4. I am afraid the observations and the view of the<br \/>\nlearned ASJ suffers from enormous erroneousness. Section<br \/>\n138 of the Negotiable Instruments Act holds those<br \/>\nindividuals liable who are drawer of the cheque and no<br \/>\nother person. In order to appreciate the contention of<br \/>\nthe learned counsel Sections 138 &amp; 141 need to be<br \/>\nreproduced. These are as under:-\n<\/p>\n<p>  138. Dishonour of cheque for<br \/>\ninsufficiency etc. of funds in the account &#8211;<br \/>\nWhere any cheque drawn by a person on an<br \/>\naccount maintained by him with a banker for<br \/>\npayment of any amount of money to another<br \/>\nperson from out of that account for the<br \/>\ndischarge, in whole or in part, of any debt or<br \/>\nother liability, is returned by the bank<br \/>\nunpaid, either because of the amount of money<br \/>\nstanding to the credit of that account is<br \/>\ninsufficient to honour the cheque or that it<br \/>\nexceeds the amount arranged to be paid from<br \/>\nthat account by an agreement made with that<br \/>\nbank, such person shall be deemed to have<br \/>\ncommitted an offence and shall, without<br \/>\nprejudice to any other provision of this Act,<br \/>\nbe punished with imprisonment for a term which<br \/>\nmay extend to one year, or with fine which may<br \/>\nextend to twice the amount of the cheque, or<br \/>\nwith both:\n<\/p>\n<p> Provided that nothing contained in this<br \/>\nsection shall apply unless &#8211;\n<\/p>\n<p> (a) the cheque has been presented to the<br \/>\nbank within a period of six months from the<br \/>\ndate on which it is drawn or within the period<br \/>\nof its validity, whichever is earlier.\n<\/p>\n<p> (b) the payee or the holder in due<br \/>\ncourse of the cheque, as the case may be,<br \/>\nmakes a demand for the payment of the said<br \/>\namount of money by giving a notice, in<br \/>\nwriting, to the drawer of the cheque, within<br \/>\nfifteen days of the receipt of information by<br \/>\nhim from the bank regarding the return of the<br \/>\ncheque as unpaid, and  <\/p>\n<p> (c) the drawer of such cheque fails to<br \/>\nmake the payment of the said amount of money<br \/>\nto the payee or, as the case may be, to the<br \/>\nholder in due course of the cheque, within<br \/>\nfifteen days of the receipt of the said<br \/>\nnotice.\n<\/p>\n<p> Explanation &#8211; For the purposes of this<br \/>\nsection, &#8220;debt or other liability&#8221; means a<br \/>\nlegally enforceable debt or other liability.\n<\/p>\n<p> &#8221; 141. Offences by companies &#8211;  (1) If<br \/>\nthe person committing an offence under Section<br \/>\n138 is a company, every person who, at the<br \/>\ntime the offence was committed, was in charge<br \/>\nof, and was responsible to, the company for<br \/>\nthe conduct of the business of the company, as<br \/>\nwell as the company, shall be deemed to be<br \/>\nguilty of the offence and shall be liable to<br \/>\nbe proceeded against and punished accordingly.\n<\/p>\n<p> Provided that nothing contained in this<br \/>\nsub-section shall render any person liable to<br \/>\npunishment if he proves that the offence was<br \/>\ncommitted without his knowledge, or that he<br \/>\nhad exercised all due diligence to prevent the<br \/>\ncommission of such offence.\n<\/p>\n<p> (2) Notwithstanding anything contained<br \/>\nin Sub-section (1), where any offence under<br \/>\nthis Act has been committed by a company and<br \/>\nit is proved that the offence has been<br \/>\ncommitted with the consent or connivance of,<br \/>\nor is attributable to, any neglect on the part<br \/>\nof, any director, manager, secretary or other<br \/>\nofficer shall also be deemed to be guilty of<br \/>\nthat offence and shall be liable to be<br \/>\nproceeded against and punished accordingly.\n<\/p>\n<p> Explanation &#8211; For the purposes of this<br \/>\nsection. &#8211;\n<\/p>\n<p> (a) &#8220;company&#8221; means any body corporate<br \/>\nand includes a firm or other association of<br \/>\nindividuals; and  <\/p>\n<p> (b) &#8220;director&#8221;, in relation to a firm,<br \/>\nmeans a partner in the firm.&#8221;\n<\/p>\n<p> 5. However, the explanation to Section 141 defines<br \/>\nthe Company as a body Corporate, the firm or other<br \/>\nassociation of individuals. The learned counsel for the<br \/>\nrespondent has laid great emphasis on the words &#8220;other<br \/>\nassociation of individuals&#8221; in order to bring the<br \/>\npetitioner in the net of the offence committed under<br \/>\nSection 138. Bare reading of these provisions show that<br \/>\noffence under Section 138 is offence committed by an<br \/>\nindividual if he draws the cheque individual capacity<br \/>\nand if the Company happens to be the drawer of the cheque<br \/>\nthen those persons who were at the relevant time in charge<br \/>\nof and responsible to the day-to-day affairs of the<br \/>\nCompany are liable to be prosecuted under Section 138.\n<\/p>\n<p> 6. Definition of Company shows that the contention<br \/>\nof the learned counsel that husband and wife should be<br \/>\ndeemed as &#8220;Association of individuals&#8221; is wholly<br \/>\nmisconceived as words &#8220;other association of individuals&#8221;<br \/>\npertain to only individuals who are engaged in the<br \/>\nsame business as a group and not the likes of the<br \/>\npetitioner and her husband. Petitioner is not engaged in<br \/>\nthe business of her husband. She is a Government Teacher.<br \/>\nThe loan was taken by her husband by way of cheque and it<br \/>\nwas her husband who is the drawer of the cheque which on<br \/>\npresentation was dishonoured. Merely because the<br \/>\npetitioner accompanied her husband when he took the loan<br \/>\nas the complainant happened to be her friend would in no<br \/>\nway saddle the petitioner with the liability of the<br \/>\noffence under Section 138 of the Act.\n<\/p>\n<p> 7. If the concept propounded by the learned counsel<br \/>\nfor the respondent is accepted then every member of the<br \/>\nfamily of a person who is engaged in a particular business<br \/>\ncan be roped in being &#8220;Association of individuals&#8221;.\n<\/p>\n<p> 8. It appears that the learned ASJ did not<br \/>\nappreciate the contention and the arguments of the<br \/>\npetitioner in the right perspective and lost track of the<br \/>\ningredients of the offence under Section 138 while<br \/>\ndismissing the application of the petitioner for recall of<br \/>\nthe summoning order vis-a-vis her.\n<\/p>\n<p> 9. The foregoing reasons persuade me to allow the<br \/>\npetition and set aside the impugned order. The order<br \/>\nsummoning the petitioner is hereby recalled. However any<br \/>\nobservation made in this order shall not be used by the<br \/>\nco-accused nor will it tantamount to expression of opinion<br \/>\non the merits of the complaint.
