1.\t\tThe
\npresent application is filed under Section 391 of the Companies
\nAct,1956, by the applicant Company for proposed amalgamation of
\napplicant Company with Prem Conductors Private Limited.\n<\/p>\n
2.\t\tThis
\napplication has been taken out by the applicant   Prem Udyog
\nPrivate Limited (Transferor Company) for an appropriate order of
\ndispensation of the meeting of the Equity Shareholders and convening
\nthe meetings of Secured Creditors and Unsecured Creditors of an
\namount of Rs.10,000\/- and above of the applicant   Company for the
\npurpose of considering and if thought fit approving with or without
\nmodification the proposed scheme of amalgamation amalgamating
\nApplicant company, the Transferor Company with the Prem Conductors
\nPrivate Limited.\n<\/p>\n
3.\t\tIt
\nhas been submitted that the applicant is a closely held Private
\nLimited Company and all its Equity Shareholders have given their
\nwritten consent to approve the proposed scheme of Arrangement. All
\nthe said consent letters are placed on record as Annexure-D at page
\n28 to 47 of the said application. Further, a certificate issued by
\nthe Chartered Accountant has confirmed the list of shareholders as
\nper the register of members of the company. The said certificate is
\nalso placed on record as Annexure-D at page 27. It has been prayed
\nthat in view of the consent letters from all the Equity Shareholders
\nbeing placed on record, the meeting of the Equity Shareholders of the
\napplicant be dispensed with.\n<\/p>\n
4.\t\tConsidering
\nthe facts and circumstances and going through the consent letters as
\nwell as the certificate of the Chartered Accountant in this regard,
\nthe meeting of the Equity Shareholders is hereby dispensed with.\n<\/p>\n
 IT
\n IS  FURTHER  ORDERED :\n<\/p>\n
[1]\t\tThat
\nthe meeting of the Secured Creditors of the applicant-Company shall
\nbe convened and held at its Registered Office of Transferor Company
\nsituated at 211, New Cloth Market, Ahmedabad on 22nd
\nMay,2010 at 2-00 PM for the purpose of considering and if thought fit
\napproving with or without modification the compromise or arrangement
\nproposed to be made between the Prem Conductors Private Limited and
\nthe applicant company, after giving notice in accordance with the
\nprovisions of Sections 391 and 393 of the Companies Act,1956.\n<\/p>\n
[2]\t\tThat
\nthe meeting of the Unsecured Creditors of an amount of Rs.10,000\/-
\nand above of the applicant-Company shall be convened and held at its
\nRegistered Office situated at 211, New Cloth Market, Ahmedabad on
\n22nd May,2010 at 3.00 P.M. for the purpose of considering
\nand if thought fit approving with or without modification the
\ncompromise or arrangement proposed to be made between the Prem
\nConductors Private Limited and applicant company   Prem Udyog
\nPrivate Limited., after giving notice in accordance with the
\nprovisions of sections 391 and 393 of the Companies Act,1956.\n<\/p>\n
[3]\t\tAt
\nleast 21 clear days before the meetings be held as aforesaid, Notice
\nconvening the said meetings, including the day, the date, the place
\nand the time as aforesaid, together with a copy of the Scheme of
\nArrangement, copy of the Explanatory Statement required to be sent
\nunder section 393 of the Companies Act,1956 and the prescribed Form
\nof Proxy shall be sent by a pre-paid letter posted under Certificate
\nof Posting, addressed to each of Secured Creditors and Unsecured
\nCreditors of an amount of Rs.10,000\/- and above of the applicant
\nCompany at their last known addresses.\n<\/p>\n
[4]\t\tAt
\nleast 21 clear days before the meetings to be held as aforesaid,
\nNotice convening the said meetings indicating the day, the date, the
\nplace and the time as aforesaid be published, stating that copies of
\nthe Scheme of Arrangement, the Explanatory Statement required to be
\nfurnished pursuant to Section 393 of the Companies Act,1956 and Form
\nof Proxy can be obtained free of charge at the registered office of
\nthe applicant Company and\/or its Advocate’s office i.e. 402,
\nPanchdeep Complex, Mayur Colony, Ahmedabad 380 009, once each in
\nIndian Express, English daily (Ahmedabad Edition) and Sandesh,
\nGujarati daily (Ahmedabad Edition).\n<\/p>\n
[5]\t\tMr.G.J.Jadeja,
\nDeputy Registrar, High Court of Gujarat, and in case of failing
\nhim, Mr.J.N.MARTINS, Assistant Registrar, High Court of
\nGujarat, shall be the Chairman of the aforesaid meetings and in
\nrespect of any adjournment or adjournments thereof.\n<\/p>\n
[6]\t\tThe
\nChairman appointed for the aforesaid meetings do issue advertisements
\nand send out notices of the said meetings referred to above. It is
\nfurther directed that the Chairman of the meetings shall have all
\npowers under the Articles of Association of the applicant Company and
\nunder the Companies (Court) Rules,1959 in relation to conduct of
\nmeetings including an adjournment if required and including an
\namendment to the Scheme or resolution, if any, proposed at the
\nmeetings by any person(s) and to ascertain the decision of the
\nmeetings on a poll.\n<\/p>\n
[7]\t\tThe
\nquorum of the meeting of Secured Creditors shall be 1(one) and
\nUnsecured Creditors shall be 5 (five) persons present in person or
\nthrough proxy.\n<\/p>\n
[8]\t\tVoting
\nby proxy is permitted provided that the proxy in the prescribed form
\nand duly signed by the person entitled to attend and vote at the
\naforesaid meetings, or by his authorized representatives, is filed
\nwith the applicant Company at its registered office not later than 48
\nhours before the said meetings.\n<\/p>\n
[9]\t\tThat
\nthe value of the vote of each creditor of the Company shall be the
\namount as per the books of accounts of the company and where the
\nentries in the records are disputed, the Chairman of the meetings
\nshall determine the value for the purposes of the meetings and his
\ndecision in that behalf would be final.\n<\/p>\n
[10]\t\tThe
\nChairman do report to this Court, the result of the said meetings
\nwithin 21 days of the conclusion of the meetings and the said Report
\nshall be verified by his affidavit.\n<\/p>\n
[11]\t\tThe
\napplicant Company to deposit an amount of Rs.7,500\/- with the
\nregistry of this Court within a period of Ten days at the first
\ninstance towards the probable cost\/ fee of the Chairman.\n<\/p>\n
