Sharma, intervener.\n                                             ....\n\nReportable   BY THE COURT: (Per Dinesh Maheshwari, J.)<\/pre>\n<p>             INTRODUCTORY<\/p>\n<p>                    These three intra-court appeals have been placed before this<\/p>\n<p>             Bench by the orders of Hon&#8217;ble the Chief Justice for a reference<\/p>\n<p>             having been made by a Division Bench of this Court on the<\/p>\n<p>             question of applicability of Section 18 of the Rajasthan Non-<\/p>\n<p>             Government Educational Institutions Act, 1989 [hereinafter referred<\/p>\n<p>             to as &#8216;the Act\/&#8217;the Act of 1989&#8217;] in the case of removal or termination<\/p>\n<p>             of services of the employee of an unaided recognised educational<\/p>\n<p>             institution. The Hon&#8217;ble Division Bench hearing these appeals was<br \/>\n<span class=\"hidden_text\">                                    2<\/span><br \/>\nof the view that there had been conflict of opinions in different<\/p>\n<p>Division Bench decisions on the question aforesaid and observed in<\/p>\n<p>its reference order dated 14.01.2008 as under:-<\/p>\n<blockquote><p>              &#8220;Heard learned counsel for the parties.<\/p>\n<blockquote><p>              Learned counsel for the appellants has relied upon a<br \/>\n      Division Bench judgment of this Court in Educational Society<br \/>\n      of Sophia High School &amp; Ors.             Vs.   Raj. Non-Govt.<br \/>\n      Educational Ins. Tri. &amp; Ors., reported in 2003 WLC (Raj.) UC<br \/>\n      Page 638. On the other hand, learned counsel for the<br \/>\n      private respondents relied upon another Division Bench<br \/>\n      judgment of this Court in Managing Committee Through<br \/>\n      Chairman (Brig.) Dy. G.O.C. Army School &amp; Anr. Vs. Smt.<br \/>\n      Pushpa Sharma &amp; 4 Ors., reported in 2006 (3) WLC (Raj.)<br \/>\n      Page 504 and Saint Meera Brotherhood Society Vs. State<br \/>\n      of Rajasthan &amp; Others, reported in 2006 (1) WLC (Raj.)<br \/>\n      Page 677.\n<\/p><\/blockquote>\n<blockquote><p>              In our view, from the reading of the three judgments,<br \/>\n      there appears to be apparent conflict of opinion between the<br \/>\n      different Division Benches on the question about<br \/>\n      applicability of Section 18 in the matter of removal and<br \/>\n      termination of services of recognized but un-aided<br \/>\n      educational institutions. In our view, the matters are required<br \/>\n      to be and are referred to Hon&#8217;ble the Chief Justice for<br \/>\n      constitution of appropriate Larger Bench, to decide the<br \/>\n      question as to whether requirement of Section 18 is<br \/>\n      attracted even in case of un-aided recognized educational<br \/>\n      institutions.&#8221;\n<\/p><\/blockquote>\n<p>THE RELEVANT PROVISIONS<\/p>\n<p>       In view of the questions calling for determination in this<\/p>\n<p>reference, appropriate it shall be to take note, at the outset, of<\/p>\n<p>Section 18 and the other relevant provisions as contained in the Act<\/p>\n<p>of 1989. Section 18 reads as under:-\n<\/p>\n<blockquote><p>      18.    Removal, dismissal or reduction in rank of<br \/>\n      employees &#8211; Subject to any rules that may be made in this<br \/>\n      behalf, no employee of a recognized institution shall be<br \/>\n      removed, dismissed or reduced in rank unless he has been<br \/>\n      given by the management a reasonable opportunity of being<br \/>\n      heard against the action proposed to be taken :\n<\/p><\/blockquote>\n<blockquote><p>            Provided that no final order in this regard shall be<br \/>\n      passed unless prior approval of the Director of<br \/>\n      Education or an officer authorised by him in this behalf<br \/>\n      has been obtained :\n<\/p><\/blockquote>\n<blockquote><p>            Provided further that this section shall not apply,-\n<\/p><\/blockquote>\n<blockquote><p>            (i) to a person who is dismissed or removed on the<br \/>\n            ground of conduct which led to his conviction on a<br \/>\n            criminal charge, or<br \/>\n<span class=\"hidden_text\">                                     3<\/span><\/p>\n<\/blockquote>\n<blockquote><p>             (ii) where it is not practicable or expedient to give that<br \/>\n             employee an opportunity of showing cause, the<br \/>\n             consent of Director of Education has been<br \/>\n             obtained in writing before the action is taken, or<\/p>\n<\/blockquote>\n<blockquote><p>             (iii) Where the managing committee is of unanimous<br \/>\n             opinion that the services of an employee can not be<br \/>\n             continued without prejudice to the interest of the<br \/>\n             institution, the services of such employee are<br \/>\n             terminated after giving him six months notice or salary<br \/>\n             in lieu thereof and the consent of the Director of<br \/>\n             Education is obtained in writing.<\/p><\/blockquote>\n<blockquote><p>                                                 (emphasis supplied)<\/p>\n<p>      The relevant definitions as contained in Section 2 of the Act<\/p>\n<p>of 1989 read as under:-\n<\/p><\/blockquote>\n<blockquote><p>      (a) &#8220;aid&#8221; means any aid granted to a recognised<br \/>\n      educational institution by the State Government;\n<\/p><\/blockquote>\n<blockquote><p>      (b) &#8220;aided institution&#8221; means a recognised institution which<br \/>\n      is receiving aid in the form of maintenance grant from the<br \/>\n      State Government;\n<\/p><\/blockquote>\n<blockquote><p>      (c) &#8220;Board&#8221; means the Board of Secondary Education,<br \/>\n      Rajasthan or the Central Board of Secondary Education,<br \/>\n      Delhi and shall include the Council for the Indian School<br \/>\n      Certificate Examinations;\n<\/p><\/blockquote>\n<blockquote><p>      (p) &#8220;non-Government educational institution&#8221; means any<br \/>\n      college, school, training institute or any other institution, by<br \/>\n      whatever name designated, established and run with the<br \/>\n      object of imparting education or preparing or training<br \/>\n      students for obtaining any certificate, degree, diploma or any<br \/>\n      academic distinction recognized by the State or Central<br \/>\n      Government or functioning for the educational, cultural or<br \/>\n      physical development of the people in the State and which is<br \/>\n      neither owned nor managed by the State or Central<br \/>\n      Government or by any University or local authority or other<br \/>\n      authority owned or controlled by the State or Central<br \/>\n      Government;\n<\/p><\/blockquote>\n<blockquote><p>      (q) &#8220;recognised institution&#8221; means a non-Government<br \/>\n      educational institution affiliated to any University or<br \/>\n      recognised by the Board, Director of Education or any officer<br \/>\n      authorised by the State Government or the Director of<br \/>\n      Education in this behalf;<\/p><\/blockquote>\n<blockquote><p>      Section 3 of the Act of 1989 deals with recognition of<\/p>\n<p>institutions and provides as under:-\n<\/p><\/blockquote>\n<blockquote><p>      3. Recognition of institutions. (1) Except in the case of<br \/>\n      institution affiliated to a University or recognised or to be<br \/>\n      recognised by the Board, the Competent Authority may, on<br \/>\n      an application made to it in the prescribed form and manner,<br \/>\n<span class=\"hidden_text\">                                 4<\/span><br \/>\n      recognise a non-Government educational institution on<br \/>\n      fulfillment of such terms and conditions as may be<br \/>\n      prescribed :<\/p><\/blockquote>\n<blockquote><p>      Section 19 provides for an appeal to the Tribunal constituted<\/p>\n<p>under Section 22 of Act in the following terms:-\n<\/p><\/blockquote>\n<blockquote><p>      &#8220;19. Appeal to the Tribunal &#8211; (1) If a managing committee<br \/>\n      is aggrieved from the order of refusal made by the Director<br \/>\n      of Education under section 18, it may prefer an appeal to<br \/>\n      the Tribunal constituted under section 22 within ninety days<br \/>\n      of the date of receipt of such order.\n<\/p><\/blockquote>\n<blockquote><p>      (2) An employee aggrieved from an order of the managing<br \/>\n      committee made under section 18, may prefer an appeal to<br \/>\n      the said Tribunal within ninety days of the date of receipt of<br \/>\n      such order.<\/p><\/blockquote>\n<blockquote><p>      Section 40 gives the provisions of the Act overriding effect<\/p>\n<p>over anything inconsistent in any instrument having effect by virtue<\/p>\n<p>of any law; and reads as under:-\n<\/p><\/blockquote>\n<blockquote><p>      40. Overriding effect of the Act &#8211; The provisions of this Act<br \/>\n      shall have effect notwithstanding anything inconsistent<br \/>\n      contained in any instrument having effect by virtue of any<br \/>\n      law.\n<\/p><\/blockquote>\n<blockquote><p>THE BACKGROUND FACTS<\/p>\n<p>      Before adverting to the questions calling for determination in<\/p>\n<p>this reference, appropriate it shall be to have a glimpse of the<\/p>\n<p>background facts relating to these appeals. These three intra-court<\/p>\n<p>appeals by the appellant Central Academy Society are directed<\/p>\n<p>against the orders dated 07.03.2001 whereby the learned Single<\/p>\n<p>Judge of this Court has dismissed the writ petitions filed by the<\/p>\n<p>petitioner-Society in challenge to the common order dated<\/p>\n<p>11.10.1999 passed by the Rajasthan Non-Government Educational<\/p>\n<p>Institutions Tribunal, Jaipur [hereinafter referred to as &#8216;the Tribunal&#8217;]<\/p>\n<p>in the appeals preferred by the private respondents-employees<\/p>\n<p>against the order dated 22.02.1997 whereby their services were<\/p>\n<p>sought to be terminated in the purported exercise of powers under<\/p>\n<p>clause (iii) of second proviso to Section 18 of the Act. The Tribunal<br \/>\n<span class=\"hidden_text\">                                    5<\/span><br \/>\nheld that the provisions contained in Section 18 of the Act and so<\/p>\n<p>also Rule 39 of the Rules framed thereunder were mandatory in<\/p>\n<p>nature and the same having not been complied with, the orders of<\/p>\n<p>termination were bad in law.<\/p><\/blockquote>\n<p>      In challenge to the order so passed by the Tribunal, it was<\/p>\n<p>urged by the employer Society in the writ petitions that the order of<\/p>\n<p>termination having been passed by unanimous decision of the<\/p>\n<p>Committee, it must be deemed to be an order of termination<\/p>\n<p>simplicitor within the meaning of clause (iii) of the proviso to Section<\/p>\n<p>18 of the Act of 1989 and not by way of punishment; and therefore,<\/p>\n<p>the principles of natural justice were not required to be adhered to<\/p>\n<p>and no opportunity of hearing was required to be given before<\/p>\n<p>taking action under the said clause.       A Circular issued by the<\/p>\n<p>Government on 09.07.1998 was also relied upon under which, it<\/p>\n<p>was envisaged that if the District Education Officer would not<\/p>\n<p>communicate in writing within 30 days his disapproval of the<\/p>\n<p>proposed termination of services of any employee, the approval<\/p>\n<p>may be deemed to have been accorded; and it was submitted that<\/p>\n<p>on the expiry of 30 days from the date of sending the decision to<\/p>\n<p>the Director, it must be deemed to have received the required<\/p>\n<p>approval.\n<\/p>\n<p>      In the impugned orders dated 07.03.2001, the learned Single<\/p>\n<p>Judge of this Court referred to the requirements of the aforesaid<\/p>\n<p>clause (iii) of the second proviso to Section 18 of the Act; and<\/p>\n<p>rejected the contention based on the alleged Circular of the<\/p>\n<p>Government for it being not in conformity with the statutory<\/p>\n<p>provisions. The learned Single Judge said,-\n<\/p>\n<blockquote><p>      &#8220;Neither any such contention has been raised nor any such<br \/>\n      suggestion has been made in Ex. 2, the Circular, issued by<br \/>\n      the State Govt. in that regard that any amendment in Sec.<br \/>\n      18 has been made. The proviso (iii) leaves no room of<br \/>\n<span class=\"hidden_text\">                                       6<\/span><br \/>\n      doubt. Under the Act, for operation of proviso (iii) to Sec. 18,<br \/>\n      the conditions requisite are; first is that the managing<br \/>\n      committee is of unanimous opinion, second is that such<br \/>\n      opinion must relate to the fact that the employee cannot be<br \/>\n      continued without prejudice to the interest of the institution,<br \/>\n      third is that before such unanimous decision, can be given<br \/>\n      effect to, there must be fulfilled two pre-conditions: firstly that<br \/>\n      before the services are terminated either six months notice is<br \/>\n      to be served on the concerned employee or salary in lieu<br \/>\n      there of is paid; and secondly for such termination consent<br \/>\n      of the Director of Education is obtained in writing. No rule<br \/>\n      much less executive order can dispense with the<br \/>\n      requirement of the consent by director in writing by issuing<br \/>\n      instructions to envisage that non receipt of the decision by<br \/>\n      the Director in negative within 30 days of making of<br \/>\n      application would tantamount to be deemed consent of the<br \/>\n      Director to the proposed action of termination thus doing<br \/>\n      away with the statutory requirement of such consent to be in<br \/>\n      writing. The parent provision requires that before such order<br \/>\n      became effective such consent of the authority, who has<br \/>\n      been designated the function of according or withholding<br \/>\n      such consent, must speak for itself through an order in<br \/>\n      writing.     A silence to speak cannot be equated with<br \/>\n      requirement of an order in writing. It is not within the domain<br \/>\n      of the delegated authority or executive authority of the State<br \/>\n      to deviate from that and make rule of its own in derogation of<br \/>\n      parent statute. Thus, even on admitted facts in absence of<br \/>\n      any written consent by the Director the order cannot come to<br \/>\n      life at all. In the present case, even the delegated authority<br \/>\n      namely the District Education Officer has not given his<br \/>\n      consent in writing. In view of this undisputed circumstance,<br \/>\n      termination order which even if fulfils all other conditions<br \/>\n      cannot be said to have ever come in operation and become<br \/>\n      effective.&#8221;<\/p><\/blockquote>\n<p>      The learned Single Judge thereafter referred to the<\/p>\n<p>requirement of &#8216;unanimous opinion&#8217; of the Managing Committee<\/p>\n<p>and observed that this requirement could not be delegated to any<\/p>\n<p>smaller body for reaching to the conclusion as to whether<\/p>\n<p>continuance of employee was not possible without prejudice to the<\/p>\n<p>interest of the institution. The learned Single Judge observed<\/p>\n<p>further, with reference to the contents of the impugned termination<\/p>\n<p>order, that such had not been the opinion framed by the Committee<\/p>\n<p>concerned but was the opinion held only by the Secretary of the<\/p>\n<p>Committee. The learned Judge held that the order of termination<\/p>\n<p>could not be considered on its own to be a unanimous decision by<\/p>\n<p>the Managing Committee; and further that the impugned order was<\/p>\n<p>punitive in nature and not an order of termination simplicitor. That<br \/>\n<span class=\"hidden_text\">                                    7<\/span><br \/>\nbeing so, learned Single Judge said, unless the decision-making<\/p>\n<p>authority had given an opportunity of hearing to the delinquent, no<\/p>\n<p>punishment of dismissal could have been imposed. The learned<\/p>\n<p>Single Judge also referred to the antecedents where services of the<\/p>\n<p>incumbents were sought to be terminated earlier and such an<\/p>\n<p>action was not approved and rather, the Society was directed to<\/p>\n<p>hold an enquiry; and held that the impugned propositions as<\/p>\n<p>adopted by the Society were wholly arbitrary and unfair, being<\/p>\n<p>calculated at nullifying the effect of binding orders.<\/p>\n<p>      Aggrieved by the orders so passed by the learned Single<\/p>\n<p>Judge in dismissing the respective writ petitions, the appellant-<\/p>\n<p>Society has preferred these intra-court appeals. During the course<\/p>\n<p>of hearing of these appeals, the appellant-Society relied upon a<\/p>\n<p>Division Bench decision in the case of Educational Society of<\/p>\n<p>Sophia High School &amp; Ors. Vs. Raj. Non-Govt. Educational Ins.<\/p>\n<p>Tri. &amp; Ors.: 2003 WLC (Raj.) UC 638 to argue that the provisions of<\/p>\n<p>Section 18 ibid would not apply for itself being an unaided<\/p>\n<p>institution. On the other hand, the respondents relied upon the<\/p>\n<p>Division Bench decisions in (i) Saint Meera Brotherhood Society Vs.<\/p>\n<p>State of Rajasthan &amp; Ors.: 2006 (1) WLC (Raj.) 677 and (ii) the<\/p>\n<p>Managing Committee through Chairman (Brid.) Dy. G.O.C., Army<\/p>\n<p>School &amp; Anr. Vs. Smt. Pushpa Sharma &amp; 4 Ors.: 2006 (3) WLC<\/p>\n<p>(Raj.) 504 to submit that the provisions of Section 18 are mandatory<\/p>\n<p>in nature and applicable to the appellant-Society as well.<\/p>\n<p>      As noticed, this reference came to be made when the<\/p>\n<p>Division Bench hearing these appeals found the views expressed in<\/p>\n<p>the aforesaid Division Bench decisions on the question about<\/p>\n<p>applicability of Section 18 of the Act in relation to an employee of an<\/p>\n<p>unaided recognised institution not in uniformity; and standing rather<br \/>\n<span class=\"hidden_text\">                                   8<\/span><br \/>\nin conflict. Hence, appropriate it shall now be to have a close look<\/p>\n<p>at the decisions said to be expressing different views.<\/p>\n<p>THE CASE OF SOPHIA SCHOOL<\/p>\n<p>      The appellant had relied upon the decision of the Hon&#8217;ble<\/p>\n<p>Division Bench of this Court in the case of Educational Society of<\/p>\n<p>Sophia High School &amp; Ors. Vs. Raj. Non-Govt. Educational Ins.<\/p>\n<p>Tri. &amp; Ors.: 2003 WLC (Raj.) UC 638 [D.B. Civil Writ Petition No.<\/p>\n<p>601\/2002 &#8211; Decided on 07.04.2003] to submit that the requirements<\/p>\n<p>of Section 18 shall not apply in the case of an unaided recognised<\/p>\n<p>institution. In Sophia School&#8217;s case, the respondent No.2 was<\/p>\n<p>serving as a teacher with the petitioner, a recognised private<\/p>\n<p>educational institution not receiving any aid from the Government;<\/p>\n<p>and her services were terminated by the order dated 19.02.2000 as<\/p>\n<p>a result of the proved misconduct in a departmental enquiry<\/p>\n<p>conducted by the petitioner. The respondent No.2 challenged the<\/p>\n<p>termination order before the Tribunal, inter alia, on the ground that<\/p>\n<p>before effecting such termination, prior approval of the Director<\/p>\n<p>Education was not obtained as required by the proviso to Section<\/p>\n<p>18 ibid. Such a contention found favour with the Tribunal and solely<\/p>\n<p>on the ground that the petitioner had not obtained prior approval of<\/p>\n<p>the Director of Education or any Officer authorised by him in this<\/p>\n<p>behalf, the termination order was held to be void ab initio and was<\/p>\n<p>set aside.\n<\/p>\n<p>      In the writ petition preferred by the Institution, the Division<\/p>\n<p>Bench of this Court in its order dated 07.04.2003 found the<\/p>\n<p>question no more res integra while observing that in the case of<\/p>\n<p>T.M.A. Pai Foundation &amp; Ors. Vs. State of Karnataka and Ors.<\/p>\n<p>(2002) 8 SCC 481 [hereinafter referred to as &#8216;Pai Foundation&#8217; case],<\/p>\n<p>the Hon&#8217;ble Supreme Court had made it clear that in a recognised<br \/>\n<span class=\"hidden_text\">                                     9<\/span><br \/>\nprivate education institution not receiving any aid from the State,<\/p>\n<p>there has to be least interference by the State. The Division Bench<\/p>\n<p>was of opinion that in view of the law declared by the Hon&#8217;ble<\/p>\n<p>Supreme Court, the requirement in Section 18 ibid, of seeking prior<\/p>\n<p>approval of the Director, has to be read confined to the aided<\/p>\n<p>institutions only and not applicable to the unaided institution private<\/p>\n<p>institutions. The Division Bench said,-\n<\/p>\n<blockquote><p>      &#8220;6. The aforesaid question is now no more resintegra. In<br \/>\n      T.M.A. PAI Foundation &amp; Ors. Vs. State of Karnataka and<br \/>\n      Ors. (2002) 8 SCC 481, the Supreme Court has made it<br \/>\n      clear that any recognised private education institution which<br \/>\n      is not receiving any aid from the State, there has to be least<br \/>\n      interference by the State in the managerial functions of such<br \/>\n      institution. Making specific reference to the requirement of<br \/>\n      obtaining prior approval before terminating services of an<br \/>\n      employee of an educational institution which is not receiving<br \/>\n      any aid from the state in the context of disciplinary action<br \/>\n      taken by any such institution, it was stated by the Court:\n<\/p><\/blockquote>\n<blockquote><p>             &#8220;We see no reason why the management of a private<br \/>\n             unaided educational institution should seek the<br \/>\n             consent or approval of any governmental authority<br \/>\n             before taking any such action.      In the ordinary<br \/>\n             relationship of master and servant, governed by the<br \/>\n             terms of a contract of employment, anyone who is<br \/>\n             guilty of breach of the terms can be proceeded<br \/>\n             against and appropriate relief can be sought.<br \/>\n             Normally, the aggrieved party would approach a court<br \/>\n             of law and seek redress.&#8221;\n<\/p><\/blockquote>\n<blockquote><p>      7. The Court found that in the case of private institution, the<br \/>\n      relationship between the management and the employees is<br \/>\n      contractual in nature. The Court also found that ordinarily<br \/>\n      requiring a teacher or a member of the Staff to go to Civil<br \/>\n      Court for the purpose of seeking redress.            Education<br \/>\n      disputes between the management and the staff of<br \/>\n      educational institutions must be decided speedily, and<br \/>\n      without the excessive incurring of costs. It would, therefore,<br \/>\n      be appropriate that an Educational Tribunal in a State &#8211; the<br \/>\n      object being that the teacher should not suffer through the<br \/>\n      substantial costs that arise because of the location of the<br \/>\n      Tribunal. The Court also said that till a specialized tribunal is<br \/>\n      set up, the right of filing the appeal would lie before the<br \/>\n      District Judge or Additional District Judge as notified by the<br \/>\n      Government. The Court further declared:\n<\/p><\/blockquote>\n<blockquote><p>            &#8220;It will not be necessary for the institution to get prior<br \/>\n            permission or ex post facto approval of a<br \/>\n            governmental authority while taking disciplinary action<br \/>\n            against a teacher or any other employee.&#8221;\n<\/p><\/blockquote>\n<blockquote><p>      8. In view of the aforesaid, the Proviso to Section 18 has<br \/>\n      to be read in the light of aforesaid pronouncement of law<br \/>\n      and in a manner that it does not fall foul with the law<br \/>\n<span class=\"hidden_text\">                                     10<\/span><br \/>\n      declared by the apex court on the subject in the light of<br \/>\n      constitutional provisions. Requirement to seek approval of<br \/>\n      the Director Education before taking disciplinary action<br \/>\n      against the teacher or its employee by any recognised<br \/>\n      institution has to be read in the light of the Supreme Court&#8217;s<br \/>\n      decision in T.M.A. Pai Foundation Vs. State of Karnataka&#8217;s<br \/>\n      case and the proviso has to be confined to the private<br \/>\n      recognised educational institutions which are receiving<br \/>\n      aid from the State Government to sustain its<br \/>\n      constitutional validity. Such requirement of prior<br \/>\n      approval of Director Education before final disciplinary<br \/>\n      action is taken by way of removal, dismissal or<br \/>\n      reduction in rank of any employee amounts to<br \/>\n      interference in managerial function and such power<br \/>\n      cannot extend to such recognised private Educational<br \/>\n      Institution which do not receive any aid from the State.<br \/>\n      We accordingly do so.&#8221;\n<\/p><\/blockquote>\n<blockquote><p>                                               (emphasis supplied)<\/p>\n<p>      For the conclusions aforesaid, and after finding that in the<\/p>\n<p>State of Rajasthan, an Educational Tribunal had already been<\/p>\n<p>established and the appeal had been preferred before the said<\/p>\n<p>Tribunal, the Division Bench held that there was no impediment for<\/p>\n<p>the respondent No.2 in seeking remedy before the Tribunal against<\/p>\n<p>her dismissal order. The Division Bench, accordingly, allowed the<\/p>\n<p>writ petition, set aside the order passed by the Tribunal and<\/p>\n<p>directed the Tribunal to decide the appeal of respondent No.2<\/p>\n<p>afresh in accordance with law while ignoring the issue about the<\/p>\n<p>absence    of   prior   approval    before    making    an    order    of<\/p>\n<p>dismissal\/removal.\n<\/p><\/blockquote>\n<p>THE CASES OF SAINT MEERA BROTHERHOOD SOCIETY AND<\/p>\n<p>ARMY SCHOOL<\/p>\n<p>      In counter to the submissions made by the appellants, the<\/p>\n<p>respondent employees had relied upon two Division Bench<\/p>\n<p>decisions purportedly taking a view different than that expressed in<\/p>\n<p>Sophia School (supra); the one being the case of Saint Meera<\/p>\n<p>Brotherhood Society Vs. State of Rajasthan &amp; Ors.: 2006 (1) WLC<\/p>\n<p>(Raj.) 677 [D.B. Civil Special Appeal (Writ) No. 69\/2001 &#8211; Decided<\/p>\n<p>on 16.12.2005]. In this case, the services of the respondent No.5,<br \/>\n<span class=\"hidden_text\">                                  11<\/span><br \/>\nwho was appointed as Teacher Gr.III with effect from 01.07.1981<\/p>\n<p>on ad hoc basis by the appellant Society, were terminated by the<\/p>\n<p>order dated 15.05.1993 because of abolition of posts but without<\/p>\n<p>the prior approval of the Director, Education Department. The<\/p>\n<p>respondent No. 5 assailed the order of termination by filing an<\/p>\n<p>appeal before the Tribunal; and the Tribunal proceeded to allow the<\/p>\n<p>appeal by its order dated 13.05.1994 essentially on the ground that<\/p>\n<p>the Society had not complied with the mandatory provisions of<\/p>\n<p>Section 18 of the Act of 1989; and quashed the order of<\/p>\n<p>termination. The order passed by Tribunal was challenged by the<\/p>\n<p>Society by filing the writ petition, which was dismissed by the<\/p>\n<p>learned Single Judge with a short order that the impugned order,<\/p>\n<p>being a well-reasoned one, required no interference; and the<\/p>\n<p>Tribunal had rightly reached to the conclusion that there was non-<\/p>\n<p>compliance of the mandatory requirement of Section 18 ibid.<\/p>\n<p>      The order so passed in the writ petition was challenged in<\/p>\n<p>intra-court appeal on the grounds that the learned Single Judge<\/p>\n<p>dismissed the petition with a practically non-speaking order; and<\/p>\n<p>that because of abolition of posts, there was no necessity of prior<\/p>\n<p>approval of the authority. The Hon&#8217;ble Division Bench rejected the<\/p>\n<p>contention that the order passed by the learned Single Judge was a<\/p>\n<p>non-speaking one and further rejected the contention that because<\/p>\n<p>of abolition of posts, the approval by the authority was not required<\/p>\n<p>while observing that the provisions contained in Section 18 of the<\/p>\n<p>Act were mandatory in nature. The Division Bench said,-<\/p>\n<blockquote><p>     &#8220;7.    A look at section 18 of the 1989 Act and the Rules<br \/>\n     made thereunder provide that no employee of the<br \/>\n     recognised Institution shall be removed, dismissed or<br \/>\n     reduced in rank unless he has been given a reasonable<br \/>\n     opportunity of being heard against the action proposed to be<br \/>\n     taken. As per proviso (iii), Section 18 shall not apply where<br \/>\n     the managing committee is of unanimous opinion that the<br \/>\n     service of an employee cannot be continued without<br \/>\n<span class=\"hidden_text\">                                     12<\/span><br \/>\n      prejudice to the interest of the institution, the services of<br \/>\n      such employee are terminated after giving him six months<br \/>\n      notice or salary in lieu thereof and the consent of the<br \/>\n      Director of Education is obtained in writing.\n<\/p><\/blockquote>\n<blockquote><p>      8.      Since the proviso (iii) of Section 18 of 1989 Act has<br \/>\n      not been followed in letter and spirit by the Institution in<br \/>\n      terminating the services of the employee, we do not find any<br \/>\n      infirmity in the impugned order of learned Single Judge. The<br \/>\n      Tribunal has proceeded within its parameters&#8230;..\n<\/p><\/blockquote>\n<blockquote><p>      &#8230;                          &#8230;                          &#8230;\n<\/p><\/blockquote>\n<blockquote><p>      9.      We find ourselves unable to accept the arguments of<br \/>\n      learned counsel for the appellant that because of abolition of<br \/>\n      posts the provisions contained in Section 18 of 1989 Act<br \/>\n      were not applicable. We are of the view that the<br \/>\n      provisions contained in Section 18 of 1989 Act are<br \/>\n      mandatory and it was incumbent on the appellant society to<br \/>\n      follow the same.&#8221;\n<\/p><\/blockquote>\n<blockquote><p>                                                 (emphasis supplied)<\/p>\n<p>      The other decision relied upon by the respondents had been<\/p>\n<p>in the Managing Committee through Chairman (Brid.) Dy. G.O.C.,<\/p>\n<p>Army School &amp; Anr. Vs. Smt. Pushpa Sharma &amp; 4 Ors.: 2006 (3)<\/p>\n<p>WLC (Raj.) 504 [D.B. Civil Appeal (W) No. 62\/2001 with connected<\/p>\n<p>cases &#8211; Decided on 31.03.2006]. In this decision, the Hon&#8217;ble<\/p>\n<p>Division   Bench considered       five appeals      involving common<\/p>\n<p>questions together. The private respondents therein had been<\/p>\n<p>appointed as teacher with the appellant Society on different dates<\/p>\n<p>and were dismissed from service by different orders issued in the<\/p>\n<p>year 1997. The dismissal orders were challenged before the<\/p>\n<p>Tribunal; and the Tribunal, by a common order dated 06.06.2001,<\/p>\n<p>allowed the appeals and set aside the dismissal orders. The writ<\/p>\n<p>petitions preferred by the Society were dismissed by the learned<\/p>\n<p>Single Judge of this Court after finding non-compliance of Section<\/p>\n<p>18 ibid.<\/p><\/blockquote>\n<p>      In the intra-court appeals, it was contended that the Society<\/p>\n<p>was not covered by the provisions of the Act of 1989 for having not<\/p>\n<p>taken any recognition from the Government under Section 3<br \/>\n<span class=\"hidden_text\">                                    13<\/span><br \/>\nthereof; that Section 18 was not applicable because the action<\/p>\n<p>taken was not penal in nature; and that the rules and regulations<\/p>\n<p>framed by the society will hold the field and the orders of<\/p>\n<p>termination were required to be adjudged as per such rules and<\/p>\n<p>regulations. The Hon&#8217;ble Division Bench rejected the contention on<\/p>\n<p>inapplicability of the Act of 1989 for alleged want of taking<\/p>\n<p>recognition from the State Government with reference to the<\/p>\n<p>definitions contained in clauses (c), (p) and (q) of Section 2 of the<\/p>\n<p>Act; and also rejected the contention about the effect of the rules<\/p>\n<p>and regulations of the society with reference to Section 40 ibid,<\/p>\n<p>giving the provisions of the Act overriding effect.<\/p>\n<p>      The Hon&#8217;ble Division further rejected the contention urged on<\/p>\n<p>behalf of the Society that Section 18 of the Act would apply only in<\/p>\n<p>case of disciplinary action and not for simple termination with the<\/p>\n<p>observations that the main Section 18 and proviso (iii) would cover<\/p>\n<p>both type of cases; and that the said Section had been enacted with<\/p>\n<p>a view to check the arbitrary action of the management in removing,<\/p>\n<p>dismissing, reducing in rank and termination also. The Hon&#8217;ble<\/p>\n<p>Bench said,-\n<\/p>\n<blockquote><p>       &#8220;11. As regards further submission on applicability of<br \/>\n       Section 18 of the Act of 1989, only in case action is taken<br \/>\n       by way of disciplinary action and not simple termination, we<br \/>\n       are of the view that the main Section 18 and Proviso (iii) of<br \/>\n       the Act of 1989 will cover both type of cases and said<br \/>\n       Section has been enacted with a view to check the arbitrary<br \/>\n       action of the management in removing, dismissing,<br \/>\n       reducing in rank and termination also. Therefore, the<br \/>\n       provisions of reasonable opportunity\/unanimous resolution<br \/>\n       of Managing Committee and approval\/consent of the<br \/>\n       Director are made mandatory in the order to ensure the<br \/>\n       fairness of the action.       Neither there is unanimous<br \/>\n       resolution of the Managing Committee no six months notice<br \/>\n       was given nor payment of six months salary in lieu of notice<br \/>\n       was given nor consent of the Director was taken.<br \/>\n       Therefore, even if the case is taken to be of termination,<br \/>\n       then also mandatory Proviso (iii) of Section 18 of the Act of<br \/>\n       1989 has been violated. The said Section is applicable in<br \/>\n       respect of all the employees whose services have been<br \/>\n       dismissed by way of disciplinary action or simple<br \/>\n       termination.&#8221;\n<\/p><\/blockquote>\n<p><span class=\"hidden_text\">                                  14<\/span><\/p>\n<p>WHETHER THERE IS CONFLICT OF OPINIONS<\/p>\n<p>      Though the Hon&#8217;ble Division Bench while making the instant<\/p>\n<p>reference inferred that the aforesaid two sets of decisions, Sophia<\/p>\n<p>School&#8217;s case on one hand and Saint Meera Brotherhood Society<\/p>\n<p>and Army School&#8217;s cases on the other, represent conflicting<\/p>\n<p>opinions but, after having taken into comprehension the fact<\/p>\n<p>situation in, and the ratio from, the aforesaid decisions, we are of<\/p>\n<p>the considered view that strictly speaking, they cannot be said to<\/p>\n<p>be expressing conflicting opinions as such. In the cases of Saint<\/p>\n<p>Meera Brotherhood Society and Army School, the question as to<\/p>\n<p>whether Section 18 or the requirements therein were applicable to<\/p>\n<p>unaided institution or not did not arise for consideration nor any<\/p>\n<p>such arguments appear to have been advanced that the concerned<\/p>\n<p>Societies were unaided institutions. In fact, after going through the<\/p>\n<p>decisions in Army School and Saint Meera Brotherhood Society, we<\/p>\n<p>are unable to find any reference to the fact as to whether the said<\/p>\n<p>education institutions were aided or unaided. Moreover, Saint<\/p>\n<p>Meera Brotherhood Society and Army School&#8217;s cases were not<\/p>\n<p>relating to the disciplinary proceedings by the institution. In Saint<\/p>\n<p>Meera Brotherhood Society, the services of the employee were<\/p>\n<p>terminated because of the alleged abolition of posts. In Army<\/p>\n<p>School too, it was alleged that the dismissal was not punitive in<\/p>\n<p>nature and was not of disciplinary action. On the other hand, in<\/p>\n<p>Sophia School&#8217;s case, the question was considered precisely with<\/p>\n<p>reference to the fact that the petitioner-Society was an unaided<\/p>\n<p>institution and it was held that for taking of disciplinary proceeding<\/p>\n<p>by such an unaided institution, the requirements of prior or post<\/p>\n<p>approval by the authorities of the Government would not apply per<br \/>\n<span class=\"hidden_text\">                                  15<\/span><br \/>\nthe dictum of the Hon&#8217;ble Supreme Court in Pai Foundation.<\/p>\n<p>      In our considered view, even though in Saint Meera<\/p>\n<p>Brotherhood Society and Army School, the observations have been<\/p>\n<p>made in broad and general terms on the import and effect of<\/p>\n<p>Section 18 of the Act in relation to the termination of services of the<\/p>\n<p>employee of a recognised institution; but not in relation to the<\/p>\n<p>specific case of disciplinary proceedings by an unaided recognised<\/p>\n<p>institution. The decision in Sophia School being related to the<\/p>\n<p>specific case of disciplinary proceedings by an unaided institution,<\/p>\n<p>in our opinion, operates on such distinctive and particular class of<\/p>\n<p>cases irrespective of general observations in other two decisions,<\/p>\n<p>rendered later.\n<\/p>\n<p>       It is also noticed that in those later decisions i.e., Saint<\/p>\n<p>Meera Brotherhood Society and Army School, neither the decision<\/p>\n<p>in Sophia School nor that in Pai Foundation were referred at all. The<\/p>\n<p>reason for this omission essentially lies in the difference of the<\/p>\n<p>nature of the impugned action. The later decisions were not<\/p>\n<p>concerning disciplinary action, which was the subject matter in<\/p>\n<p>Sophia School.\n<\/p>\n<p>      Thus, strictly speaking, the two sets of decisions aforesaid<\/p>\n<p>cannot as such be construed as expressing discordant views.<\/p>\n<p>While the decisions in Army School and Saint Meera express the<\/p>\n<p>broad and general opinion on the mandatory nature of Section 18 in<\/p>\n<p>relation to all classes of institutions but relate to the cases other<\/p>\n<p>than those of disciplinary matters whereas Sophia School relates<\/p>\n<p>only to the disciplinary proceedings by an unaided institution and<\/p>\n<p>states the law as per the dictum of the Hon&#8217;ble Supreme Court in<\/p>\n<p>Pai Foundation. Hence, when it comes to the question of<\/p>\n<p>applicability of Section 18 in relation to the disciplinary proceedings<br \/>\n<span class=\"hidden_text\">                                    16<\/span><br \/>\nby an unaided institution, only the specific decision in Sophia<\/p>\n<p>School appears having relevance.\n<\/p>\n<p>        We do not propose to dilate further on this aspect of the<\/p>\n<p>matter because even when finding that the two sets of decisions<\/p>\n<p>cannot strictly be said to be in conflict, the question yet remains<\/p>\n<p>about the correctness of the view expressed in Sophia School and<\/p>\n<p>about the operation and effect of Section 18 of the Act qua an<\/p>\n<p>unaided institution particularly in the light of the principles<\/p>\n<p>propounded by the Hon&#8217;ble Supreme Court in Pai Foundation&#8217;s<\/p>\n<p>case.\n<\/p>\n<p>IMPORT AND EFFECT OF PAI FOUNDATION:\n<\/p>\n<\/p>\n<p>        As noticed, in Sophia School, the learned Division Bench<\/p>\n<p>read down the provision of Section 18 in the light of the decision of<\/p>\n<p>the Hon&#8217;ble Supreme Court in Pai Foundation; and held that in view<\/p>\n<p>of the law so declared by the Hon&#8217;ble Supreme Court, the<\/p>\n<p>requirement of Section 18 cannot be made applicable to an unaided<\/p>\n<p>institution taking disciplinary action. Thus, imperative it is to refer to<\/p>\n<p>the relevant ratio from Pai Foundation.\n<\/p>\n<p>        It may be noticed that the decision in Pai Foundation &#8216;s case<\/p>\n<p>(supra) was delivered by a Bench of 11 Judges of the Hon&#8217;ble<\/p>\n<p>Supreme Court essentially when the questions were referred on the<\/p>\n<p>scope of right of minorities to establish and administer educational<\/p>\n<p>institutions of their choice under Article 30 (1) read with Article 29<\/p>\n<p>(2) of the Constitution of India; and on the correctness of the<\/p>\n<p>decision in St. Stephen&#8217;s College case: (1992) 1 SCC 558. During<\/p>\n<p>the course of hearing, the questions were formulated and recast by<\/p>\n<p>the Hon&#8217;ble Supreme Court and various questions broadly<\/p>\n<p>encompassing the issues as to whether there is a fundamental right<br \/>\n<span class=\"hidden_text\">                                    17<\/span><br \/>\nto set up educational institutions and to what extent the rights of<\/p>\n<p>private minority institution to administer could be regulated etc. were<\/p>\n<p>taken up for consideration. For the present purpose, suffice is to<\/p>\n<p>notice that the Hon&#8217;ble Supreme Court in Pai Foundation dealt with<\/p>\n<p>the issues not only on the rights of and permissible restrictions upon<\/p>\n<p>the minority institutions but as well on the rights in general of non-<\/p>\n<p>minorities to establish and administer aided or unaided institutions.<\/p>\n<p>It has been in relation to such issues that one of the pertinent<\/p>\n<p>questions came up before the Hon&#8217;ble Apex Court as to whether in<\/p>\n<p>the case of private institutions, could there be government<\/p>\n<p>regulations in relation to disciplinary matters; and if so, to what<\/p>\n<p>extent? The submissions, as noticed by the Hon&#8217;ble Court on such<\/p>\n<p>questions, had been as under:-\n<\/p>\n<blockquote><p>      &#8220;63. It was submitted that for maintaining the excellence of<br \/>\n      education, it was important that the teaching faculty and the<br \/>\n      members of the staff of any educational institution performed<br \/>\n      their duties in the manner in which it is required to be done,<br \/>\n      according to the rules or instructions. There have been<br \/>\n      cases of misconduct having been committed by the teachers<br \/>\n      and other members of the staff. The grievance of the<br \/>\n      institution is that whenever disciplinary action is sought to be<br \/>\n      taken in relation to such misconduct, the rules that are<br \/>\n      normally framed by the Government or the university are<br \/>\n      clearly loaded against the management. It was submitted<br \/>\n      that in some cases, the rules require the prior permission of<br \/>\n      the governmental authorities before the initiation of the<br \/>\n      disciplinary proceeding, while in other cases, subsequent<br \/>\n      permission is required before the imposition of penalties in<br \/>\n      the case of proven misconduct. While emphasizing the need<br \/>\n      for an independent authority to adjudicate upon the<br \/>\n      grievance of the employee or the management in the event<br \/>\n      of some punishment being imposed, it was submitted that<br \/>\n      there should be no role for the Government or the university<br \/>\n      to play in relation to the imposition of any penalty on the<br \/>\n      employee.&#8221;<\/p><\/blockquote>\n<p>      It was in the context of the aforesaid questions and<\/p>\n<p>submissions that the Hon&#8217;ble Supreme Court in its majority opinion<\/p>\n<p>held against governmental interference in disciplinary matters dealt<\/p>\n<p>with by unaided private institutions as under:-<br \/>\n<span class=\"hidden_text\">                                18<\/span><br \/>\n&#8220;64. An educational institution is established only for the<br \/>\npurpose of imparting education to the students. In such an<br \/>\ninstitution, it is necessary for all to maintain discipline and<br \/>\nabide by the rules and regulations that have been lawfully<br \/>\nframed. The teachers are like foster parents who are<br \/>\nrequired to look after, cultivate and guide the students in<br \/>\ntheir pursuit of education. The teachers and the institution<br \/>\nexist for the students and not vice versa. Once this principle<br \/>\nis kept in mind, it must follow that it becomes imperative for<br \/>\nthe teaching and other staff of an educational institution to<br \/>\nperform their duties properly, and for the benefit of the<br \/>\nstudents. Where allegations of misconduct are made, it is<br \/>\nimperative that a disciplinary enquiry is conducted, and that<br \/>\na decision is taken. In the case of a private institution, the<br \/>\nrelationship between the management and the employees is<br \/>\ncontractual in nature. A teacher, if the contract so provides,<br \/>\ncan be proceeded against, and appropriate disciplinary<br \/>\naction can be taken if the misconduct of the teacher is<br \/>\nproved. Considering the nature of the duties and keeping<br \/>\nthe principle of natural justice in mind for the purposes<br \/>\nof establishing misconduct and taking action thereon, it<br \/>\nis imperative that a fair domestic enquiry is conducted.<br \/>\nIt is only on the basis of the result of the disciplinary<br \/>\nenquiry that the management will be entitled to take<br \/>\nappropriate action. We see no reason why the<br \/>\nmanagement of a private unaided educational institution<br \/>\nshould seek the consent or approval of any<br \/>\ngovernmental authority before taking any such action. In<br \/>\nthe ordinary relationship of master and servant, governed by<br \/>\nthe terms of a contract of employment, anyone who is guilty<br \/>\nof breach of the terms can be proceeded against and<br \/>\nappropriate relief can be sought. Normally, the aggrieved<br \/>\nparty would approach a court of law and seek redress. In the<br \/>\ncase of educational institutions, however, we are of the<br \/>\nopinion that requiring a teacher or a member of the staff to<br \/>\ngo to a civil court for the purpose of seeking redress is not in<br \/>\nthe interest of general education. Disputes between the<br \/>\nmanagement and the staff of educational institutions must<br \/>\nbe decided speedily, and without the excessive incurring of<br \/>\ncosts. It would, therefore, be appropriate that an Educational<br \/>\nTribunal be set up in each district in a State, to enable the<br \/>\naggrieved teacher to file an appeal, unless there already<br \/>\nexists such an Educational Tribunal in a State &#8212; the object<br \/>\nbeing that the teacher should not suffer through the<br \/>\nsubstantial costs that arise because of the location of the<br \/>\nTribunal; if the tribunals are limited in number, they can hold<br \/>\ncircuit\/camp sittings in different districts to achieve this<br \/>\nobjective. Till a specialized tribunal is set up, the right of<br \/>\nfiling the appeal would lie before the District Judge or<br \/>\nAdditional District Judge as notified by the Government. It<br \/>\nwill not be necessary for the institution to get prior<br \/>\npermission or ex post facto approval of a governmental<br \/>\nauthority while taking disciplinary action against a<br \/>\nteacher or any other employee. The State Government<br \/>\nshall determine, in consultation with the High Court, the<br \/>\njudicial forum in which an aggrieved teacher can file an<br \/>\nappeal against the decision of the management concerning<br \/>\ndisciplinary action or termination of service&#8221;.<\/p>\n<p>                                      (emphasis supplied)<br \/>\n<span class=\"hidden_text\">                                   19<\/span><br \/>\n      The learned counsel for the parties have referred to the<\/p>\n<p>subsequent decisions in the cases of Islamic Academy: (2003) 6<\/p>\n<p>SCC 697 and P.A.Inamdar: (2005) 6 SCC 537 wherein the Hon&#8217;ble<\/p>\n<p>Supreme Court dealt with different issues cropping up after Pai<\/p>\n<p>Foundation but then, essentially such issues had been on regulation<\/p>\n<p>of admissions, quota in admissions, regulating of fee structure etc.<\/p>\n<p>Of course, observations have been made in P.A.Inamdar that<\/p>\n<p>merely because Article 30 (1) has been enacted, the minority<\/p>\n<p>educational institutions do not become immune from operation of<\/p>\n<p>regulatory measures because the right to administer does not<\/p>\n<p>include the right to maladminister; and that once an educational<\/p>\n<p>institution is granted aid or aspires for recognition, the State may<\/p>\n<p>grant aid or recognition accompanied by certain restrictions or<\/p>\n<p>conditions which must be followed as essential to the grant of such<\/p>\n<p>aid or recognition, however, noticeable it is that in P.A.Inamdar<\/p>\n<p>itself, the Hon&#8217;ble 7-Judges&#8217; Bench made it clear that the said<\/p>\n<p>decision was not of expression of any opinion variant of Pai<\/p>\n<p>Foundation while saying,-\n<\/p>\n<blockquote><p>      &#8220;&#8230;.At the very outset, we may state that our task is not to<br \/>\n      pronounce over own independent opinion on the several<br \/>\n      issues which arose for consideration in Pai Foundation.<br \/>\n      Even if we are inclined to disagree with any of the findings<br \/>\n      amounting to declaration of law by the majority in Pai<br \/>\n      Foundation we cannot: that being a pronouncement by an<br \/>\n      eleven-Judge Bench, we are bound by it. We cannot<br \/>\n      express dissent or disagreement howsoever we may be<br \/>\n      inclined to do so on any of the issues&#8230;.&#8221;<\/p><\/blockquote>\n<p>      Therefore, the law as declared by the Hon&#8217;ble Supreme Court<\/p>\n<p>in Pai Foundation remains binding, unaltered and unaffected by<\/p>\n<p>any other observation made in any other decision; and hence, for<\/p>\n<p>the purpose of the issue at hands, there does not appear any<\/p>\n<p>necessity to refer to other past and later decisions as referred by<\/p>\n<p>the learned counsel for the parties.\n<\/p>\n<p><span class=\"hidden_text\">                                   20<\/span><\/p>\n<p>      A bare reference to the above-quoted passage from Pai<\/p>\n<p>Foundation and particularly the highlighted portions leaves nothing<\/p>\n<p>to doubt or even to ponder that so far unaided private educational<\/p>\n<p>institution is concerned, as per the dictum of the Hon&#8217;ble Supreme<\/p>\n<p>Court, there cannot be any requirement to seek consent or approval<\/p>\n<p>of any governmental authority before taking any disciplinary action;<\/p>\n<p>and that it is not necessary for the institution to get prior permission<\/p>\n<p>or even ex post facto approval while taking disciplinary action<\/p>\n<p>against a teacher or any other employee. Thus, so far disciplinary<\/p>\n<p>actions are concerned, as per the law declared by the Hon&#8217;ble<\/p>\n<p>Supreme Court, the matters are to be left for the unaided institution<\/p>\n<p>itself to take appropriate action about; and for such an action, the<\/p>\n<p>unaided institution need not go on seeking approval whether prior or<\/p>\n<p>post from the governmental authorities.\n<\/p>\n<p>READING DOWN OF SECTION 18:\n<\/p>\n<p>      As noticed, the Division Bench of this Court in Sophia<\/p>\n<p>School&#8217;s case has said, with reference to the law declared by the<\/p>\n<p>Hon&#8217;ble Apex Court in Pai Foundation, that the proviso to Section<\/p>\n<p>18 is required to be read down by confining it to the private<\/p>\n<p>recognised educational institutions which are receiving aid from the<\/p>\n<p>government to sustain its constitutional validity. The Hon&#8217;ble<\/p>\n<p>Division Bench has said that the requirement of prior approval of<\/p>\n<p>the Director Education before taking final disciplinary action by way<\/p>\n<p>of removal, dismissal or reduction in rank of any employee amounts<\/p>\n<p>to interference in managerial function and such power cannot be<\/p>\n<p>extended over the institutions not receiving any aid from the<\/p>\n<p>government.\n<\/p>\n<p>      Now, a look at Section 18 ibid makes it clear that the<\/p>\n<p>provisions contained therein make no distinction between aided and<br \/>\n<span class=\"hidden_text\">                                       21<\/span><br \/>\nunaided institution and have been made as if applicable in relation<\/p>\n<p>to all the recognised institutions.\n<\/p>\n<p>      Though, ordinarily, it is the literal rule of interpretation that is<\/p>\n<p>applied for interpretation of any statutory provision. The rule of<\/p>\n<p>literal interpretation is that in construing a written instrument,<\/p>\n<p>grammatical and ordinary sense of the words is adhered to unless<\/p>\n<p>that would lead to some anomaly, or some oddity, or some<\/p>\n<p>absurdity, or some repugnancy or inconsistency. We find the<\/p>\n<p>position in relation to the first proviso to Section 18 to be very much<\/p>\n<p>that of an anomaly where, if the same be read literally and applied<\/p>\n<p>indiscriminately to all the recognised institutions, it would fall foul<\/p>\n<p>with the dictum of Pai Foundation so far the unaided institutions are<\/p>\n<p>concerned for whom the Hon&#8217;ble Supreme Court has laid down in<\/p>\n<p>no uncertain terms that for the purpose of disciplinary action against<\/p>\n<p>the employees, such unaided institutions need not seek prior or<\/p>\n<p>even ex post facto approval from the any governmental authority. In<\/p>\n<p>the given situation and particularly in view of the law declared by the<\/p>\n<p>Hon&#8217;ble Supreme Court in Pai Foundation, we are inclined to agree<\/p>\n<p>with the course adopted by the learned Division Bench in Sophia<\/p>\n<p>School (supra) so as to read the provision as contained in the first<\/p>\n<p>proviso to Section 18 down as being applicable only to the aided<\/p>\n<p>institutions and not to the unaided institutions.         The    Hon&#8217;ble<\/p>\n<p>Supreme Court in the case of Arun Kumar &amp; Ors. Vs. Union of India<\/p>\n<p>&amp; Ors.: (2007) 1 SCC 732 has indicated the doctrine of reading<\/p>\n<p>down in the following:-\n<\/p>\n<blockquote><p>             &#8220;55. The doctrine of &#8216;reading down&#8217; is well-known in<br \/>\n      the field of Constitutional Law. Colin Howard in his well-<br \/>\n      known work &#8220;Australian Federal Constitutional Law&#8221; states;\n<\/p><\/blockquote>\n<blockquote><p>             Reading down puts into operation the principle that so<br \/>\n             far as it is reasonably possible to do so, legislation<br \/>\n             should be construed as being within power. It has the<br \/>\n             practical effect that where an Act is expressed in<br \/>\n<span class=\"hidden_text\">                                     22<\/span><br \/>\n             language of a generality which makes it capable, if<br \/>\n             read literally, of applying to matters beyond the<br \/>\n             relevant legislative power, the Court will construe it in<br \/>\n             a more limited sense so as to keep it within power.&#8221;\n<\/p><\/blockquote>\n<\/blockquote>\n<blockquote><p>      The position obtainable in relation to the proviso to Section 18<\/p>\n<p>is that it is not as such beyond the legislative competence nor could<\/p>\n<p>be said to be directly against any constitutional provision but then,<\/p>\n<p>the same would be hit by the law declared by the Hon&#8217;ble Supreme<\/p>\n<p>Court in Pai Foundation (supra) if sought to be employed and<\/p>\n<p>applied in relation to an unaided private institution. Thus, in our<\/p>\n<p>opinion, reading down of the same as being applicable only to aided<\/p>\n<p>institution is the only way of its correct interpretation so as to keep it<\/p>\n<p>within the legislative competence and constitutionality.          For the<\/p>\n<p>reasons foregoing, we approve the ratio in Sophia School&#8217;s case<\/p>\n<p>(supra).<\/p><\/blockquote>\n<p>      A submission has been made on behalf of the respondents<\/p>\n<p>that in the scheme of the Act of 1989, there is provided an appeal<\/p>\n<p>under Section 19 that could be taken recourse of by the managing<\/p>\n<p>committee in case of refusal made by the Director of the approval<\/p>\n<p>required under Section 18 and hence, for sufficient safeguard<\/p>\n<p>having been provided in the enactment against governmental<\/p>\n<p>interference, the proviso to Section 18 does not offend the dictum of<\/p>\n<p>Pai Foundation. The submission remains untenable so far<\/p>\n<p>disciplinary action by an unaided private educational institution is<\/p>\n<p>concerned. When such an institution need not seek prior or even ex<\/p>\n<p>post facto approval for its disciplinary action, the question of refusal<\/p>\n<p>or according of such approval does not arise at all.<\/p>\n<p>      However, we would hasten to make it clear that what has<\/p>\n<p>been observed above relates only to the disciplinary action by the<\/p>\n<p>unaided institution and not all and other actions, as discussed infra.<br \/>\n<span class=\"hidden_text\">                                   23<\/span><br \/>\nCOMPREHENSIVE INTERPRETATION OF SECTION 18 QUA<br \/>\nUNAIDED INSTITUTION:\n<\/p>\n<p>      Even when have concurred with the ratio in Sophia School in<\/p>\n<p>reading down of first proviso to Section 18 of the Act of 1989 as<\/p>\n<p>being confined only to aided institutions and not applicable to the<\/p>\n<p>unaided institutions, this does not completely answer the real<\/p>\n<p>question before us about applicability of the provisions contained in<\/p>\n<p>Section 18 ibid to the unaided institutions.\n<\/p>\n<p>      As noticed, Section 18 of the Act of 1989 in its principal<\/p>\n<p>provision ordains that no employee of a recognised institution shall<\/p>\n<p>be removed, dismissed, or reduced in rank unless he has been<\/p>\n<p>given by the management a reasonable opportunity of being heard<\/p>\n<p>against the action proposed to be taken. Then, Section 18 carries<\/p>\n<p>two provisos, the first one being of the requirement of obtaining<\/p>\n<p>prior approval in relation to removal, dismissal or reduction in rank.<\/p>\n<p>However, the second proviso to Section 18 is essentially of<\/p>\n<p>exception to the provisions preceding it. The second proviso says<\/p>\n<p>that this Section (i.e., Section 18) shall not apply in three<\/p>\n<p>eventualities: (i) when a person is dismissed or removed on the<\/p>\n<p>ground of conduct which led to his conviction on a criminal charge;<\/p>\n<p>(ii) where it is not practicable or expedient to give that employee an<\/p>\n<p>opportunity of showing cause and the consent of Director of<\/p>\n<p>Education has been obtained in writing before the action is taken;<\/p>\n<p>and (iii) where the managing committee is of unanimous opinion<\/p>\n<p>that the services of an employee cannot be continued without<\/p>\n<p>prejudice to the interest of the institution; and the services of such<\/p>\n<p>employee are terminated after giving him six months notice or<\/p>\n<p>salary in lieu thereof and the consent of the Director of Education is<\/p>\n<p>obtained in writing.\n<\/p>\n<p><span class=\"hidden_text\">                                  24<\/span><\/p>\n<p>        The three eventualities as referred in second proviso<\/p>\n<p>wherefor Section 18 would be inapplicable are clearly carving out<\/p>\n<p>exceptions to principal provision of Section 18; and after examining<\/p>\n<p>the scheme of the Section 18 as a whole and applying the dictum<\/p>\n<p>from Pai Foundation, even when we hold the first proviso<\/p>\n<p>inapplicable to the unaided institution in disciplinary action, the<\/p>\n<p>same cannot be said to be true for the second proviso too.<\/p>\n<p>      The second proviso is essentially an exception whereby, in<\/p>\n<p>the given eventualities, the principal provision of Section 18 is<\/p>\n<p>altogether ruled out of application. The principal provision of Section<\/p>\n<p>18 is that no employee of a recognised institution shall be removed,<\/p>\n<p>dismissed or reduced in rank unless he has been given a<\/p>\n<p>reasonable opportunity of being heard by the management. This is<\/p>\n<p>on the very first principles of natural justice. Even when the Hon&#8217;ble<\/p>\n<p>Supreme Court in Pai Foundation has ruled against the requirement<\/p>\n<p>of obtaining prior or post approval of the governmental authorities<\/p>\n<p>by an unaided institution while taking disciplinary action, the Hon&#8217;ble<\/p>\n<p>Court has not ruled that the institution, whether aided or unaided,<\/p>\n<p>could otherwise obviate the necessity of extending a reasonable<\/p>\n<p>opportunity of hearing to the employee concerned while taking an<\/p>\n<p>action prejudicial to him in his service. Even in the case of an<\/p>\n<p>unaided institution, the requirements of principal provision of<\/p>\n<p>Section 18, of extending reasonable opportunity of hearing to the<\/p>\n<p>employee against the proposed action, remains mandatory.<\/p>\n<p>However, as per the second proviso, which is essentially carving out<\/p>\n<p>three exceptions, such a requirement of extending reasonable<\/p>\n<p>opportunity of hearing could be dispensed with in the given<\/p>\n<p>eventualities but then, only with the given conditions. The first one<\/p>\n<p>is when the person is dismissed or removed for his conviction on a<br \/>\n<span class=\"hidden_text\">                                   25<\/span><br \/>\ncriminal charge. The second one, per clause (ii), is when it would be<\/p>\n<p>impracticable or inexpedient to give the employee an opportunity of<\/p>\n<p>showing cause. For this eventuality, the requirement of obtaining<\/p>\n<p>the consent of Director of Education does not, in our considered<\/p>\n<p>opinion, contradict the dictum of Pai Foundation. The provision itself<\/p>\n<p>being for the purpose of dispensing with the normal procedure of<\/p>\n<p>opportunity of hearing, its requirements are to be strictly adhered to.<\/p>\n<p>      Similarly, clause (iii) of second proviso is also of dispensing<\/p>\n<p>with the requirement of reasonable opportunity of hearing but here<\/p>\n<p>the managing committee has to form unanimous opinion that<\/p>\n<p>services of an employee cannot be continued without prejudice to<\/p>\n<p>the interest of the institution; and, upon such unanimous opinion,<\/p>\n<p>the services of such an employee can be terminated after giving<\/p>\n<p>him six months notice or salary and obtaining the consent of<\/p>\n<p>Director of Education. Here again, for the permissibility of<\/p>\n<p>dispensing with regular enquiry and opportunity of hearing, the<\/p>\n<p>requirements as stated are to be strictly complied with and cannot<\/p>\n<p>be ignored. The requirement of obtaining consent in this clause is<\/p>\n<p>also, in our opinion, not such a consent which may stand at<\/p>\n<p>contradiction to the dictum in Pai Foundation. Here, in clause (iii),<\/p>\n<p>the Institution is not taking disciplinary action but is dispensing with<\/p>\n<p>the services on a unanimous decision. The necessity of obtaining<\/p>\n<p>consent in this provision is also a mandatory one and cannot be<\/p>\n<p>avoided.\n<\/p>\n<p>      Thus, we find that even while the first proviso to Section 18 of<\/p>\n<p>the Act of 1989 would not apply in the disciplinary action by the<\/p>\n<p>unaided private educational institution, the other provisions of<\/p>\n<p>Section 18 are, without any doubt, applicable to all the institutions,<\/p>\n<p>aided or unaided.\n<\/p>\n<p><span class=\"hidden_text\">                                         26<\/span><\/p>\n<p>            Before concluding, we may point out that a decision by the<\/p>\n<p>      learned Single Judge of this Court in the case of Managing<\/p>\n<p>      Comimittee S.S. Jain Subodh Siksha Samiti, Jaipur &amp; Anr. Vs.<\/p>\n<p>      Rajendra Kumar Rao &amp; Ors.: 2005(5) RLW 288 has been referred<\/p>\n<p>      during the course of arguments. In this case, the learned Single<\/p>\n<p>      Judge observed that the decision in Pai Foundation overrules<\/p>\n<p>      clause (iii) of the second proviso to a limited extent that it would not<\/p>\n<p>      be necessary for the unaided institution to obtain the consent of<\/p>\n<p>      Director of Education but other mandates of this clause (iii) ought to<\/p>\n<p>      be followed in letter and spirit. With respect, we are unable to<\/p>\n<p>      endorse the first part of the views so stated in this decision. In our<\/p>\n<p>      considered opinion, as stated supra, nothing contained in second<\/p>\n<p>      proviso to Section 18 is hit by Pai Foundation. What is eclipsed by<\/p>\n<p>      the ratio of Pai Foundation in relation to an unaided institution is<\/p>\n<p>      only the first proviso to Section 18; and not the other provisions<\/p>\n<p>      contained in Section 18 viz., the principal provision, and so also the<\/p>\n<p>      second proviso. These other provisions of Section 18 do apply, as<\/p>\n<p>      they are and in mandatory form, to unaided institution as well.<\/p>\n<p>      THE ANSWERS:\n<\/p>\n<p>            In view of what has been discussed above, our answer to this<\/p>\n<p>      reference is that the first proviso to Section 18 of the Act of 1989<\/p>\n<p>      does not apply in relation to the disciplinary action by private<\/p>\n<p>      unaided recognised institution but the other provisions of Section 18<\/p>\n<p>      including the second proviso do apply to such unaided private<\/p>\n<p>      recognised educational institution too.\n<\/p>\n<p>            The record be now placed before the concerned bench for<\/p>\n<p>      decision of the appeals on their merits.\n<\/p>\n<p>MK   (SANGEET LODHA),J.
