     .          By these two Appeals the Appellant<\/p>\n
     Education       Society     takes      exception               to       the<\/p>\n
     common order passed by the learned Judge, City<\/p>\n
     Civil    Court,       Greater     Bombay        on      Notices           of<\/p>\n
     Motion No.16 of 2010 in Short Cause Suit No.<\/p>\n
     2828 of 2009 & Notice of Motion No.17 of 2010<\/p>\n
     in Short Cause Suit No.2827 of 2009.\n<\/p>\n
     2.         The Plaintiffs in the two Suits were<\/p>\n
     President       and     Secretary      of      the        Appellant-\n<\/p>\n
     Education Society.          It was alleged that they<\/p>\n
     had     asked    for     donations         for       the        Society<\/p>\n
     without any authorization from the Management<\/p>\n
     while recruiting teachers for Schools run by<\/p>\n
     the     Society.           The       Managing             Committee,<\/p>\n
     therefore,            discussed      the     conduct            of      the<\/p>\n
     Plaintiffs in the two suits from time to time,<\/p>\n
     and, in the meeting dated 1st December, 2009,<\/p>\n

     removed the two Plaintiffs from the membership<\/p>\n
     of     the    Society.         Aggrieved          thereby,             the<\/p>\n
     Plaintiffs approached the City Civil Court by<\/p>\n
     filing two suits and by taking out two Notices<\/p>\n
     of    Motion    prayed      for    injunction          restraining<\/p>\n
     the    Appellant-Society           from    implementing                the<\/p>\n
     Resolution whereby names of the two Plaintiffs<\/p>\n
     were     removed      from     the     membership              of      the<\/p>\n
     Society       and
\n                      ig  from    preventing        the       Plaintiffs<\/p>\n
     from discharging duties of their posts.\n<\/p>\n
     3.           These Notice of Motions were contested<\/p>\n
     by      the         Appellant-Society,               who            filed<\/p>\n
     appropriate replies wherein it is also stated<\/p>\n
     that the Society had already filled up the<\/p>\n
     posts of the two Plaintiffs.                      In course of<\/p>\n
     hearing of the Appeals, it was pointed out<\/p>\n
     that the period of Managing Committee had come<\/p>\n
     to an end and therefore, fresh elections were<\/p>\n
     scheduled to be held shortly.                  Maintainability<\/p>\n
     of the suit without obtaining permission under<\/p>\n
     Section 50 of the Bombay Public Trust Act was<\/p>\n

     raised    as     a        ground.         But        it      was        not<\/p>\n
     specifically pressed.\n<\/p>\n
     4.        After hearing the parties the learned<\/p>\n
     Judge    held    that       the   Plaintiffs           in     the       two<\/p>\n
     Suits    had    established            prima    facie       case        and<\/p>\n
     that the balance of convenience was in their<\/p>\n
     favour.        He,     therefore,        proceeded          to      allow<\/p>\n
     Notices of Motion and granted injunctions as<\/p>\n
     prayed    for     by      the     Plaintiffs.               Aggrieved<\/p>\n
     thereby, the Society is before this Court.\n<\/p>\n
     5.        I have heard the learned Counsel for<\/p>\n
     the   parties        at    sufficient          length       and       also<\/p>\n
     allowed    them       time      to      attempt       an      amicable<\/p>\n
     settlement.          The     contention         of    the       learned<\/p>\n
     Counsel for the Appellants, that the learned<\/p>\n
     Trial Judge erred in granting the reliefs to<\/p>\n
     the Plaintiffs, erroneously holding that the<\/p>\n
     Plaintiffs      did       not   have     adequate          notice         of<\/p>\n
     their proposed expulsion, has to be rejected.\n<\/p>\n
     Though, the learned Counsel for the Appellants<\/p>\n

     was at pains to point out from the Minutes of<\/p>\n
     various Meetings held that the conduct of the<\/p>\n
     Plaintiffs was discussed, the Agendas of none<\/p>\n
     of these Meetings show that the question of<\/p>\n
     expulsion of the Appellants was at any time<\/p>\n
     put on the Agenda.\n<\/p>\n
     6.       It appears from the proceedings of the<\/p>\n
     Meeting which have been placed on record that<\/p>\n
     the Respondents in fact expressed regrets for<\/p>\n
     what had happened.      In the Meeting dated 1st<\/p>\n
     December, 2009 for the first time a reference<\/p>\n
     was made to Clause 12(o) of the Memorandum of<\/p>\n
     the Association which reads as under:-\n<\/p>\n
               (o)   To   supervise  and   control<\/p>\n
              generally the conduct of all the
\n              employees of the Society and to
\n              remove as accasion may require, on
\n              reasonable grounds, the name of any
\n              Member from the rolls of the Society<\/p>\n
              by a majority of two-thirds of the
\n              Members present, or take such other
\n              steps in that behalf as the Council
\n              may deem expedient.\n<\/p><\/blockquote>\n
     The question is not whether the Committee had<\/p>\n
     the   power   to   initiate   action       against           the<\/p>\n

     Plaintiffs.          The    question           is    whether          that<\/p>\n
     power    was    properly         exercised.             As      rightly<\/p>\n
     observed by the learned Trial Judge, it was<\/p>\n
     impermissible        for    the        Appellants         to     have       a<\/p>\n
     Resolution passed in a Meeting without placing<\/p>\n
     such a subject on the Agenda.                        Removal of a<\/p>\n
     member from membership of the Society is a<\/p>\n
     serious     matter         and     unless           principles            of<\/p>\n
     natural<\/p>\n
                 justice         are        fully        complied          such<\/p>\n
     expulsion would not be readily accepted by the<\/p>\n
     Courts.     Therefore, it cannot be said that the<\/p>\n
     learned Trial Judge erred in restraining the<\/p>\n
     Appellants from acting on a Resolution passed<\/p>\n
     in a Meeting dated 1st December, 2009, even<\/p>\n
     though    the    injunction            issued       may      take       the<\/p>\n
     character       of   final        relief        granted         at      ad-\n<\/p>\n
     interim stage.          In such matters, if relief is<\/p>\n
     not   immediately       granted         the     lis       itself        may<\/p>\n
     become     infructuous           with     passage          of        time.\n<\/p>\n
     Even, now, the Appellants are in the process<\/p>\n
     of holding elections and therefore, the entire<\/p>\n
     scenario        would       change         by        keeping            the<\/p>\n

     Plaintiffs out of the fray.                  In this glaring<\/p>\n
     case     of     failure    to    follow        principles               of<\/p>\n
     natural       justice,     it    cannot        be      said         that<\/p>\n
     discretion        exercised      by    the     learned            Trial<\/p>\n
     Judge     calls      for   any       interference           by      this<\/p>\n
     Court.        The learned Trial Judge rightly held<\/p>\n
     that the Plaintiffs had made out a prima facie<\/p>\n
     case and would suffer irreparable loss, if the<\/p>\n
