(C) No. 20610 of 2006) <\/p>\n<p>Dr. ARIJIT PASAYAT, J.\n<\/p>\n<p>1.\tLeave granted.\n<\/p>\n<p>2.\tChallenge in this appeal is to the judgment rendered by a<br \/>\nDivision Bench of the Allahabad High Court. The appellant-a<br \/>\nunit of National Textile Corporation U.P. Limited (in short<br \/>\n&#8216;NTC&#8217;) had moved the High Court for quashing the recovery<br \/>\nproceedings. Further prayer was for direction to the<br \/>\nrespondents not to demand and\/or recover any amount from<br \/>\nthe appellant.\n<\/p>\n<p>3.\tBackground facts as projected by the appellant are as<br \/>\nfollows:\n<\/p>\n<p>The appellant unit was involved in the manufacture of<br \/>\nCotton yarn.  The production in the unit stopped in the year<br \/>\n1992.  Out of the 11 units which had become sick, nine could<br \/>\nnot be revived and only two could be revived. The appellant<br \/>\nreferred the matter of sickness of the mill to the BIFR under<br \/>\nthe Sick Industrial Companies (Special Provisions) Act, 1985<br \/>\n(in short &#8216;SICA&#8217;). The electricity connection of the mill was<br \/>\ndisconnected. A bill dated 15.11.2003 for a sum of<br \/>\nRs.33,52,251.18 towards principal and a sum of<br \/>\nRs.54,50,326.07 towards late payment surcharge (totalling to<br \/>\nRs.88,02,577.25) was raised.\n<\/p>\n<p>4.\tStand of the appellant was that the demand of late<br \/>\npayment surcharge is contrary to the scheme approved on<br \/>\n5.2.2000 by the Board for Industrial and Financial<br \/>\nReconstruction (in short &#8216;BIFR&#8217;). According to para 5.04 there<br \/>\nwas no scope for charging late payment surcharge because the<br \/>\nscheme clearly provided for interest and damage. This plea<br \/>\nwas resisted by U.P. Corporation Ltd.  It was the stand of the<br \/>\nCorporation that there was no scope for writing off late<br \/>\npayment surcharge and in any event, the same was not part of<br \/>\nthe approved scheme. The appellant had stated that the<br \/>\nprincipal amount has been paid in full.\n<\/p>\n<p>5.\tThe appellant had pointed out that in the case of Lord<br \/>\nKrishna Mills, another unit of NTC, the Corporation itself had<br \/>\ntaken a decision to write off late payment surcharge. That was<br \/>\na part of the scheme and, therefore, a different yardstick<br \/>\nshould not have been applied.\n<\/p>\n<p>6.\tBasic issue is whether the surcharge is included in the<br \/>\ninterest and damage as appearing in clause 5.04 of the<br \/>\napproved scheme.  The High Court relied on earlier decision in<br \/>\n<a href=\"\/doc\/751921\/\">M\/s L.M.L. Ltd., Kanpur v. State of U.P. and Ors. (AIR<\/a> 2001<br \/>\nAllahabad 321) to negative appellant&#8217;s stand.\n<\/p>\n<p>7.\tThe High Court was of the view that late payment<br \/>\nsurcharge was applicable. It held that there was provision for<br \/>\nlevy of late payment surcharge and so the amount was<br \/>\npayable. It is not in the nature of penalty or compensation.<br \/>\nThis according to the High Court was the ratio in M\/s L.M.L.<br \/>\ncase (supra). It was also noted by the High Court that the<br \/>\nfactual position in Lord Krishna Mill case was not clear and,<br \/>\ntherefore, even if some relief was granted to the said unit, that<br \/>\ncannot be a ground to hold that late payment of surcharge<br \/>\nwas to be written off.\n<\/p>\n<p>8.\tLearned counsel for the appellant submitted that<br \/>\nadmittedly no separate levy was made and, therefore, the<br \/>\nquestion of waiver of interest does not arise.  Additionally, it is<br \/>\nsubmitted that in the case of Lord Krishna Mills case relief as<br \/>\nhas been claimed by the appellant was granted.  The decision<br \/>\nin M\/s L.M.L. case (supra) has no application because the<br \/>\nissue involved in that case related to surcharge on energy<br \/>\ncharges. There was no distinctive feature so far as Lord<br \/>\nKrishna Mills case is concerned and, therefore, the High Court<br \/>\nwas not justified in refusing to grant relief.\n<\/p>\n<p>9.\tLearned counsel for the Corporation supported the<br \/>\njudgment of the High Court stating that late payment<br \/>\nsurcharge is different from interest or damage and, therefore,<br \/>\nthe same could not have been waived.\n<\/p>\n<p>10.\tThere is no doubt about the binding effect of the scheme.<br \/>\nThe approved scheme was circulated and relevant clauses<br \/>\n5.03 and 5.04 read as follows:\n<\/p>\n<p>&#8220;5.03  State Government (Uttar Pradesh)\n<\/p>\n<p>i)\tTo declare NTCUPL and its mills as Relief<br \/>\nUndertaking for the purpose of granting<br \/>\nreliefs concessions including sales tax,<br \/>\nholiday deferment etc.\n<\/p>\n<p>ii)\tTo approve without any condition the sale<br \/>\nof surplus land properties of NTCUPL and<br \/>\nagree to conversion of its identified land<br \/>\ninto Commercial residential land use and<br \/>\nsale thereof, exempting conversion<br \/>\ncharges and sales tax on sale of surplus<br \/>\nmachinery scrap subject to the master<br \/>\nplan.\n<\/p>\n<p>iii)\tTo grant necessary clearances approvals<br \/>\npertaining to closure of unviable mills<br \/>\nactivity and to extend necessary support<br \/>\nin this regard.\n<\/p>\n<p>iv)\tTo grant permission for sale of surplus<br \/>\nleasehold freehold land identified at<br \/>\nvarious units under Urban Land Ceiling<br \/>\nAct (ULCA) and give exemption from<br \/>\npayment of stamp duty thereof. The<br \/>\nstamp duty would be paid by the<br \/>\npurchaser of the land not by the<br \/>\ncompany.\n<\/p>\n<p>v)\tTo waive the interest and damages on the<br \/>\nelectricity, water and municipal dues and<br \/>\naccept payment of principal amount only<br \/>\nduring the year 2001-02.\n<\/p>\n<p>  vi)\tTo exempt the company from payment of<br \/>\nsales tax on the sale of scrap and other<br \/>\nmaterial rendered surplus.\n<\/p>\n<p>&#8220;5.04  Kanpur Electricity Board\/State<br \/>\nElectricity Board\/State Government Power.\n<\/p>\n<p>To writ off interest and damages in respect of<br \/>\narrears current dues of the company to<br \/>\nKanpur Electricity Board or to any other<br \/>\nElectricity Authority in whose jurisdiction the<br \/>\nmills were located.\n<\/p>\n<p>i)\tTo ensure to supply the electricity as<br \/>\nrequired continuously, regularly during<br \/>\nthe period of rehabilitation.&#8221;\n<\/p>\n<p>11.\tIt is to be noted that the High Court has not discussed as<br \/>\nto why and in what manner Lord Krishna Mills&#8217; case was<br \/>\ndistinguishable on facts. The decision in M\/s L.M.L. case<br \/>\n(supra) has no application because the decision in that case<br \/>\nrelated to surcharge on energy charges. If there was any doubt<br \/>\nabout the true effect of clauses 5.03 and 5.04 the matter could<br \/>\nhave been highlighted before the BIFR and could have been<br \/>\nclarified. In fact, sub-sections (8) and (9) of Section 18 of SICR<br \/>\nthrow considerable light on the issue.  They read as follows:\n<\/p>\n<p>&#8220;18. Preparation and sanction of Schemes<\/p>\n<p>\txxx\t\t\txxx\t\t\t\txxx<br \/>\n(8) On and from the date of the coming into<br \/>\noperation of the sanctioned scheme or any<br \/>\nprovision thereof, the scheme or such<br \/>\nprovision shall be binding on the sick<br \/>\nindustrial company and the transferee<br \/>\ncompany or, as the case may be, the other<br \/>\ncompany and also on the shareholders,<br \/>\ncreditors and guarantors and employees of<br \/>\nthe said companies.\n<\/p>\n<p>(9) If any difficulty arises in giving effect to<br \/>\nthe provisions of the sanctioned scheme, the<br \/>\nBoard may, on the recommendation of the<br \/>\noperating agency, [or otherwise], by order to<br \/>\nanything, not inconsistent with such<br \/>\nprovisions, which appears to it to be<br \/>\nnecessary or expedient for the purpose of<br \/>\nremoving the difficulty.&#8221;\n<\/p>\n<p>xxx\t\t\txxx\t\t\t\txxx<\/p>\n<p>12.\tThe High Court has not referred to various stands taken<br \/>\nand urged before it. Specific reference was made to Board&#8217;s<br \/>\nletter dated 18.6.2003 to Lord Krishna Textile Mill, and<br \/>\nanother letter dated 20.6.2003 in the context of waiver of<br \/>\ndelayed payment surcharge. Reference was also made to letter<br \/>\ndated 7.9.2005 of the Corporation to the NTC that it has been<br \/>\ndecided to act as per decision taken in Lord Krishna Textile<br \/>\nMills.  Reference was also made to letter dated 3.3.2003 of the<br \/>\nSpecial Secretary, Government of Uttar Pradesh addressed to<br \/>\nBIFR. In the circumstances, the matter is remitted to the High<br \/>\nCourt with the following directions:\n<\/p>\n<p>(1)\tThe BIFR shall be moved by the parties to clarify whether<br \/>\ndelayed payment surcharge is included in interest or the<br \/>\ndamages in view of the conceded position that no interest was<br \/>\nlevied. The order of the BIFR shall be placed on record before<br \/>\nthe High Court. The parties shall move the BIFR within one<br \/>\nmonth and BIFR is requested to pass necessary orders within<br \/>\ntwo months thereafter.\n<\/p>\n<p>(2)\tThe effect of waiver in case of Lord Krishna Mills case<br \/>\nshall be duly considered.\n<\/p>\n<p>(3)\tThe relevance of documents referred to above shall be<br \/>\nduly considered.\n<\/p>\n<p>13.\tThe High Court is requested to consider the matter<br \/>\nwithin four months of the receipt of the order of BIFR.\n<\/p>\n<p>14.\tI.A. Nos.3 &amp; 4 of 2006 have been filed by Anand<br \/>\nVrindaban (a partnership firm) for impleadment and<br \/>\ndirections.  No order is necessary to be passed in those IAs, as<br \/>\nit has no nexus with the issues involved in this appeal.\n<\/p>\n<p>15.\tThe appeal is allowed to the aforesaid extent with no<br \/>\norder as to costs.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Supreme Court of India Bijli Cotton Mill (Unit Of &#8230; vs U.P.
