It<br \/>\n\thas also prayed for holding a meeting of the Equity Shareholders of<br \/>\n\tthe applicant-Company for the purpose of considering and, if thought<br \/>\n\tfit, approving with or without modification(s), the arrangement<br \/>\n\tembodied in the Composite Scheme of Arrangement between Carnation<br \/>\n\tNutra-Analogue Foods Limited and Cadila Healthcare Limited and Zydus<br \/>\n\tHospitals and Medical Research Private Limited and their respective<br \/>\n\tshareholders and creditors (Composite Scheme) and for issuing<br \/>\n\tappropriate  directions incidental for holding of such meetings.\n<\/p>\n<p>By<br \/>\n\tthe present Composite Scheme there would be reductions of Securities<br \/>\n\tPremium Account. The said reduction is an integral part of the<br \/>\n\tComposite Scheme and the applicant-Company has prayed for dispensing<br \/>\n\twith following a separate procedure for the said reduction.\n<\/p>\n<p>By<br \/>\n\tthe present Composite Scheme there would be an increase in the<br \/>\n\tAuthorized Capital of the applicant-Company. The said increase in<br \/>\n\tAuthorized Capital is also an integral part of the Composite Scheme<br \/>\n\tand the applicant-Company has prayed for dispensing with following a<br \/>\n\tseparate procedure for the increase in the Authorized Capital.\n<\/p>\n<p>Upon<br \/>\n\thearing Shri Mihir Thakore, learned senior counsel and upon perusal<br \/>\n\tof the application and supporting affidavit dated 11th<br \/>\n\tAugust 2008 filed by Shri Dhaval N. Soni and the annexures referred<br \/>\n\tto therein (Annexure-G being the copy of the Composite Scheme) and<br \/>\n\tthe affidavit dated 13th August 2008, it is directed as<br \/>\n\tunder :\n<\/p>\n<p>A<br \/>\n\tmeeting of the Equity Shareholders of the applicant-Company shall be<br \/>\n\tconvened and held at Thakorbhai Desai Hall, Near Law Garden,<br \/>\n\tEllisbridge, Ahmedabad-380006, on Thursday, the 18th day<br \/>\n\tof September 2008 at 10-00 a.m. (1000 hrs.) for the purpose of<br \/>\n\tconsidering, and if thought fit, approving with or without<br \/>\n\tmodification, the arrangement embodied in the Composite Scheme.\n<\/p>\n<p>At<br \/>\n\tleast 21 clear days before the day appointed for the meetings to be<br \/>\n\theld as aforesaid, an advertisement convening the said meetings<br \/>\n\tindicating the day, the date, the place and the time aforesaid and<br \/>\n\tstating that copies of the Composite Scheme, the statement required<br \/>\n\tto be furnished pursuant to Section 393 of the Companies Act, 1956<br \/>\n\tand Form of Proxy can be obtained free of charge at the Registered<br \/>\n\tOffice of the applicant-Company or at the office of its Advocates,<br \/>\n\ti.e. M\/s. Singh &amp; Co., 7-8, Premchand House Annexe, Ashram Road,<br \/>\n\tOld High Court Way, Ahmedabad-380009, be inserted once in Indian<br \/>\n\tExpress, Ahmedabad Edition and Sandesh, Ahmedabad Edition.<br \/>\n\tPublication of the advertisement in the Gujarat Government Gazette<br \/>\n\tis dispensed with.\n<\/p>\n<p>In<br \/>\n\taddition, at least 21 clear days before the day appointed for the<br \/>\n\tmeetings to be held as aforesaid, an advertisement convening the<br \/>\n\tsaid meetings indicating the day, the date, the place and the time<br \/>\n\taforesaid and stating that copies of the Composite Scheme, the<br \/>\n\tstatement required to be furnished pursuant to Section 393 of the<br \/>\n\tCompanies Act, 1956 and Form of Proxy, shall be sent by pre-paid<br \/>\n\tletter post under the Certificate of Posting addressed to each of<br \/>\n\tthe Equity Shareholders and Unsecured Creditors of the<br \/>\n\tapplicant-Company at their respective registered or last known<br \/>\n\taddresses. The Notice shall be sent to the Equity Shareholders of<br \/>\n\tthe applicant-Company with reference to the list of persons<br \/>\n\tappearing on the record of the applicant-Company and its register as<br \/>\n\ton 08th August 2008.\n<\/p>\n<p>The<br \/>\n\tsettling and\/or approval of the advertisement, the form of Notice<br \/>\n\tand the Statement to accompany the Notice by the Registrar of this<br \/>\n\tCourt is dispensed with.\n<\/p>\n<p>Mr.Mukesh<br \/>\n\tM. Patel, Director of the applicant-Company, and in his absence<br \/>\n\tMr.Manubhai K. Patel, Director of the applicant-Company and in his<br \/>\n\tabsence Mr.Jitendra R. Patel, Director of the applicant-Company,<br \/>\n\tshall be the Chairman of the aforesaid meeting to be held on<br \/>\n\tThursday, the 18th day of September 2008 and in respect<br \/>\n\tof any adjournment or adjournments thereof.\n<\/p>\n<p>The<br \/>\n\tChairman appointed for the aforesaid meeting shall issue the<br \/>\n\tadvertisement and send out the notices of the meeting referred to<br \/>\n\thereinabove. The Chairmen are free to avail the services of the<br \/>\n\tapplicant-Company or their officers or servants or agents or any<br \/>\n\tother agency for carrying out the said direction. It is further<br \/>\n\tdirected that the Chairman of the meetings shall have all powers<br \/>\n\tunder the Articles of Association of the applicant-Company and under<br \/>\n\tthe Companies (Court) Rules, 1959 in relation to conduct of meeting<br \/>\n\tincluding an amendment to the aforesaid Composite Scheme or<br \/>\n\tresolutions, if any, proposed at the aforesaid meetings by any<br \/>\n\tperson(s) and to ascertain the decision of the aforesaid meeting on<br \/>\n\tthe poll.\n<\/p>\n<p>The<br \/>\n\tquorum for the meeting of the Equity Shareholders shall be 5 persons<br \/>\n\tpresent in person.\n<\/p>\n<p>The<br \/>\n\tvoting by proxy be permitted, provided that the proxy in the<br \/>\n\tprescribed form duly signed by the person entitled to attend and<br \/>\n\tvote at the meeting, is filed with the applicant-Company at its<br \/>\n\tRegistered Office at ?SZydus Tower??, Satellite Cross Roads,<br \/>\n\tSarkhej-Gandhinagar Highway, Ahmedabad-380015, not later than 48<br \/>\n\thours before the meeting.\n<\/p>\n<p>The<br \/>\n\tvalue of each Equity Shareholders shall be in accordance with the<br \/>\n\tbooks of the applicant-Company and where the entries in the books<br \/>\n\tare disputed, the Chairman shall determine the value for purposes of<br \/>\n\tthe meeting and his decision in that behalf shall be final.\n<\/p>\n<p>It<br \/>\n\tis further directed that the Chairman shall report to this Court the<br \/>\n\tresult of the said meetings within 14 (fourteen) days of the<br \/>\n\tconclusion of the meeting and the said report shall be verified by<br \/>\n\this affidavit.\n<\/p>\n<p>Shri<br \/>\n\tMihir Thakore, learned senior counsel appearing for the<br \/>\n\tapplicant-Company, submits that the meeting of the Unsecured<br \/>\n\tCreditors of the applicant-Company is not required to be called for<br \/>\n\tas there is no compromise offered to any of the Creditors and<br \/>\n\tneither any liability of the Creditors under the Composite Scheme is<br \/>\n\tbeing reduced or extinguished. Shri Thakore submitted that there are<br \/>\n\tno Secured Creditors. Shri Thakore also stated that as per the<br \/>\n\tAudited Balance Sheet as 31st March 2008, there is an<br \/>\n\texcess of assets over liabilities of about Rs.24.47 crores in the<br \/>\n\tcase of the applicant-Company. Further as on 31st March<br \/>\n\t2008, there is an excess of assets over liabilities of about Rs.4.73<br \/>\n\tcrores in CPD of Cadila which is to be transferred to the<br \/>\n\tapplicant-Company.  As on 30th June 2008, there is also<br \/>\n\tan excess of assets over liabilities of Rs.26.28 crores of the<br \/>\n\tapplicant-Company. Shri Thakore relied upon the order dated 31st<br \/>\n\tJanuary 2003 passed by this Court in Company Application No.30 of<br \/>\n\t2003 and order dated 29th July 2008 in Company<br \/>\n\tApplication No.426 of 2008 to the effect that when the interest of<br \/>\n\tthe Creditors was in no way affected by the Scheme of Arrangement,<br \/>\n\tit is neither obligatory nor desirable to call a meeting of the<br \/>\n\tUnsecured Creditors to obtain their views on the Composite Scheme.\n<\/p>\n<p>Shri<br \/>\n\tMihir Thakore has submitted that there would be reduction of<br \/>\n\tSecurities Premium Account, which shall be effected as an integral<br \/>\n\tpart of Composite Scheme itself by way of a composite order from<br \/>\n\tthis Court. Shri Thakore has further submitted that the Equity<br \/>\n\tShareholders of the applicant-Company are to consider the Composite<br \/>\n\tScheme in the meeting which includes the said reductions. As the<br \/>\n\tprocedure under Section 101 read with Section 78 of the Companies<br \/>\n\tAct, 1956 being parimateria with the present proceedings, no<br \/>\n\tseparate procedure for reductions of Securities Premium Account are<br \/>\n\trequired to be followed. Shri Thakore has referred to Sections 100<br \/>\n\tand 101 of the Companies Act, 1956 and submitted that reductions<br \/>\n\tcontemplated in the Composite Scheme do not involve either<br \/>\n\tdiminution of liability in respect of unpaid share capital or<br \/>\n\tpayment to the Shareholders of paid-up share capital and do not in<br \/>\n\tany manner affect the interest of Creditors and no meeting of<br \/>\n\tCreditors is required to consider the said reductions. Shri Mihir<br \/>\n\tThakore has relied upon the order dated 31st January 2003<br \/>\n\tpassed by this Court in Company Application No.30 of 2003 and the<br \/>\n\torder dated 29th July 2008 passed by this Court in<br \/>\n\tCompany Application No.426 of 2008, wherein this Court has dispensed<br \/>\n\twith the following a separate procedure for reduction of capital.\n<\/p>\n<p>Shri<br \/>\n\tMihir Thakore has submitted that there would be increase in<br \/>\n\tAuthorised Capital of the applicant-Company which shall be effected<br \/>\n\tas an integral part of Composite Scheme itself by way of a composite<br \/>\n\torder from this Court. Shri Thakore has further submitted that the<br \/>\n\tEquity Shareholders of the applicant-Company are to consider the<br \/>\n\tComposite Scheme in the meeting which includes the said increase in<br \/>\n\tthe Authorised Capital. As the procedure for increase in Authorised<br \/>\n\tCapital being para materia with the present proceedings, no separate<br \/>\n\tprocedure for increase in Authorised Capital is required to be<br \/>\n\tfollowed.\n<\/p>\n<p>Upon<br \/>\n\thearing the submissions of Shri Thakore and upon considering the<br \/>\n\taforesaid orders cited by him, I am of the view that the meeting of<br \/>\n\tCreditors for considering the aforesaid Composite Scheme which<br \/>\n\tincludes reduction is not required.
