Ltd. (transferor Company) seeking<br \/>\n\tsanction of the scheme of amalgamation of Metroof India Pvt. Ltd.<br \/>\n\t(transferor Company),  United Bristlers And Brushes Pvt. Ltd.<br \/>\n\t(transferor Company), with Lazer Brushes Pvt. Ltd. (transferee<br \/>\n\tCompany).\n<\/p>\n<p>Heard<br \/>\n\tMr.Navin Pahwa, learned advocate appearing on behalf of the<br \/>\n\tpetitioner (transferor Company). It is submitted that the petitioner<br \/>\n\t(transferor Company) had earlier filed Company Application No.81 of<br \/>\n\t2010 seeking dispensation of meetings of equity shareholders and<br \/>\n\tunsecured creditors on the ground that consent of all the equity<br \/>\n\tshareholders and unsecured creditors have been obtained and produced<br \/>\n\ton record. This Court vide order dated 1\/4\/2010 dispensed with the<br \/>\n\tmeetings of the equity shareholders and unsecured creditors of the<br \/>\n\tpetitioner (transferor Company). It is further submitted by<br \/>\n\tMr.Pahwa, learned advocate on behalf of the petitioner that there<br \/>\n\tare no secured creditors of the petitioner &#8211; company.\n<\/p>\n<p>Hence,<br \/>\n\tADMIT.\n<\/p>\n<p>Notice<br \/>\n\tto the Central Government through Regional Director, Department of<br \/>\n\tCorporate Affairs, Everest, Marine Drive, Mumbai &#8211; 400 002.<br \/>\n\tNotice is also directed to be issued upon the Official Liquidator<br \/>\n\twith direction to appoint Chartered Accountant for preparation and<br \/>\n\tsubmission of report at the cost of the petitioner.\n<\/p>\n<p>The<br \/>\n\tfinal hearing of the petition is fixed on 12\/7\/2010.\n<\/p>\n<p>Notice<br \/>\n\tof hearing of petition to be published in Indian Express (English<br \/>\n\tDaily) and Lok Satta &#8211; Jan Satta (Gujarati Daily), both Ahmedabad<br \/>\n\tEditions.
