\n\tShri D.K.Puj, learned advocate appearing on behalf of the applicant,
\n\tShri Hiren Modi, learned advocate appearing on behalf of the
\n\trespondent No.1- Company (in liquidation) and Shri N.V.Anjaria,
\n\tlearned advocate appearing on behalf of respondent No.5- Chief
\n\tOfficer, Notified Area of G.I.D.C.Ankleshwar.\n<\/p>\n
Present
\n\tJudge’s Summons has been taken out by the applicant for the
\n\tfollowing reliefs.\n<\/p>\n
 (A)\tThis
\n\tHon’ble Court may be pleased to direct the Opponent No.5 to lodge
\n\tits claim for its dues against the Company in liquidation, for the
\n\tpre liquidation period before the Opponent No.1, after declaring
\n\tthat the Applicant is not liable to pay such dues as per the settled
\n\tprinciples of law and also as per the terms of the tender document;\n<\/p>\n
(B)\tThis
\n\tHon’ble court may further be pleased to restrain the Opponent No.5
\n\tfrom taking any coercive action for the recovery of dues against the
\n\tCompany in liquidation from the Applicant pursuant to the Final
\n\tPublic Notice in  the Economic Times  newspaper dated
\n\t28.11.2009;\n<\/p>\n
(C)\tDuring
\n\tthe pendency and final disposal of this Application, this Hon’ble
\n\tCourt may be pleased to restrain the Opponent No.5 from taking any
\n\tcoercive action for the recovery of dues against the Company in
\n\tliquidation from the Applicant pursuant to the Final Public Notice
\n\tin  The Economic Times  newspaper dated 28.11.2009;\n<\/p>\n
(D)\tAd
\n\tinterim relief in terms of Para (C) may kindly be granted .\n<\/p>\n
It
\n\tis the case on behalf of the applicant that applicant has purchased
\n\tthe properties of the Company in liquidation comprised in Lot No.B
\n\tin the Official Liquidator’s Report No.121 of 2008 for a sum of
\n\tRs.2,05,00,000\/- on the terms and conditions of the sale as per the
\n\ttender document, which came to be confirmed by this Court vide order
\n\tdated 19.1.2009 passed in OLR No.121 of 2008. It is submitted that
\n\tas per the terms and conditions of the tender form, the applicant
\n\tbeing purchaser of the property in question shall be liable to pay
\n\tall statutory dues, if any, due and payable on the terms and
\n\tconditions of the said sale for the period after the date of winding
\n\tup order. It is submitted that for payment of any dues for
\n\tpre-liquidation period, the purchaser should not be liable to pay.
\n\tIt is submitted that as per the terms and conditions of the tender
\n\tform, more particularly, Clause No.15, the payment of such dues for
\n\tpre-liquidation period shall be settled as per the provisions of the
\n\tCompanies, Act, 1956. It is submitted that despite the same, the
\n\tOpponent No.5, Chief Office, Notified Area, GIDC Ankleshwar has
\n\trecently issued final public notice in  The Economic Times
\n\tnewspaper on 28.11.2009, asking the plot owners to clear all
\n\toutstanding dues for the notified area tax, water charges, drainage
\n\tcharges and the total outstanding qua the plots purchased  by the
\n\tapplicant is shown at serial number 26 amounting to Rs.43,79,202\/-.
\n\tIt is submitted that applicant-Company being purchaser of the
\n\tproperty in question is liable to pay the notified area tax, water
\n\tcharges and drainage charges, etc. if any, due and payable on the
\n\tproperties of the said Company only for the period after the date of
\n\twinding up order. Therefore, it is submitted that demand made by the
\n\trespondent No.5 herein towards the outstanding dues for the notified
\n\tarea tax, water charges, and drainage charges for the pre-winding up
\n\tperiod is absolutely illegal. It is submitted by Shri D.K.Puj,
\n\tlearned advocate appearing on behalf of the applicant that as such,
\n\tapplicant is ready and willing and shall pay whatever the amount is
\n\toutstanding towards the notified area tax, water charges and
\n\tdrainage charges, for the period post winding up and the same shall
\n\tbe deposited with the respondent No.5 within a period of 15
\n\t(fifteen) days from today.\n<\/p>\n
From
\n\tthe reply filed on behalf of the respondent No.5, it appears that
\n\taccording to the respondent No.5 the amount of Rs.4,83,858\/- is
\n\toutstanding towards notified area tax, water charges, drainage
\n\tcharges, for the period from 20.11.2006 to 31.3.2010 i.e. post
\n\twinding up period. It is further submitted that on behalf of the
\n\trespondent No.5 even in terms Section 530 of Companies Act, 1956,
\n\tthe dues of statutory tax are to be treated in priority for the
\n\tpurpose of repayment when the company is under liquidation. Shri
\n\tAnjaria, learned advocate appearing on behalf of the respondent No.5
\n\thas submitted that for the outstanding amount due and payable for
\n\tthe period of pre-winding up,  respondent No.5 shall lodge a claim
\n\twith the Official Liquidator on or before 31st March,
\n\t2010 and the outstanding amount towards notified area tax, water
\n\tcharges, drainage charges for the post winding up period which comes
\n\tto Rs.4,83,858\/- be directed to be paid by the petitioner at the
\n\tearliest.\n<\/p>\n
Having
\n\theard the learned advocates appearing for the respective parties and
\n\tconsidering the terms and conditions of the sale as per the tender
\n\tdocument, the applicant-purchaser is liable to clear the outstanding
\n\tdues of the notified area tax, water charges and drainage charges
\n\tetc. due and payable to the respondent No.5 for the post winding up
\n\tperiod only and any outstanding dues towards
\n\ttax, water charges, and drainage charges for the pre-winding
\n\tperiod, the applicant-purchaser cannot be saddled with the
\n\tliability. It appears from the reply filed on behalf of the
\n\trespondent No.5 that the amount of Rs.4,83,858\/- is outstanding for
\n\tthe post winding up period and considering the statement made by
\n\tShri D.K.Puj, learned advocate appearing on behalf of the
\n\tapplicant-purchaser, recorded herein above, applicant shall pay \/
\n\tdeposit the aforesaid amount to the respondent No.5 within a period
\n\tof 15 (fifteen) days from today and it is held that for any
\n\toutstanding dues for notified area tax,
\n\twater charges, and drainage charges for the pre-winding up
\n\tperiod, applicant is not liable to pay the same. For any claim of
\n\tthe respondent no.5 towards the outstanding dues for the notified
\n\tarea  tax, water charges, drainage charges for the period of
\n\tpre-winding up, it will be open for the respondent No.5 to lodge
\n\ttheir claim before the Official Liquidator. As and when such a claim
\n\tis lodged by the respondent No.5, the same be considered in
\n\taccordance with law and on its own merits by the Official
\n\tLiquidator, considering the provisions of the Companies Act, 1956,
\n\tmore particularly, Section 530 of Companies Act, 1956.\n<\/p>\n
With
\n\tthis, present application is disposed of.\n<\/p>\n
