Gandhi for the applicants and learned<br \/>\ncounsel Mr. J.A. Adeshra for the respondents-caveators.\n<\/p>\n<p>2.\tLearned<br \/>\ncounsel Mr. Gandhi referred to the paper-book which includes an<br \/>\nagreement to sell and tried to emphasise that in part performance of<br \/>\nthe contract, substantial amount has been paid and thereafter, though<br \/>\nthe time-limit was fixed, for various reasons including some<br \/>\nlitigation and the part of the premises in occupation of the tenant,<br \/>\nthe agreement was not executed.  He submitted that the suit is filed<br \/>\nas the respondents have now tried to sell it to third party in breach<br \/>\nof the terms of the agreement to sell.  He submitted that the trial<br \/>\ncourt has failed to consider this aspect and referring to the<br \/>\nprovisions of NTC has refused injunction and therefore the Appeal<br \/>\nfrom Order has been filed. He further submitted that as per the<br \/>\nprovisions of the General Clauses Act whatever acts which have been<br \/>\ndone will be saved and therefore the aspect of limitation should not<br \/>\nbe a ground to refuse to entertain the suit as the respondent-vendor<br \/>\nhas also never given any notice for cancellation of the agreement and<br \/>\nin fact he has failed to perform his part of the contract.\n<\/p>\n<p>3.\tLearned<br \/>\ncounsel Mr. Adeshra has submitted that the agreement to sell is of<br \/>\n28.7.1998 and the suit is filed in the year 2009, which is hopelessly<br \/>\ntime-barred.  He further submitted that if one of the conditions of<br \/>\nthe agreement to sell was three years, the suit ought to have been<br \/>\nfiled within the prescribed limit and merely on the basis of an<br \/>\nagreement to sell such a suit would not be maintainable.\n<\/p>\n<p>4.\tIn<br \/>\nsupport of this submission, learned counsel Mr. Adeshra has referred<br \/>\nto and relied upon the judgment of the Hon&#8217;ble Apex Court reported in<br \/>\n(2008) 10 SCC 153 = JT 9 (2008) 334 in the case of <a href=\"\/doc\/945086\/\">Kumar Gonsusab<br \/>\n&amp; Ors. v. Sri Mohammed Miyan Urf Baban &amp; Ors..  He<\/a> has<br \/>\nalso referred to the judgment reported in 2010 (1) GLH 112 in the<br \/>\ncase of Harshadkumar Kantilal Bhalodwala and anr. v. Ishwarbhai<br \/>\nChandubhai Patel &amp; ors. and referring to Head Note [C] he<br \/>\nsubmitted that while exercising the powers for the purpose of<br \/>\nconsidering the Appeal from Order, the Court has to exercise the<br \/>\ndiscretion only if the discretion exercised by the trial court is<br \/>\nperverse.  He submitted that the order passed by the trial court<br \/>\ncannot be said to be perverse and therefore it may not call for any<br \/>\ninterference and the present Appeal from Order may not be<br \/>\nentertained.  He has also referred to and relied upon the judgment in<br \/>\nthe case of <a href=\"\/doc\/1221705\/\">Veetrag Hodings Pvt. Ltd. v. Gujarat State Textile<br \/>\nCiorporation Ltd.,<\/a> reported in 1996 (1) GLH 179, in support of<br \/>\nhis submission.\n<\/p>\n<p>5.\tIn view<br \/>\nof rival submissions, considering the provisions of the NTC Act which<br \/>\nis repealed and the General Clauses Act, the two aspects which are<br \/>\nrequired to be considered are that in part performance of the<br \/>\ncontract the respondent caveator has accepted substantial amount<br \/>\ntowards the consideration and he cannot be permitted to resort to one<br \/>\nclause as the agreement has to be read as a whole which also casts an<br \/>\nobligation upon the respondent with regard to getting the clearance<br \/>\nand\/or possession of the premises from the tenant.  Though the suit<br \/>\nis filed later, it has to be considered with reference to the<br \/>\nprovisions of the Specific Relief Act and the Transfer of Property<br \/>\nAct when part performance is made and therefore the court is of the<br \/>\nopinion that the reliance placed only on one clause of the agreement<br \/>\nwith regard to the time-limit would not be just and proper.\n<\/p>\n<p>6.\tSimilarly,<br \/>\nthe reliance placed by learned counsel Mr. Adeshra on a judgment of<br \/>\nthe Hon&#8217;ble Apex Court in the case of <a href=\"\/doc\/945086\/\">Kumar Gonsusab &amp; Ors. v.<br \/>\nSri Mohammed Miyan Urf Baban &amp; Ors.<\/a> (supra) with regard to<br \/>\nthe suit for pre-emption  brought on the basis of agreement does not<br \/>\napply to the facts of the present case. There the facts were totally<br \/>\ndifferent and it was with regard to a different fact-situation,<br \/>\nwhereas in the facts of the present case, considering the provisions<br \/>\nof the law including the Transfer of Property Act as well as the<br \/>\nContract Act, it will not be of  any help to the applicant as the<br \/>\ncontract or agreement to sell has to be read as a whole and cannot be<br \/>\nread in isolation for only one clause.\n<\/p>\n<p>7.\tIt is in<br \/>\nthese circumstances, since it is a matter with regard to<br \/>\ninterpretation of the agreement to sell which has been acted upon,<br \/>\nthe present civil application requires to be granted.\n<\/p>\n<p>8.\tHence,<br \/>\nrule. Learned counsel Mr. Adeshra waives service of rule for the<br \/>\nrespondents. Interim relief in terms of Para 6(a) is granted.\n<\/p>\n<p>9.\tThe<br \/>\ncivil application accordingly stands disposed of.
