SHAH\n\t\t\n\t\n\n \n\n \n \n\n\n \n\nDate\n: 11\/03\/2010 \n\n \n\n \n \nORAL\nORDER<\/pre>\n<p>Present<br \/>\n\tCriminal Case has been filed by the Official Liquidator of<br \/>\n\tM\/s.Hemant Automobiles Pvt. Ltd. (in liquidation) under the<br \/>\n\tprovisions of Section 454(5) of the Companies Act, 1956 with the<br \/>\n\tfollowing prayers:-\n<\/p>\n<p>\t (a)\tThat<br \/>\n\tthis Hon&#8217;ble High Court be pleased to take cognizance of the default<br \/>\n\tcommitted under Section 454(5) of the Companies Act, 1956 and to<br \/>\n\tissue process against the accused No.1 to 4 to try and punish them<br \/>\n\tin accordance with the provisions of the law and in view of the<br \/>\n\tfacts stated in Para 7 of above.\n<\/p>\n<p>\t(b)\tThat<br \/>\n\tthe Accused No.1 to 4 be also directed to submit forthwith the<br \/>\n\tStatement of Affairs to the Complainant as on the date of winding-up<br \/>\n\torders dated 11.8.2006 with full details as per statutory form.\n<\/p>\n<p>\t(c)\tThat<br \/>\n\tthe above accused No. 1 to 4 be directed to attend meeting with the<br \/>\n\tOfficial Liquidator under Rule 130 of the Companies (Court) Rules,<br \/>\n\t1959 and be directed to record their statement thereof.\n<\/p>\n<p>\t(d)\tThat<br \/>\n\tthe Complainant&#8217;s cost and charges incidental to these proceedings<br \/>\n\tmay be provided for under Section 626 of the Companies Act, 1956.\n<\/p>\n<p>\t(e)\tFor<br \/>\n\tsuch other and further directions as may be considered necessary<br \/>\n\tunder the facts and circumstances of the case, may be passed .\n<\/p>\n<p>Affidavit-in-reply<br \/>\n\thas been filed by the accused Nos. 1 and 2. It is submitted that<br \/>\n\tboth the accused Nos. 1 and 2 had resigned as Directors with effect<br \/>\n\tfrom 5.2.2003 and even Form No.32 was also submitted at the relevant<br \/>\n\ttime and therefore, it is requested to discharge accused Nos. 1 and\n<\/p>\n<p>\t2.<\/p>\n<p>Now,<br \/>\n\tso far as accused Nos. 3 and 4 are concerned, as of now, statement<br \/>\n\tof affairs have been filed even for the period after order of<br \/>\n\twinding up and considering the affidavit-in-reply, it is requested<br \/>\n\tby Shri  Chetan K.Pandya, learned advocate<br \/>\n\tappearing on behalf of accused Nos. 3 and 4 to take a lenient view<br \/>\n\tand it is requested to impose reasonable fine \/ penalty. Learned<br \/>\n\tadvocate appearing on behalf of the accused Nos. 3 and 4 does not<br \/>\n\tinvite any further reasoned order.\n<\/p>\n<p>Considering<br \/>\n\tthe affidavit-in-reply filed on behalf of the accused Nos. 1 and 2<br \/>\n\tpointing out that they had already<br \/>\n\tresigned as Directors with effect from 5.2.2003, and even Form No.32<br \/>\n\twas also submitted at the relevant point of time, accused Nos. 1 and<br \/>\n\t2 are hereby discharged.\n<\/p>\n<p>So<br \/>\n\tfar as accused Nos. 3 and 4 who have now submitted the statement of<br \/>\n\taffairs even for the period after the order of winding up and<br \/>\n\tconsidering the affidavit-in-reply and the request made by Shri<br \/>\n\tChetan K.Pandya, learned advocate appearing on behalf of respondent<br \/>\n\tNos. 3 and 4, it appears to the Court that if on imposing fine \/<br \/>\n\tpenalty of Rs.25,000\/- (Rupees Twenty Five Thousand Only), present<br \/>\n\tcriminal case can be disposed of. Shri Nitin Mehta, learned advocate<br \/>\n\tappearing on behalf of Official Liquidator of the Company in<br \/>\n\tliquidation has submitted that even statement of accused Nos. 3 and<br \/>\n\t4 is required to be recorded. Shri Chetan K.Pandya, learned advocate<br \/>\n\tappearing on behalf of the respondent Nos. 3 and 4 has stated at the<br \/>\n\tBar that they will remain present before the Official Liquidator for<br \/>\n\trecording their statement on 29th<br \/>\n\tMarch, 2010 between<br \/>\n\t11.00 a.m. to 2.00 p.m. <\/p>\n<p>Under<br \/>\n\tthe circumstances and without recording further reasons, (as<br \/>\n\trequested by Shri Chetan K.Pandya, learned advocate appearing on<br \/>\n\tbehalf of the accused Nos. 3 and 4) and considering the fact that<br \/>\n\tstatement of affairs has been filed belatedly and considering the<br \/>\n\texplanation tendered by the accused Nos. 3 and 4 for delay, fine of<br \/>\n\tRs.12,500\/- (Rupees Twelve Thousand Five Hundred Only)each is levied<br \/>\n\tupon the accused Nos. 3 and 4  which shall be paid<br \/>\n\tby the accused Nos. 3 and 4 i.e. (Rs.12,500\/- each) within a period<br \/>\n\tof 4 (four) weeks from today.
