ORAL ORDER
This
is a petition filed by the Transferee company as abovenamed in the
proposed Scheme of Amalgamation of Growmore Trade and Investment
Private Limited with Adani Power Limited. Heard Mrs. Swati Soparkar,
the advocate for the petitioner Transferee Company. It has been
pointed out tht the Transferor Company is a company registered in
Mauritius under the applicable provisions of law and upon the scheme
being sanctioned by the High Court of Gujarat, by compliance with
applicable provisions of law, the undertaking of the said Transferor
Company shall be transferred and vest in the Petitioner Transferee
Company.
It
has been submitted that vide order dated 1st August 2011
passed in Compny Application No.400 of 2011 (Copy at Annex. ‘H’),
meeting of the Equity Shareholders of the Company was directed to be
convened and the same was duly convened and held on 12th
day of September 2011. The proposed scheme of arrangement was duly
approved at the said meeting-by the requisite statutory majority
i.e. 95.76% in number and 99.99% in value by the Equity Shareholders
of the Company, present and voting at the said meeting. The
Chairman’s report along with the affidavit of the chairman dated
17th September 2011 has been placed on record. (Copy at
Annex. ‘I’). Hence, the present petition is moved for obtaining the
sanction of this court.

English daily, and ‘Sandesh’, Gujarati daily, Ahmedabad Editions.
