ORAL ORDER
This is a petition filed
by the resulting Company as abovenamed in the proposed Scheme of
Arrangement in the nature of demerger of Radio Business of Synergy
Media Entertainment Ltd., to D.B.Corp Ltd., and restructure of share
capital of Synergy Media Entertainment Ltd. Heard Mrs. Swati
Soparkar, the advocate for the petitioner resulting Company. It has
been submitted that the de-merged Company is having its registered
office in the state of Madhya Pradesh and hence the necessary
proceedings have been initiated in the High Court of Jabalpur being
the jurisdictional High Court.
It has been submitted
that vide order dated 25.6.2010 passed in Company Application No.163
of 2010 (Copy at Annex.G) the meeting of the equity shareholders of
the Company was directed to be convened and the same was duly
convened and held on Saturday, the 14.8.2010. The proposed scheme of
arrangement was unanimously approved at the said meeting of the
equity shareholders i.e. 100% in number and 100% in value by the
members of the Company, present and casting valid votes at the said
meeting. The Chairman’s report alongwith the affidavit of the
Chairman has been placed on record (Copy at Annex.H). Hence, the
present petition is moved for obtaining the sanction of this Court.
