ORDER

One Mr.M.G.Memon,
Manager (Administration), Gujarat Composite Ltd. is present before
the Court. He makes available for perusal extracts of the resolution
passed by the Board of Directors of the company in its meeting held
at its Registered Office at 14, Netaji Subhash Road, Calcutta on
31.01.2003. A xerox copy of the resolution is retained on the
record.

Learned Senior Advocate
Mr.Naik for respondent No.1 files affidavit in reply, along with
which he has annexed Annexure-Q, according to which respondent No.1
is to recover an amount of Rs.7,20,15,372/- from respondent No.2.
Besides, learned Senior Advocate for respondent NO.1 states that
there is some property of respondent No.2 lying at the factory
premises and if respondent No.2 is not ready and willing to pay the
amount payable to the workers, that property can be disposed of and
the amount can be paid to the workers.

At this juncture,
representative of respondent No.2 states that the said property is
subject matter of Special Civil Application No.2212 of 2003 and there
is an order passed by this Court that the said property should not be
sold without prior permission of the Court.

Registry is directed to
place papers of Special Civil Application No.2212 of 2003 along with
this matter on 30.08.2011.
