ORDER
1. The present petition is filed
seeking sanction of Scheme of Arrangement in the nature of Demerger
of Himson Textile Engineering, Ankleshwar of Himson Textile
Engineering Industries Private Limited into Himson Twisting and
Texturising Industries Pvt. Ltd., the petitioner company. Earlier,
the petitioner filed Company Application No.225/2008 seeking
dispensation of meeting of shareholders on the ground that consent of
all the shareholders have been obtained. This Court vide order dtd.
28.03.2008 was pleased to dispense with the meeting of the
shareholders. As the petitioner is the resulting company, meeting of
the creditors was directed not to be held.
2. Admit. The final hearing of the
petition is fixed on 26.09.2008.
3. Notice to the Central Government
through Regional Director, Department of Company Affairs, Everest,
Marine Drive, Mumbai ? 400 002 with a direction to file the report
before the date of hearing.
4. Notice
of hearing of petition to be published in Indian Express (English
Daily), Baroda Edition and Gujarat Mitra (Gujarati Daily), Surat
Edition. Publication of notice in Government Gazette is dispensed
with.
