Instant company petition has been filed by petitioner-M/s Uflex Limited, having its registered office at 110, First Floor, Bhanot Corner, Pamposh Enclave, Greater Kailash-1, New-Delhi-110048 for winding up of M/s. Clarity Salt Pvt. Ltd, having its registered office at C-4, Sardar Patel Marg, Jaipur under Section 433(e) & (f) read with Section 434 and 439 of the Companies Act, claiming it to be the creditor.

Initially notices were issued of the present petition on 25/08/2005 but thereafter application was filed by the petitioner seeking amendment in the cause title on the premise that there was a change in nomenclature of the petitioner company and for which necessary permission from the Registrar of Companies was also obtained. It was allowed on 25/01/2008 and thereafter notices were issued by the Court on 16/05/2008 under Section 96 read with 24 of the Company Court Rules, 1959 which were duly published in Dainik Bhaskar (Hindi), Jaipur Edition of 21/02/2009 and the Statesman (English), Delhi Edition on 21/02/2009 as well as in Rajasthan Gazette, Extraordinary (Part-VII) on 06/03/2009 and copies of these publications have been filed by the petitioner and are available of record in the instant company petition.

The Court has not received any objection to the present winding up petition consequent to its advertisement.

Earlier, Mr.JR Tantia appeared for the respondent-Company but on the last three occasions, no one is appearing on behalf of the respondent Company-M/s. Clarity Salt Pvt. Ltd. However, no objection has been received to the winding up petition, consequent to its advertisement.

Taking note of the material which has come on record, M/s Clarity Salt Pvt. Ltd. is hereby ordered to be wound up and the Registrar of this Court, pursuant to Rule 111 of Companies (Court) Rules, 1959 is directed to draw winding up order in terms of Rule 52 of the Company (Court) Rules, 1959 and inform the same to the Official Liquidator attached to this Court.

The petitioner is also directed to have the notice of winding up order, after getting the same settled from the Registrar of this Court, published in Dainik Bhaskar (Hindi), Jaipur and the Statesman (English), New Delhi within 14 day from the date of this order and may also published in Rajasthan Gazette and also serve upon M/s Clarity Salt Pvt. Ltd. by sending the same by registered post with AD post.

With these directions, the company petition stands disposed of. Office to proceed.
