1. This common order shall dispose of the C.P. No.69 of 2003, C.P.

No.242 of 2003 and C.P. No.60 of 2007 altogether. Vide order dated

13.03.2008, this Court was pleased to observe that the respondent-Company
C.P. Nos. 69 and 242 of 2003, C.P. No.60 of 2007 -2-

namely M/s Golden Land Development (India) Ltd. was unable to pay its

debts and directed the fact of admission of the application for winding up to

be published in “Indian Express (English)”, “Dainik Bhaskar (Hindi)” and

Official Gazette of Punjab Government at least 14 days before the next date

of hearing and listed the cases on 15.05.2008. The publications, in the

meanwhile, as ordered by the Court have also been effected. It is

represented on behalf of the company that it had no objection to a direction

being given for winding up. All the objections in the respective applications

filed at the instance of the petitioners for winding up are ordered as prayed

for.

2. The order passed by this Court shall be communicated to the

Official Liquidator and the Registrar of Companies within a period of two

weeks from the date of passing of the order. The petitioner is further

directed to file before the Registrar of Companies certified copy of the order

within 30 days from the making of this order.

3. The Official Liquidator shall take charge of the assets of the

company and administer the same as per procedure prescribed under the

Companies Act. It shall be duty of the Ex-Directors of the Company to

make out a concurrent Company’s Statement of Affairs and to attend the

Official Liquidator at such time and place, as he may fix and to give him

information that he may require.

4. The order directing winding up of the Company shall be

published in one issue of “Indian Express”, Dainik Bhaskar (Hindi) and

Official Gazette of Punjab Government within 14 days from the date of

making of the order. Copy of this order be placed on record on C.P. No.242

of 2003 and C.P. No.60 of 2007.
