1 Heard
Mr. Pavan S. Godiawala, learned advocate for the applicant.
2 The
present application is filed for dispensation of the meetings of
equity shareholders, secured creditors,unsecured lenders and
unsecured creditors for considering and if thought fit with or
without modification the scheme as envisaged at Exhibit “C”
upon receipt of the individual consent letters from all the members
of the above classes. The applicant has also produced the
certificate of the Chartered Accountant.
3 Considering
the individual consent letters supported by the certificate of the
Chartered Accountant, it is hereby ordered that the meeting of
equity shareholders, secured creditors, unsecured lenders and
unsecured creditors as required under the provisions of section
391(1) of the Companies Act, 1956 are not required and are dispensed
with. Accordingly, the notice of the meeting for publication in the
newspapers and government gazette is also dispensed with. This
application stands disposed of with the above directions.
